xAI was reportedly seeking approximately $10 billion from investors at a valuation of about $75 billion on February 14, 2025. At that point, however, the financing was still under discussion—not a completed funding round. Later developments showed that xAI did raise another $10 billion in debt and equity in July 2025, followed by a $20 billion Series E announced in January 2026.
What was reported in February 2025?
On February 14, 2025, TechCrunch reported, citing Bloomberg, that Elon Musk’s artificial-intelligence company xAI was canvassing investors for approximately $10 billion.

The proposed financing was said to imply a valuation of roughly $75 billion. Reported potential participants included Sequoia Capital, Andreessen Horowitz and Valor Equity Partners. Those firms were described as possible or prospective investors—not as confirmed participants in a closed round.
Contemporary reporting also cited Crunchbase data estimating that xAI could have raised approximately $22.4 billion cumulatively if the proposed financing went ahead. That figure was a historical estimate, not a company-confirmed total.

Was the $10 billion raise completed?
Yes, xAI later completed a separate $10 billion financing package, but the February report should not be treated as confirmation that its proposed terms closed unchanged.
In July 2025, xAI reportedly completed a $10 billion debt-and-equity financing, consisting of approximately $5 billion in debt and $5 billion in strategic equity financing. TechCrunch reported that Morgan Stanley confirmed the financing.
This distinction matters. The February story concerned an early-stage fundraising effort, while the later transaction combined debt and equity. A financing that includes debt is not directly comparable with a pure venture-capital equity round: debt can avoid immediate dilution but creates repayment obligations and interest costs.

The main reason was the cost of competing in frontier AI. Training and operating advanced models requires large quantities of specialized computing hardware, electricity, data-center capacity and engineering resources.

At the time of the February report, xAI was developing its Grok chatbot and preparing to launch Grok 3. The company was also expanding its infrastructure and reportedly considering more than $5 billion in Dell servers equipped with Nvidia AI chips. That server figure was a reported potential infrastructure commitment, not proof of a completed purchase.
- Model training: Frontier models require large clusters of high-performance AI accelerators.
- Inference: Serving responses to users is an ongoing expense that grows with usage.
- Data centers: xAI needed facilities, power, networking and cooling to operate large clusters.
- Product development: Capital supported Grok and related image, video, voice and agent capabilities.
- Distribution: Grok was integrated into Elon Musk’s X social platform, including features such as summaries of trending discussions.
These requirements make frontier AI unusually capital-intensive. Raising money can accelerate model development and infrastructure deployment, but it also increases exposure to chip availability, electricity prices, construction delays and uncertain revenue growth.
What did the $75 billion valuation mean?
The reported $75 billion figure was a proposed or implied private-market valuation—not a public-market price that investors could freely trade at.
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Contemporary coverage cited PitchBook data placing xAI’s prior valuation at approximately $51 billion. A later fairness-analysis document described a February 2025 financing launch at a $65 billion pre-raise valuation and a $75 billion post-raise valuation. That interpretation comes from later analysis rather than a definitive public valuation statement from xAI.
The difference is important:
- Pre-money valuation refers to the company’s valuation before new investment.
- Post-money valuation refers to the valuation after the new investment is included.
If $75 billion was a post-money valuation, the proposed $10 billion investment would have represented a substantial portion of the company’s equity value in that transaction. But private-company valuations are negotiated through financing terms and may not reflect an independently verified intrinsic value or a price available to ordinary investors.
Who was expected to invest?

xAI had already announced a $6 billion Series B in May 2024. Its announcement named investors including Valor Equity Partners, Vy Capital, Andreessen Horowitz, Sequoia Capital and Fidelity.
Investor lists can change between initial discussions and closing. A firm being approached, considering participation or appearing in a report does not necessarily mean it ultimately invested.

- February 14, 2025: xAI was reportedly seeking approximately $10 billion at a valuation of roughly $75 billion.
- July 2025: xAI reportedly completed a $10 billion financing package split between approximately $5 billion of debt and $5 billion of equity.
- January 6, 2026: xAI announced a $20 billion Series E after initially targeting $15 billion. The company listed investors including Valor Equity Partners, StepStone Group, Fidelity Management & Research Company, Qatar Investment Authority, MGX and Baron Capital Group. See xAI’s announcement.
- January 16, 2026: Tesla disclosed an agreement to invest approximately $2 billion in xAI’s Series E on market terms in a regulatory filing.
- February 2026: SEC-filed materials stated that SpaceX acquired xAI. xAI’s current materials use the SpaceXAI branding.
The later $20 billion Series E should not automatically be described as the same transaction as the $10 billion discussed in February 2025. The available disclosures show a sequence of later financings and a subsequent corporate acquisition, not one unchanged round.
What products was the funding intended to support?
In early 2025, the central product was Grok, xAI’s chatbot and model family. Its integration with X gave xAI a built-in distribution channel and placed Grok directly inside a large social-platform ecosystem.
Later xAI materials describe a broader portfolio that includes:
- Grok consumer products;
- the xAI API;
- Grok Business and Grok Enterprise;
- xAI Gov; and
- Grok-powered image, video, voice and agent products.
For consumers or developers evaluating these services, availability, usage limits, data handling, reliability, geographic access and support terms matter more than the headline valuation. Those terms can change and should be checked on xAI’s official site before signing up or building a product around the platform.
Why the financing mattered to the AI market
The proposed raise illustrated how expensive it had become to compete with companies such as OpenAI, Google and Anthropic. AI companies were no longer competing only on research talent and software; they were also competing for scarce chips, data-center capacity, power and financing.
Best Value
xAI’s connection to X created potential advantages in distribution and product integration. It also created dependencies: the AI business became linked to the social platform’s performance, reputation and regulatory environment. Likewise, owning or controlling more infrastructure could improve capacity and availability, but it would increase fixed costs and execution risk.
Those are strategic implications of the reported infrastructure plans and product integration—not guarantees that the financing would produce a particular market share, revenue level or investment return.
What this means for ordinary investors
xAI was privately held during the relevant fundraising period. The reported $75 billion valuation was therefore not a stock-market quote, and the financing did not create a straightforward way for ordinary investors to buy xAI shares.
Readers should also avoid treating a private financing valuation as proof that a company is worth that amount in a liquid market. Private rounds can include negotiated preferences, different share classes, investor protections and other terms that affect the value of the headline number.
The later SpaceX acquisition further changed the ownership context. Anyone considering an investment opportunity connected to xAI, SpaceX or another private vehicle should verify the legal entity, security being offered, disclosures, fees, liquidity restrictions and fraud risks. Unsolicited offers to buy pre-IPO interests are especially risky.
The Bottom Line
Bottom line: The February 2025 report was about xAI seeking roughly $10 billion at an implied valuation near $75 billion—not a confirmed closing. xAI later reported or was reported to have completed a separate $10 billion debt-and-equity financing, raised $20 billion in its Series E, received a disclosed Tesla investment and was acquired by SpaceX in February 2026. The original story was significant because it showed the enormous capital required to build and operate frontier AI, but its proposed amount, investors and valuation should not be presented as final terms.
