Why Lucent Microelectronics Was Renamed Agere Systems

Lucent’s December 2000 announcement renamed its Microelectronics Group Agere Systems. The company’s IPO and completed separation from Lucent came later.

Lucent announced in December 2000 that its Microelectronics Group would take the name Agere Systems, using the name of a company Lucent had acquired earlier that year. The announcement was a step in a planned separation, not the date Agere became independent: Lucent completed the spin-off on June 1, 2002.

Why did Lucent rename its Microelectronics Group?

The name announcement accompanied Lucent’s plan to separate its microelectronics business into a standalone company. Agere’s name came from a company Lucent had acquired earlier in 2000; the December announcement applied that name to the Microelectronics Group. The contemporary report also described the planned initial public offering and spin-off, which were distinct stages of the separation. EE Times reported the announcement.

When did Agere become a separate company?

Agere was incorporated in Delaware on August 1, 2000, as a wholly owned Lucent subsidiary. That corporate formation preceded the public name announcement and did not, by itself, transfer the business or make the company independent. Agere’s SEC filing sets out the separation steps.

December 2000 Lucent announced that its Microelectronics Group would be renamed Agere Systems. The business received its new name; the announcement was not the completed spin-off.
February 1, 2001 Lucent transferred substantially all related business assets and liabilities to Agere. The business transfer occurred, with specified pension and postretirement items transferred later.
April 2, 2001 Agere completed an initial public offering of Class A common stock. Agere shares began to be publicly offered, but Lucent still held shares.
June 1, 2002 Lucent completed the spin-off by distributing its remaining Agere shares. Agere became independent of Lucent through the shareholder distribution.

The distribution went to Lucent shareholders of record on May 3, 2002. Lucent’s filing specifies one Agere Class A share for every 92.768991 Lucent shares and one Agere Class B share for every 3.779818 Lucent shares. Those are the terms of that particular distribution, not a standing exchange ratio. Lucent’s June 2002 filing records the completion and ratios.

What did Agere Systems make?

During the period described in its SEC filing, Agere developed integrated-circuit solutions for high-density storage, mobile wireless communications, enterprise and telecommunications networks, and personal-computer connectivity. Its customers included hard-disk-drive, mobile-phone, communications-system, and PC manufacturers. This describes the business at that time, not current product availability or corporate status.
