Joe Kiani notified Masimo’s board on September 19, 2024, that he had decided to resign as CEO, after shareholders did not reelect him to the company’s board. The events were related in timing, but shareholders voted on his board seat—not on his CEO resignation. Masimo appointed Michelle Brennan interim CEO, later terminated Kiani’s employment, and named Katie Szyman CEO in 2025.
What happened on September 19, 2024?
At Masimo’s annual meeting, shareholders did not reelect Kiani as a director. Masimo’s filed results show 19,484,844 votes for him and 29,263,821 votes withheld. Those figures concern the director election; they are not a vote on his CEO resignation. William Jellison and Darlene Solomon were elected directors, according to Masimo’s meeting-results filing.
After the meeting, Kiani notified the board that he had decided to resign as CEO. In a California state court claim concerning his employment agreement, he asserted that he had validly terminated his employment for “Good Reason.” The filing establishes his position in the dispute, not a final legal ruling on whether that claim was valid. Masimo’s board appointed director Michelle Brennan interim CEO effective September 24, 2024. The company said it retained Korn Ferry to assist with CEO succession planning. In its September 25 announcement, Masimo also said the board remained committed to reviewing strategic alternatives for its consumer audio and consumer healthcare businesses; that statement did not announce a completed sale.
