Why Equinix CEO Steve Smith Resigned in 2018: What the Company Disclosed

Steve Smith resigned as Equinix CEO effective January 19, 2018. The company cited poor judgment involving an employee matter but did not disclose further details.

Steve Smith resigned as Equinix’s president, CEO and a board member effective January 19, 2018, after the company said he had exercised “poor judgment with respect to an employee matter.” Equinix announced the departure on January 25. Its public statement did not explain what the matter involved.

What Equinix disclosed about Smith’s resignation

Equinix’s January 25, 2018 announcement said Smith had made the “difficult decision to resign” after exercising “poor judgment with respect to an employee matter.” The board accepted his resignation. The company did not identify the employee or describe any conduct, allegation, investigation or finding. Equinix’s announcement filed with the SEC and its Form 8-K are the primary public records of the departure.

Smith had been Equinix’s CEO for about 11 years and also served as president and a board member. The company credited him with helping build its global scale, reach and market position; that description was Equinix’s assessment of his tenure.

When did he resign?

The effective date and announcement date differ. The SEC filing says Smith resigned from all three positions on January 19, 2018. Equinix made the news public and filed the related disclosure on January 25. Data Center Knowledge reported the departure on January 26. The contemporaneous industry report used the announcement-day framing, but the filing gives the effective resignation date.

Was Smith fired, and what was the employee matter?

The formal record calls the departure a resignation: Smith resigned, and the board accepted it. Equinix said he made the decision to resign. Those records do not establish whether the resignation was voluntary in the ordinary sense or requested by the board, so it is not supported to describe him as fired or forced out.

The phrase “employee matter” remains unexplained in the cited public materials. What is verified is Equinix’s characterization that Smith exercised poor judgment in connection with it. The public record cited here does not establish the employee’s identity, what happened, whether a complaint or investigation existed, or whether there was a legal claim or settlement. The wording alone does not support a more specific allegation.

Did Equinix say the departure reflected business problems?

No. Equinix said the departure was unrelated to the company’s operational performance or financial condition. The SEC filing also says it was not the result of a disagreement between Smith and Equinix over the company’s operations, policies or practices. These are the company’s stated explanations; they do not independently prove that the leadership change carried no business risk.

Who took over as CEO?

Peter Van Camp served as interim CEO

Effective January 19, Executive Chairman Peter Van Camp, a former Equinix CEO, became interim president and CEO. The board said it would begin a formal process to select a permanent leader. The appointment placed an experienced company executive in charge during the transition.

Charles Meyers became permanent CEO

On September 12, 2018, Equinix named Charles Meyers president and CEO. Meyers had held senior operating and strategy roles at the company, and Van Camp returned to the executive-chairman role. Equinix’s announcement of Meyers’s appointment documents the permanent succession.

What the transition meant for Equinix

Equinix continued its stated interconnection and hyperscale-infrastructure plans during the interim period, according to contemporaneous industry coverage. The company’s later Form 10-Q identified possible risks from leadership disruption, including effects on customer relationships, employee morale and the business. Those were disclosed risks, not evidence that those effects occurred. The filing’s risk discussion provides the company’s qualification.

What Equinix later disclosed about severance

In its 2019 proxy statement, Equinix reported that Smith received seven months of health-insurance benefits through COBRA, costing the company $23,020, and no other severance payments. This compensation disclosure does not explain the employee matter or establish whether the resignation was voluntary or involuntary. The proxy statement is the source for those figures.
