CNN was excluded from Netflix’s proposed acquisition because the deal covered Warner Bros. after WBD planned to separate its Global Networks division, which included CNN, into a standalone company called Discovery Global. That kept CNN outside Netflix’s proposed studios-and-streaming business—but it did not secure CNN’s independence or prove the exclusion benefited its journalism. Netflix’s agreement never closed: Warner Bros. Discovery later accepted Paramount Skydance’s competing offer, and that acquisition closed on October 6, 2026, putting CNN and CBS under the same corporate owner.
Why CNN was not part of Netflix’s proposal
Warner Bros. Discovery (WBD) announced on December 5, 2025, that it planned to separate its Global Networks division into a publicly traded company called Discovery Global. WBD said CNN, TNT Sports in the United States, Discovery channels, and other networks and digital properties would be placed in that company. Netflix’s proposal was for Warner Bros. after the planned separation, so CNN was not among the assets Netflix proposed to acquire. Netflix and WBD’s December 5, 2025 announcement described a proposed transaction, not a completed sale.

In plain terms, the plan drew a line between Warner Bros.’ studios and streaming business, which Netflix sought to buy, and the cable and network business that would remain in Discovery Global. CNN was outside the deal because of that planned corporate structure—not because the announcement established a judgment about CNN’s quality or future prospects.
What Netflix proposed to pay—and what the figures mean
The December 2025 proposal valued WBD at $27.75 per share: $23.25 in cash and $4.50 in Netflix stock, with a collar on the stock component. Netflix and WBD put the proposal’s equity value at about $72.0 billion and its enterprise value at about $82.7 billion. These were figures for the proposed Netflix transaction, which depended on the separation, regulatory approvals, WBD shareholder approval, and other customary closing conditions. They do not describe a completed Netflix acquisition.

Why the Netflix agreement fell through
Netflix said on February 26, 2026, that it would not increase its offer to match Paramount Skydance’s latest proposal. The company said the price needed to match that proposal made the transaction no longer financially attractive. In a joint statement, Netflix co-CEOs Ted Sarandos and Greg Peters said: “But this transaction was always a ‘nice to have’ at the right price, not a ‘must have’ at any price.” Netflix’s statement gives the company’s rationale for walking away.
WBD’s Form 10-K records the next step: on February 27, 2026, its board determined that Paramount Skydance had made a superior proposal, the Netflix agreement was terminated, and WBD entered into an agreement with Paramount Skydance. WBD’s filing with the SEC documents that transaction history.

What “good thing” can—and cannot—mean for CNN
The limited case for calling the exclusion a good thing
There is a narrow, defensible sense in which the Netflix proposal could have been a better fit for CNN: it would have left the news network in a separate Global Networks company rather than folding it into Netflix’s entertainment and streaming portfolio. A reader who views those as distinct kinds of businesses may see that separation as preferable to the particular ownership arrangement Netflix proposed.
That is a structural argument, not evidence of improved outcomes. The available transaction announcements do not establish that CNN’s journalism, finances, staffing, editorial independence, or audience performance improved because it was excluded. The phrase “ultimately a good thing” is therefore an interpretation, not a documented result.

Why exclusion did not mean a stable independent future
CNN did not become an independent company through the abandoned Netflix plan. Discovery Global was a proposed separation structure, and the deal that would have left CNN there never closed. Paramount Skydance’s successful competing bid changed the outcome: the acquisition brought WBD under the same corporate roof as CBS. The Associated Press reported on October 6, 2026, that the acquisition had closed and that CNN editor-in-chief Mark Thompson would remain in his role. AP also reported that the future shape of the combined news operations remained uncertain.
That uncertainty matters. Common ownership of CNN and CBS is a concrete change in corporate structure; it does not by itself establish how the newsrooms will be managed, whether their journalism will change, or what their editorial independence will look like.

The valuations above are not interchangeable: the Netflix figure was its proposed enterprise value, while AP’s $81 billion description refers to the eventual Paramount Skydance acquisition.

The transaction history answers why CNN was outside Netflix’s proposal: WBD intended to put it in a separate networks company before selling Warner Bros. to Netflix. It also explains why that separation did not settle CNN’s future: Netflix withdrew, WBD chose Paramount Skydance, and the later acquisition closed with CNN and CBS under common ownership.

For viewers and employees, the corporate change is significant, but its editorial consequences cannot be inferred from the deal structure alone. AP reported that Thompson would stay as editor-in-chief at closing while the longer-term shape of the combined news operations remained uncertain. Until those operations and governance are clearer, claims that the Netflix exclusion either protected CNN or harmed it go beyond what the transaction record establishes.
