Ciena announced stock-based agreements to acquire Omnia Communications and Lightera Networks on March 15, 1999, aiming to expand its carrier optical-networking business. Ciena later reported approximate closing values of $483 million for Omnia and $459 million for Lightera—a combined $942 million by calculation. The contemporary “nearly $1 billion” estimate and the later total differ because they reflect different valuation points for stock transactions.
What did Ciena acquire?
The two companies addressed different parts of the optical networks used by telecommunications carriers. Ciena described Lightera as a developer of carrier-class optical core switches and Omnia as a developer of carrier-class optical-access solutions, according to its filing announcing the agreements.
- Lightera Networks: Optical core switches for fiber-optic networks.
- Omnia Communications: Optical access and transport solutions, with a focus on public telephone operators using metropolitan fiber-optic networks.
The consideration was Ciena common stock rather than a cash purchase. Ciena’s later transaction filing says it exchanged shares for Lightera’s shares and assumed outstanding options and warrants; for Omnia, it exchanged shares for the company’s shares and assumed stock options. Why did Ciena buy Omnia and Lightera?
The deals were intended to broaden Ciena’s offering to telecommunications service providers. Ciena was known for optical multiplexing, including dense wavelength-division multiplexing (DWDM); adding Omnia and Lightera extended its reach into adjacent carrier-network capabilities, including SONET transmission, optical access and optical path routing. Contemporary coverage described the move as part of a wider optical-network strategy associated with Ciena’s LightWorks initiative (EE Times, March 15, 1999; Forbes, March 15, 1999).

In practical terms, the acquisitions brought together capabilities for moving optical signals through carrier networks and connecting customers or metropolitan networks to that infrastructure. The strategic logic was to offer carriers a broader set of optical-networking components, not simply to add another DWDM product line.
How much did Ciena pay?
The answer depends on whether the figure refers to an announcement-date estimate or Ciena’s later approximate transaction values at closing. Because the deals were stock swaps, their dollar estimates depended on the value assigned to Ciena shares at the relevant time.

The figures should not be collapsed into one definitive purchase price. The nearly $1 billion headline reflects a contemporary estimate tied to the announcement-period share price, while Ciena’s later filing gives approximate values associated with the completed mergers. The per-company estimates in contemporary reporting also do not align consistently, so the source and timing matter when quoting a value. Ciena confirmed the acquisition history in its SEC Form 10-K.
