Warner Bros. Discovery’s merger proxy estimated a combined $1.353 billion in merger-related compensation for five named executives under a specific scenario. It did not report that they had already received that amount in cash. David Zaslav’s estimate was $886.8 million, including a large, uncertain tax-reimbursement estimate; the other four executives’ estimates ranged from $82.6 million to $142.0 million.
How much did WBD estimate for each executive?
Warner Bros. Discovery’s definitive merger proxy, filed March 26, 2026, set out estimated merger-related compensation for five named executive officers. The table below reproduces the proxy’s modeled totals and components; the amounts are estimates, not confirmed payments.

The five totals add to $1,353,010,460. The proxy’s table presents separately valued categories, including equity awards and, for Zaslav, an estimated tax reimbursement. The aggregate is therefore not a cash-payroll figure or a statement of money deposited into the executives’ accounts. WBD’s definitive merger proxy says the estimates depend on multiple assumptions that may not occur or prove accurate.

Zaslav’s $886.8 million modeled total includes $335.4 million in estimated tax reimbursement, in addition to $517.2 million in equity, $34.2 million in cash severance, and $44,195 in benefits. That reimbursement is particularly uncertain: the proxy says it depends on matters including the closing date, a qualifying termination, and tax-mitigation strategies. Based on advisers’ estimates at the time, WBD expected no reimbursement if the merger became effective in 2027.
#1 Best Overall
That distinction helps explain why headlines can cite different figures. The Associated Press described an approximately $550 million “golden-parachute” package based on WBD’s March filing, covering severance, stock awards, and health coverage. The proxy’s broader $886.8 million modeled total also includes the separate tax-reimbursement estimate. The two figures use different scopes; neither establishes a final cash payment. The AP report also covered the shareholder vote and transaction.
What the compensation estimates depend on
Cash severance is not triggered by the deal alone
The proxy states that cash severance depends on a qualifying employment termination. It is not payable just because control changes, and it is not enhanced if a qualifying termination occurs after the change in control. In the proxy’s words, “All cash severance payments are contingent on a qualifying termination of employment and are neither payable on a ‘single trigger’ basis in connection with a change in control nor enhanced if the qualifying termination follows a change in control.”
Equity awards follow different rules
The equity column represents estimated award value, not cash severance. The proxy says Zaslav’s CEO awards vest upon consummation of the merger. Other executives’ equity awards are generally subject to qualifying-termination conditions described in the filing. As a result, the same merger scenario does not imply identical vesting terms for every executive.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsThe table models a particular scenario
The proxy’s principal scenario assumed an effective time of March 11, 2026, and qualifying terminations for relevant benefits. Its figures are estimates built around those assumptions. The filing cautions that actual amounts, if any, could differ materially; it does not establish what each executive ultimately received.
Rank #2
Did shareholders approve the executive compensation?
No. WBD shareholders rejected the advisory executive-compensation proposal. The vote was nonbinding and was not a condition to closing, so it did not itself prevent compensation from being paid if it was otherwise due under the applicable terms. Contemporaneous AP coverage reported the vote and noted that the executives could still receive amounts outlined in the proposal if the deal closed.
Did the deal close, and what does its value mean?
The acquisition closed on October 6, 2026, according to the Associated Press. AP reported an acquisition value of $81 billion excluding debt and $111 billion including debt, and described the combined enterprise as Skydance. Those transaction values measure the deal, not executive compensation; they should not be added to or compared as though they were pay figures. AP’s closing report covers the transaction.
Have the executives actually received these amounts?
The proxy supplies estimates under its stated scenario, not a post-closing accounting of realized compensation. The sources available here do not establish the final amount actually received by each executive. It is therefore accurate to describe the figures as estimated or potential merger-related compensation—not as sums the executives “took home.”
