What to Do When a Business Customer Disputes an Invoice

Ask the customer to specify the disputed amount and reason, check your agreement and records, audit the invoice, and choose a proportionate next step.

If a business customer disputes your invoice, ask exactly which amount or line it challenges, why, and what records it is relying on. Then check the contract, the work or goods supplied, and the invoice itself before proposing a specific fix. The contract, governing law, industry and customer type all matter: this is general UK small-business guidance, not a determination of your legal rights.

How should I respond to an invoice dispute?

Reply promptly and calmly. Treat the dispute as a reason to identify and investigate a specific issue, not as proof that either side is right. Keep the exchange in writing, or send a factual written recap after a call.

  1. Ask for particulars. Ask the customer to identify the disputed line or amount, explain its reason, and point to the records, approval or contract term it relies on.
  2. Agree the next steps. Confirm who will check each point and by what date. If the customer has not explained the objection clearly, ask focused questions rather than debating a general rejection.
  3. Keep a dated record. Save the original messages and note any calls, decisions and agreed deadlines. A written chronology can help both sides narrow what remains unresolved.

What records should I check to prove the work was completed?

Compare what you invoiced with what the customer ordered and what you delivered. There is no special evidential formula in the cited guidance; the useful records depend on the work, agreement and point being challenged.

  • The signed contract, accepted order, purchase order, scope of work and any agreed change or variation.
  • Milestone, delivery or completion records, including relevant timesheets where work was charged by time.
  • Customer approvals, acceptance records and messages about the work, its quality or changes to scope.
  • The agreed rates, quantities, payment terms and any clause about acceptance, correction or dispute handling.
  • Every invoice version and related correspondence, preserved in original form where possible.

Arrange the records by date and connect each disputed charge to the relevant order, work or approval. This makes it easier to distinguish a missing document from a genuine disagreement about performance or contract meaning.

How do I check whether the invoice itself is holding up payment?

An accurate invoice can still be delayed if it is sent through the wrong channel or omits information the customer needs to process it. The UK Small Business Commissioner recommends clear descriptions, quantities, rates and costs, terms agreed in advance and shown on the invoice, and inclusion of a purchase-order number if the customer issued one (A Guide for Effective Invoicing).

  • Check that the customer name and recipient are correct, including any required finance or accounts-payable submission channel.
  • Check the invoice date and unique invoice number, and include the customer or purchase-order reference if one was issued.
  • Make sure the description identifies the supplied work or goods, and that quantities, rates, totals and arithmetic are correct.
  • Check the agreed payment terms, due date and payment details against the contract and invoice.

The Commissioner’s examples describe payment delays linked to a missing purchase-order number, a vague work description or an omitted due date, which were addressed by supplying the missing information. If you find an error or omission, explain it and send a corrected invoice or breakdown through the contract’s process. Keep both the original and corrected records so the change is clear.

What if only part of the invoice is disputed?

Separate the accepted amount from the challenged amount. Ask the customer to confirm in writing what it accepts and, where the contract and applicable rules permit, request payment of that portion under the agreed terms while the disputed line is investigated.

The Fair Payment Code says signatories should pay undisputed portions within terms and resolve disputed portions within the agreed timeframe; that is Code guidance, not a universal rule for every private contract. Its published award criteria are also payment-performance thresholds, not statistics on how often invoice disputes are resolved: Gold requires at least 95% of all invoices paid within 30 days; Silver requires at least 95% within 60 days, including at least 95% of invoices to small businesses with fewer than 50 employees within 30 days; Bronze requires at least 95% within 60 days (Fair Payment Code criteria).

Can a customer refuse to pay a disputed invoice?

There is no single answer for every business invoice. Whether a customer may withhold some or all payment depends on the contract, the reason for the dispute, the governing law and the type of customer. Do not assume that a dispute automatically cancels the whole invoice, or that you can charge interest, suspend work or use a particular recovery process without checking the applicable terms and law.

A specific UK statutory payment rule applies to most covered public contracts, not to all business-to-business invoices. Section 68 of the Procurement Act 2023 implies 30-day payment terms in contracts within its scope and requires a contracting authority to notify the payee without undue delay if it considers an invoice invalid or disputed; exclusions apply. The statute is the starting point, but whether it applies to a particular contract depends on its facts and current application (Procurement Act 2023, section 68).

What resolution should I propose?

Match the remedy to the issue and document any agreement. Avoid conceding liability or threatening action before checking the contract and law.

  • Factual or arithmetic error: correct the invoice or provide a clear breakdown, following the agreed submission process.
  • Performance concern: compare the agreed scope and acceptance terms with delivery records. If the evidence supports a problem, discuss a proportionate correction or credit.
  • Contract interpretation: identify the clause or agreed variation each side relies on. Negotiate a documented settlement or use the dispute procedure in the contract.

Before agreeing a credit, revised scope or payment date, record what it settles and whether any other amount or issue remains open.

When should I escalate an unresolved dispute?

Check the contract for required escalation steps, notice requirements and deadlines before choosing a route. Negotiation or mediation may help resolve a disagreement without court proceedings, but suitability depends on the issue, claim value, jurisdiction, cost, confidentiality and effect on the customer relationship or ongoing supply.

For non-urgent court action, HM Courts & Tribunals Service says to send the other side a short letter or email explaining the case, key dates and issues, with main documents such as the contract or invoices attached. Its Circuit Commercial Court guidance also warns that cases there can be complex and expensive and suggests considering legal advice (Take a business dispute to the Circuit Commercial Court; last updated 7 June 2021). The guidance concerns that court, so confirm current rules and costs rather than treating it as a universal procedure.

Seek prompt professional advice for a high-value claim, a possible limitation issue, insolvency risk, a cross-border contract or a proposed suspension of ongoing work. The Small Business Commissioner describes its role as covering England, Wales, Scotland and Northern Ireland, but the governing law and contract still shape the position in an individual dispute.
