Before buying VIAVI Solutions Inc. (Nasdaq: VIAV), verify what is driving growth, reconcile GAAP results with management’s adjusted numbers, test liquidity and debt, compare execution with guidance, read the company’s risk disclosures, and calculate valuation from a dated share price. The information available through October 13, 2026 supports a disciplined checklist—not a conclusion that VIAV is automatically a buy or a sell.
Start with the business you would own
VIAVI Solutions develops test-and-measurement and optical-technology products. Its customers and end markets include data centers, communications networks, military and aerospace, railway and first-responder communications, anti-counterfeiting, consumer electronics, industrial applications and automotive markets. Those markets do not all move together, so the first question is whether current growth is broadening the business or is concentrated in a few temporary programs.

The company reports two segments. Network and Service Enablement (NSE) supplies testing products for communications networks and the data-center ecosystem. Optical Security and Performance Products (OSP) includes optical filters and related products used in anti-counterfeiting, government, industrial, automotive and 3D-sensing applications.

For fiscal 2026, NSE revenue was $1,182.9 million, an increase of 52.3% from the prior year according to the August 5, 2026 results release. The Form 10-K attributes the increase mainly to stronger lab, production and field demand connected with data centers; the acquisition of Spirent’s high-speed Ethernet, network-security and channel-emulation testing business; and aerospace and defense demand.
#1 Best Overall
Do not treat that percentage as entirely organic growth. In the next 10-Q, look for an acquisition-related revenue bridge, comparable-period information and any changes in backlog, order timing or customer concentration. Ask whether data-center spending is coming from a diverse customer base or from a small number of equipment makers and service providers. Also separate recurring software or service revenue from one-time system shipments.
OSP: check whether improvement is sustained
OSP revenue was $335.4 million in fiscal 2026, up 9.0% year over year. The company reported improvement in anti-counterfeiting and other government, industrial, automotive and 3D-sensing products. Read the segment discussion for volume, price, product mix and foreign-exchange effects. A modest segment increase can still matter if it reduces dependence on NSE, but a single strong quarter does not establish a durable trend.
Map end markets to risks
Create a simple table from the latest 10-K and 10-Q showing each major end market, its approximate contribution if disclosed, the products sold into it and the factors that could change demand. Data-center infrastructure and aerospace programs can have long planning cycles but uneven shipment timing. Communications customers may defer purchases when networks are consolidated or capital budgets tighten. Automotive and 3D-sensing programs can change quickly when a design win is delayed or a technology standard shifts.
Reconcile the headline financial numbers
Fiscal 2026 revenue was $1,518.3 million, up 40.0% year over year. That growth headline must be read alongside profitability and cash generation.
| Fiscal 2026 measure | Reported amount | How to use it |
|---|---|---|
| Revenue | $1,518.3 million; 40.0% year-over-year growth | Check organic versus acquired growth, segment mix and shipment timing. |
| GAAP operating margin | 6.9% | Reflects the accounting costs required under U.S. GAAP; compare with prior years and segment margins. |
| Non-GAAP operating margin | 20.6% | Use only after reviewing which costs were excluded and whether they recur. |
| GAAP net income (loss) | $(30.4) million | A net loss is the bottom-line result under GAAP for the year. |
| GAAP diluted EPS | $(0.13) | Use for a GAAP price-to-earnings calculation only when earnings are positive and comparable. |
| Non-GAAP net income | $243.8 million | Management’s adjusted measure; inspect the reconciliation before relying on it. |
| Non-GAAP diluted EPS | $1.00 | Useful for understanding management’s operating view, not a substitute for GAAP earnings. |
Understand the GAAP-to-adjusted bridge
The gap between a $30.4 million GAAP loss and $243.8 million of non-GAAP income is material. Open the earnings release reconciliation and classify every adjustment. Typical categories can include acquisition accounting, amortization of acquired intangibles, stock-based compensation, restructuring, litigation or financing costs, but use the categories actually reported by VIAVI rather than assuming they are all present.

Then ask three questions:
- Is the adjustment a non-cash accounting charge, a cash payment or both?
- Has a similar charge appeared repeatedly over several years?
- Would the cost disappear if the company stopped acquiring businesses, refinancing debt or granting equity compensation?
The fiscal 2026 release also reported $56.7 million of losses from extinguishing certain convertible notes and Term Loan B. That item affects GAAP results and cash or financing economics differently from operating expenses. Trace it through the income statement, cash-flow statement and debt footnote. If you use adjusted EPS, make clear that it excludes this financing loss only if the company’s reconciliation does so.
Check margins below the company-wide headline
Compare gross margin, operating expenses and operating margin by segment and for the consolidated company. A favorable mix toward high-margin software or specialized instruments can lift margins; a greater share of lower-margin hardware can do the opposite even when revenue rises. Look for warranty provisions, inventory write-downs, expedited freight and purchase-accounting effects, because these can signal pressure that an adjusted margin obscures.
Test cash generation, liquidity and debt
At June 27, 2026, VIAVI reported $656.7 million in cash, short-term investments and short-term restricted cash combined. Senior notes had $650.0 million of aggregate principal and a combined net carrying value of $641.9 million. Fiscal 2026 cash flow from operations was $113.9 million.
| Balance-sheet or cash-flow item | Fiscal 2026 disclosure | Due-diligence question |
|---|---|---|
| Cash, short-term investments and short-term restricted cash | $656.7 million at June 27, 2026 | How much is unrestricted and immediately available after considering required deposits and working-capital needs? |
| Senior notes | $650.0 million principal; $641.9 million net carrying value | What are the maturities, coupons, covenants and optional redemption terms? |
| Operating cash flow | $113.9 million in fiscal 2026 | Does cash conversion improve or deteriorate when compared with operating income and adjusted earnings? |
Do not net cash against debt mechanically. Short-term restricted cash may not be available for general use, and debt may mature before the business has accumulated enough free cash flow to repay it. Read the debt footnote for maturities, interest rates, covenant requirements, hedging and any secured or subordinated status.
Build a cash-conversion check
- Start with operating cash flow from the consolidated cash-flow statement.
- Subtract purchases of property and equipment to estimate a basic free-cash-flow figure, using the company’s disclosed capital-expenditure amount for the same period.
- Review working-capital movements. A reduction in receivables or inventory can temporarily boost cash, while a buildup can suppress it without changing reported revenue.
- Compare cash flow with GAAP operating income and with non-GAAP net income. Large, persistent gaps require an explanation from receivables, inventory, deferred revenue, taxes, restructuring or acquisition costs.
- Check whether cash was used for acquisitions, debt repayment, share repurchases or other financing activities. Those uses determine how much cash remains for future investment.
Because the available figures do not establish a current free-cash-flow yield or debt-paydown schedule, calculate those measures only after pulling the latest filing and a synchronized market quote.

Compare actual results with guidance
VIAVI’s August 5, 2026 results release gave fiscal 2027 first-quarter guidance of $450 million to $460 million in revenue and $0.40 to $0.42 of non-GAAP diluted EPS for the quarter ending October 3, 2026. This was management’s forecast at that date, not a reported result. Before making an investment decision, check the subsequent quarterly release and Form 10-Q to see whether the forecast was met, raised, narrowed or withdrawn.

| Measure | Record before the quarter | Verify afterward |
|---|---|---|
| Revenue | $450 million–$460 million guidance for Q1 FY2027 | Actual revenue, year-over-year growth, segment contribution and any acquisition impact. |
| Non-GAAP diluted EPS | $0.40–$0.42 guidance for Q1 FY2027 | Actual adjusted EPS and the reconciliation to GAAP EPS. |
| Qualitative drivers | Data-center ecosystem, aerospace and defense, and other end markets cited by management | Evidence of orders, backlog, utilization or customer programs in the filing and call materials. |
Track the midpoint of each forecast, the actual outcome and the size of any variance. A beat caused solely by delayed shipments may not be as durable as a beat supported by broader orders and improving bookings. Conversely, a miss caused by timing can be less serious than a miss accompanied by cancellations, price concessions or weaker backlog.
Read the company-disclosed risks as tests
The fiscal 2026 Form 10-K identifies risks; it does not predict that every risk will occur. Convert each disclosure into a question you can test in later filings.
Customer concentration and pricing pressure
Find the percentage of revenue attributable to major customers, whether disclosed, and look for changes in receivables or contract terms. Ask whether a large customer can demand lower prices, delay orders or switch suppliers. Compare unit volume and revenue growth to determine whether price reductions are masking higher shipments.
Competition, including Asia-based competitors
Review management’s discussion of competitors, product launches and market share where available. Watch gross margin and win rates for evidence that competition is forcing discounts or higher research-and-development spending.
Rank #4
Product mix
Mix can change consolidated revenue and margin even when each product line performs as expected. Compare NSE and OSP growth, then inspect the product categories within each segment. A surge in lower-margin hardware can make adjusted EPS guidance harder to achieve.
Changing buying patterns and industry consolidation
Communications customers may consolidate, standardize vendors or move spending between testing phases. Examine order timing, backlog, deferred revenue and the proportion of sales made through distributors. A strong quarter followed by a weak one may reflect customer timing rather than a change in long-term demand.
Trade policy, tariffs and sanctions
Identify where products are made and sold, which components cross borders and whether tariffs or sanctions could raise costs or restrict customers. Look for the company’s discussion of mitigation, alternate suppliers and geographic exposure. Do not assume that a tariff is fully passed through to customers.
Technology adoption
The filing cites the pace and direction of adoption for 5G, 3D sensing and other technologies. Ask whether VIAVI’s products are required for the next technology cycle, merely helpful, or exposed if a competing architecture wins. Validate claims with product revenue trends and customer announcements rather than relying on the size of the potential market.

Value the shares with a dated price and an explicit basis
No synchronized market price or peer valuation is established here, so it would be misleading to call VIAV cheap or expensive from the fiscal figures alone. Use a current Nasdaq quote from your brokerage or another reliable market-data source, record the date and time, and state whether the price is split-adjusted.
Choose the denominator carefully
- GAAP P/E: Fiscal 2026 GAAP EPS was negative, so a conventional trailing P/E is not meaningful for that year.
- Forward adjusted P/E: Divide the share price by a clearly identified adjusted-EPS estimate, and explain whose estimate it is and what adjustments it uses.
- Price-to-sales: Divide market capitalization by trailing or forward revenue, clearly labeling the period. This can be useful when earnings are distorted, but it ignores margin and debt differences.
- Enterprise value: Add debt and other debt-like obligations, then subtract only cash that is available for general corporate use. Compare enterprise value with revenue or a consistently defined operating-cash-flow measure.
- Free-cash-flow yield: Divide normalized free cash flow by equity value. Define capital expenditures and explain any one-time working-capital benefit.
For a peer comparison, use companies with similar testing, measurement or optical exposure and adjust for growth, margins, debt, acquisition history and accounting definitions. A peer multiple is not a valuation answer unless the businesses and denominators are genuinely comparable.
Check share-count and shareholder returns details
VIAVI’s investor FAQ says its common shares trade on Nasdaq under the symbol VIAV and that the company does not currently pay cash dividends. The same FAQ directs investors to the latest Form 10-K or Form 10-Q for shares outstanding. Use the latest diluted share count when converting net income to per-share value, and account for options, restricted stock and convertible instruments where relevant.
Do not infer a future dividend from cash on the balance sheet. Management may instead use cash for acquisitions, debt service, research and development or working capital. Any change in dividend policy would need to be confirmed in a company announcement or filing.

Use a repeatable filing workflow
- Open the latest Form 10-K. Confirm the fiscal year ended on the last Saturday in June, then read the business description, segment note, risk factors, debt footnote and cash-flow statement.
- Read the latest Form 10-Q. Update revenue, margins, cash, debt, share count and commitments since the annual filing.
- Read the earnings release reconciliation. Tie every non-GAAP adjustment to the company’s definition and note whether it is recurring.
- Compare guidance with outcomes. Keep a dated record of each forecast, midpoint and actual result.
- Recalculate valuation. Use a current price, the latest diluted share count and a denominator that matches your investment thesis.
- Write down what would change your mind. Examples include a sustained decline in data-center orders, worsening cash conversion, debt-refinancing pressure, a material customer loss or repeated guidance reductions.
Red flags that deserve a second look
- Revenue growth remains high while receivables or inventory grow materially faster without a clear explanation.
- Adjusted earnings rise mainly because excluded charges recur every year.
- Operating cash flow trails adjusted net income for several periods and management gives no durable working-capital explanation.
- Debt maturities approach while unrestricted cash and free cash flow are insufficient to cover them.
- NSE growth is concentrated in one customer, one acquisition or one shipment period.
- OSP improvement reverses as soon as a single program or product cycle ends.
- Guidance is repeatedly missed, narrowed or replaced by qualitative language.
- Price concessions, tariffs or customer consolidation reduce gross margin faster than revenue grows.
A practical pre-purchase checklist
Before placing an order for VIAV, you should be able to answer each question without relying on a headline number:
- What percentage of the investment thesis depends on NSE, OSP, data centers, aerospace and defense, or a specific acquisition?
- Which fiscal 2026 growth was acquired, and what evidence supports organic growth?
- Why is GAAP EPS negative while non-GAAP EPS is positive, and which excluded costs are likely to recur?
- How much cash is unrestricted, when do the senior notes mature, and can operating cash flow support debt service and investment?
- Did the company meet the fiscal 2027 first-quarter guidance issued on August 5, 2026?
- Which disclosed risk would hurt revenue or margin first if conditions deteriorated?
- What dated share price and share count did you use, and why is your valuation denominator appropriate?
- What specific filing, operating metric or guidance change would make you reduce or abandon the position?
That process separates reported facts from management forecasts and from your own judgment. It also keeps the investment decision current: VIAVI’s fiscal 2026 results are historical, the fiscal 2027 guidance was issued on August 5, 2026, and later filings can materially change the picture.
