Do not accept a vendor’s region selector as proof that your data is legally or operationally confined to that region. A sound SaaS review maps every data flow, identifies the entities and laws that can reach it, tests access and transfer safeguards, and turns the answers into enforceable contract terms.
This guide gives procurement, privacy, security and regulated-industry teams a question set, comparison framework and contract checklist for that work.

Start with the distinction: residency is location, sovereignty is legal authority
Data residency describes where data is physically or geographically located while at rest. The Government of Canada defines it as “the physical or geographic location of an organization’s data while at rest.” Data sovereignty concerns which country’s laws control access to or disclosure of information. A database in one country can still be operated by an entity subject to another country’s laws.

Residency helps you assess storage location, latency, disaster recovery and local requirements. Sovereignty analysis asks which governments could compel a provider, affiliate or employee to disclose or access information, and which legal process would apply.

A selected region therefore cannot, by itself, answer whether foreign-government access is possible, whether support staff can view content, or whether backups and telemetry leave the region.
Build a written data-flow and jurisdiction map
Ask the vendor to document each category of information rather than answering only for “customer data.” Require countries—not just regions or data-center names—and distinguish storage, processing, transmission and human access.
| Data category | Questions to document | Evidence to request |
|---|---|---|
| Customer content | Where is primary storage? Where is content processed, cached or indexed? Can staff access plaintext? | Architecture or data-location statement; encryption and access-control description |
| Personal and account data | Which countries host profiles, billing records, identity data and authentication services? | Privacy and processing documentation identifying destinations and purposes |
| Metadata, logs and telemetry | Do diagnostic events, usage analytics, IP addresses or device identifiers go to another country? | Retention and telemetry-location schedule |
| Backups and disaster recovery | Where are replicas, snapshots and recovery environments kept? How often do locations change? | Backup-region list, resilience design and deletion schedule |
| Support tickets and communications | Which support centers and subcontractors can receive attachments or screen captures? | Support-access process, personnel locations and ticket-retention policy |
| Transit and integrations | Which countries can data traverse between your users, service components and connected systems? | Network-flow description and integration data map |
Ask whether the vendor’s location commitment covers all of these components or only primary customer content. UK government guidance warns that a vendor may offer a deployment region while some service components remain elsewhere. New Zealand guidance similarly calls attention to storage, backups, transit and processing locations.

Questions to send verbatim
- “Provide a country-by-country map for customer content, personal data, metadata, account records, logs, telemetry, backups, disaster-recovery copies and support tickets.”
- “For each category, identify where it is stored at rest, processed, transmitted and accessed by people or systems.”
- “Does the selected region cover every service component, or only the primary database? List all exceptions.”
- “Identify any temporary caches, indexes, monitoring systems, test environments and incident-response copies.”
- “State retention periods and the process and timing for deleting each copy.”
Identify the entities and laws behind the service
Obtain the legal and operational chain, not just the brand name shown in the sales proposal. Ask which entity signs your agreement, operates the platform, controls the infrastructure, employs support personnel and owns or controls relevant affiliates. Record each entity’s incorporation country, operating countries and role.
Then ask which countries’ laws may apply to each entity or operation, including laws that can compel a provider to disclose customer information. An international vendor can be subject to its home-country law and, in many cases, the law of the place where it operates. UK Government Digital Service guidance states: “International vendors must comply with their home country’s laws and, in many cases, the laws of the region in which they are operating.”

Do not infer legal exposure from the physical location of a data center. A local facility may be run by a foreign parent, and a support or security team in another jurisdiction may have privileged access.
Entity and jurisdiction questions
- Which entity is the data processor or service provider under our contract?
- Which affiliates can administer systems, provide support, monitor security or handle billing?
- Where are those entities incorporated and where do they operate?
- Which laws could require access, preservation or disclosure of our data or metadata?
- Can the vendor provide a legal analysis of government-access exposure for our chosen deployment?
- Will a change of parent company, hosting operator or support location trigger notice or consent?
Test the government-access process
Ask what happens when a government or regulator requests your information. A useful answer describes an operational process, not a promise that requests are “rare.” Require the vendor to explain how it verifies legal authority, narrows scope, challenges unlawful or overbroad demands, limits disclosure and records the decision.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesAsk when and how you will be notified, subject to legal restrictions. Request transparency reporting or a substitute description if reports cannot identify individual customers. New Zealand government guidance proposes evaluating whether a provider informs customers of lawful requests, limits disclosure to valid legal process, reviews requests and deletes data after contract termination.
Minimum access-request questions
- Who receives and validates a demand, and what legal criteria must it meet?
- Does the vendor challenge requests it considers unlawful, excessive or inconsistent with customer rights?
- Will it seek to narrow the data, time period or users covered?
- What notice will be given before disclosure, and what exceptions apply?
- Are emergency requests handled under a separate documented process?
- Will the vendor report the request, disclosure and any nondisclosure requirement after the restriction ends?
- How are data copies preserved during a legal hold and destroyed afterward?
Map subprocessors, affiliates and human access
Request the current subprocessor and affiliate list with each party’s function, countries of operation, data categories and access level. Include cloud infrastructure, support desks, security-monitoring providers, analytics services, payment processors and backup operators.
Ask how additions or changes are announced, how much notice you receive, whether you can object, and what happens if an objection cannot be resolved. Require contractual flow-down of confidentiality, security, deletion, incident and government-request obligations. FCA guidance for firms outsourcing to cloud services identifies supply-chain and subcontractor responsibilities as matters for scrutiny.

Human access deserves separate treatment. Ask whether support personnel can view plaintext, whether access is ticket-approved and time-limited, where staff are located, how sessions are logged and whether customer-managed keys prevent provider access. A list of data-center countries does not answer these personnel questions.
Check transfer and privacy safeguards for your specific role
Have the vendor identify every international transfer, destination, purpose, contractual protection and transfer mechanism relevant to your organization’s role and jurisdictions. The answer may differ depending on whether you are a controller, processor, public body or regulated firm.
Ask for the documents that support the mechanism and the process for handling a legal or operational change. UK guidance directs organizations to follow applicable international-transfer rules and seek advice from a data-protection officer or lawyer. Do not present one country’s transfer rules as universal, and do not infer compliance merely from an EU, UK, Canadian or other region label.
Evidence to request
- Data-processing agreement and transfer annexes.
- Subprocessor list and change-notice procedure.
- Transfer-impact or jurisdiction assessments where the vendor relies on them.
- Policies for responding to government demands and conflicts of law.
- Records of technical and organizational measures applied to transferred data.
Examine technical controls that reduce access risk
Technical safeguards cannot eliminate jurisdictional exposure, but they can reduce what a provider, employee or attacker can read. Ask for implementation details rather than labels such as “enterprise encryption.”
- Encryption at rest: Which systems and copies are encrypted, and which algorithms and key protections are used?
- Encryption in transit: Is encryption enforced between users, service components, backups and support tools?
- Key control: Where are keys held, who administers them, and can your organization supply or rotate them?
- Customer-managed keys: Can you revoke access independently, and what service functions stop when a key is unavailable?
- Privileged access: How are administrator roles approved, separated and reviewed?
- Personnel logging: Are support and engineering sessions recorded with user, time, purpose and data scope?
- Plaintext capability: Can the provider access decrypted content, indexes, backups or logs?
NHS England’s DARS requirements identify encryption at rest, encryption in transit, geography and jurisdiction risk assessment, and data destruction as controls in that context. They are useful prompts, not a universal compliance checklist.

Turn answers into binding contract terms
Put the agreed boundaries in the main agreement, data-processing terms, security exhibit and service description. A marketing page or sales email is not a reliable location commitment.
| Contract area | Terms to resolve |
|---|---|
| Scope | Define covered content, personal data, metadata, logs, backups, support records and derived data. |
| Location | List permitted countries for storage, processing, transit, backup and human access; identify exceptions. |
| Change control | Require advance notice of location, entity, subprocessor or transfer-mechanism changes, with objection or termination rights where appropriate. |
| Disclosure requests | Require legal review, minimization, challenge of improper demands, customer notice where lawful and reporting after restrictions end. |
| Subprocessors | Require a current list, notice, flow-down obligations and a workable objection process. |
| Security and audit | Specify encryption, key control, privileged-access logging, incident notice, audit evidence and regulator access. |
| Retention and deletion | Set retention periods, deletion deadlines, backup treatment and written certification. |
| Return and exit | Define export format, assistance, costs, transition period, continued protection and verified destruction. |
The Irish Data Protection Commission states: “A data controller must remain in control of the personal data it collects when it subcontracts the processing to a cloud provider.” Use that principle when reviewing audit rights, instructions, subprocessor controls and deletion evidence. FCA guidance also highlights jurisdictional control, physical access, subcontracting, access to data, concentration risk and exit planning.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Match the service to your actual legal and regulatory duties
Classify the workload before choosing a location. Record the data subjects, sensitivity, confidentiality impact, statutory retention, sector rules, public-procurement conditions, contractual promises and likely threat actors. Then ask counsel or your privacy officer which requirements apply to the specific entities and countries involved.
Rules vary by government, sector, classification and contract. Canada’s federal Service and Digital guideline calls for facilities in Canada to be evaluated as a principal option for certain sensitive or classified government information. A cited US Department of Defense Federal Acquisition Regulation Supplement provision, DFARS 239.7602-2, requires covered government data to remain in the United States unless authorized. Neither example is a universal rule for commercial SaaS buyers.

Similarly, FCA FG16/5 applies to firms within the FCA’s remit; the FCA page says new material third-party notification rules apply from 18 March 2027. NHS England’s DARS requirements apply in that application context. UK multi-region guidance is specific to its public-cloud and SaaS setting and allows overseas locations when legal, data-protection and security arrangements are satisfactory. Treat each source as jurisdiction- and audience-specific.

- Data classification and business criticality.
- Countries permitted for storage, processing, support and backup.
- Transfer mechanisms and documentation required.
- Government-access, secrecy and notification expectations.
- Retention, deletion, audit and regulator-access duties.
- Resilience, recovery-time and recovery-point objectives.
- Exit, portability and concentration-risk tolerances.
Compare deployment options with one decision matrix
Use the same questions and evidence standard for every vendor or region. Mark an item “not stated” when the supplier has not established it; do not treat silence as compliance.
| Decision axis | What to compare |
|---|---|
| Data-flow scope | Countries for storage, processing, transit, backup, telemetry and personnel access. |
| Legal exposure | Contracting entities, parent and affiliate jurisdictions, applicable access laws and conflict-of-law process. |
| Requests and notice | Review, challenge, minimization, customer notification and transparency reporting. |
| Supply chain | Subprocessors, locations, functions, access levels, notice and objection rights. |
| Privacy and transfers | Mechanisms, contractual protections, destination assessments and change management. |
| Technical controls | Encryption, key location, customer-managed keys, privileged access and logs. |
| Contract enforceability | Location promises, audit, regulator access, deletion certification, remedies and termination rights. |
| Operational fit | Availability, performance, resilience, features, sustainability, cost and capacity. |
| Exit and concentration | Export format, assistance, transition time, portability and dependence on one provider or region. |
UK guidance recognizes trade-offs from using multiple regions, including resilience, capacity, features, cost, sustainability and disaster recovery. FCA guidance flags concentration risk and exit planning. Weigh those factors against your requirements rather than ranking vendors on geography alone.
Common weak answers and how to follow up
“Your data stays in the region you selected.”
Ask whether that means primary content only. Request the country list for backups, logs, support, monitoring, disaster recovery and transit, plus any exceptions and their retention.

Ask which legal entities and countries are covered, which transfer mechanisms are used for your role, and how the vendor handles conflicting disclosure laws. Ask for the clauses and evidence supporting the statement.
“We have no access to customer data.”
Distinguish routine access from technically possible access. Ask about break-glass procedures, support attachments, encryption keys, metadata, backups and privileged-session logging.
“Subprocessors are listed online.”
Capture the list and version at signing, require notice of changes, and verify objection, replacement and flow-down terms in the contract.
“Deletion occurs when you cancel.”

- Classify the workload. Identify data types, sensitivity, users, jurisdictions, statutory and contractual duties, and threat scenarios.
- Send the data-flow questionnaire. Require country-level answers for storage, processing, transit, backups, telemetry, support and access.
- Build the entity and jurisdiction map. Link each flow to the responsible legal entity, affiliate, subprocessor and potentially applicable law.
- Validate safeguards. Review transfer mechanisms, access-request procedures, encryption, key control, logging and deletion evidence.
- Negotiate the contract. Put locations, changes, disclosures, subprocessors, security, audit, deletion and exit obligations in binding terms.
- Score alternatives. Use a consistent matrix that includes legal exposure, resilience, performance, cost and portability.
- Obtain accountable sign-off. Have privacy, security, procurement, business owners and counsel record residual risk and acceptance conditions.
- Monitor after purchase. Track subprocessor and region changes, legal developments, incidents, audit reports and exit readiness.
What the final procurement file should contain
- A dated country-by-country data-flow map.
- An entity, affiliate, subprocessor and jurisdiction register.
- A list of applicable legal, regulatory, public-sector and contractual requirements.
- Vendor answers and supporting documents, with unresolved items clearly marked.
- The comparison matrix and rationale for the selected option.
- Signed contract language covering location, access requests, transfers, security, deletion and exit.
- Named owners, review dates and triggers for reassessment.
A vendor’s region claim is one input. The defensible decision is the documented relationship between your data, the laws that may reach it, the controls that limit access, and the promises you can enforce.
