Re:

What Risks Should Investors Understand Before Buying FNMA Stock?

Fannie Mae’s earnings do not settle the case for FNMA common stock. Understand how conservatorship, Treasury’s senior claims and warrant, dividend limits, and operating exposures affect the risks.

FNMA common stock carries risks that are separate from Fannie Mae’s business performance. The company remains in federal conservatorship, Treasury holds senior preferred stock and a large common-stock warrant, and common dividends are constrained. Fannie Mae reported $4.0 billion in net income for the second quarter of 2026, but that result does not establish what value, if any, may ultimately accrue to common shareholders.

The figures below come from Fannie Mae’s 2025 Form 10-K, its first- and second-quarter 2026 materials, and Federal Housing Finance Agency (FHFA) information. They describe conditions and terms on specific dates, not a forecast of privatization, recapitalization, dividends, or a future share price.

Why can a profitable company still be a risky common-stock investment?

A company’s earnings, net worth, and business activity describe its operations. They do not by themselves establish the rights or potential return of its common shareholders. For Fannie Mae, those shareholder questions are affected by conservatorship, Treasury’s senior claims, the Treasury warrant, restrictions on dividends, and capital-related conditions.

This distinction matters when assessing FNMA: an operating result is not the same as cash available for distribution to common holders, and a reported net-worth figure is not a per-share valuation. The company’s financial performance is relevant, but it must be considered alongside the legal and financial structure that governs the common stock.

Investors can therefore be right about the health of the mortgage business and still be wrong about the common stock. A stronger quarter may increase the company’s net worth while also affecting the senior preferred liquidation preference under the governing terms. A larger accounting profit may not be paid out, and an attractive company-level balance sheet may not translate into control, voting power, or a proportional residual claim for common holders.

The practical question is not simply whether Fannie Mae can make money. It is whether, after senior claims, policy decisions, capital needs, dilution and distribution restrictions are taken into account, common shareholders have a sufficiently clear and favorable claim. The available filings do not resolve that question in advance.

What does conservatorship mean for FNMA shareholders?

FHFA has been conservator since 2008

FHFA placed Fannie Mae into conservatorship on September 6, 2008. FHFA describes conservatorship as a process intended to stabilize an institution. Fannie Mae’s first-quarter 2026 Form 10-Q says the company continued to operate under conservatorship, so the status remained in place in the company’s latest quarterly filing covered here.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Conservatorship is not an ordinary corporate restructuring with a published timetable for returning control to common investors. The company continues to conduct its business and file financial reports, but the conservator’s role and the agreements with Treasury are central to how the company is governed and capitalized. A purchase thesis that assumes an imminent end to conservatorship is consequently dependent on an event that the cited filings do not promise.

Shareholder control is limited

Fannie Mae’s 2025 Form 10-K says common shareholders generally cannot elect directors or vote on other matters unless the conservator delegates those rights. The filing also says the company is not managed with a strategy to maximize stockholder returns. That is a material difference from evaluating a conventional company whose board and management operate under ordinary shareholder-governance arrangements.

Limited voting rights affect more than formal elections. Common holders have less ability to influence the board, challenge strategic choices, or demand a particular capital policy through the usual shareholder process. Even if investors disagree with management’s decisions, their ability to change those decisions through voting is constrained while the stated conservatorship arrangements apply.

Conservatorship also makes the common-stock case dependent on decisions by government entities and on the agreements governing the company. The fact that a business continues operating, reports profits, or has positive net worth does not itself determine when or how conservatorship might end. The official materials describe the existing status and governing terms; they do not establish a future outcome.

That uncertainty can affect the timing of any potential recapitalization, release, restructuring or change in shareholder rights. Those words describe possible categories of government action, not scheduled events. Investors should avoid assigning a date or probability to them unless a current official announcement or filing supplies one.

How does Treasury’s senior preferred stock affect common equity?

Senior claims rank ahead of common stock

Treasury’s senior preferred stock ranks ahead of common and other preferred stock for dividends and liquidation distributions. Fannie Mae’s 2025 Form 10-K reported an aggregate liquidation preference of $227.0 billion as of December 31, 2025. This is a dated reported figure, not an estimate of what common stock is worth.

“Ranks ahead” is important because common stock is the residual security. Before common holders could receive value in a liquidation or other distribution, obligations with priority would have to be addressed under the applicable terms. The $227.0 billion figure should therefore be read as the size of a senior claim reported at that date, not as an amount that can simply be ignored when looking at net worth or earnings.

The preference can change

The same filing describes terms under which the senior preferred liquidation preference can increase with Treasury funding, certain unpaid fees or dividends, and increases in Fannie Mae’s net worth through the capital reserve end date. The preference therefore should not be treated as a fixed amount for all future periods.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

This creates a potential moving target for anyone trying to estimate a residual for common shares. An increase in net worth can be positive for the company as an operating matter while also increasing the senior preferred preference under the stated terms. The direction and size of any eventual common residual would depend on the complete set of agreements, capital requirements and transactions in effect at that time.

In a liquidation or restructuring, senior claims can affect what, if anything, remains for common shareholders. That is why it is unsafe to treat reported company net worth as equivalent to value available to common holders. The filing’s preference figure and terms describe a senior claim; they do not calculate a residual value for FNMA shares.

A common valuation mistake is to take a headline net-worth number, divide it by a current share count and call the result “book value” for common stock. That approach can omit the senior preferred claim, possible changes in that claim, other preferred interests, warrant dilution and the terms of any future transaction. A calculation is only as reliable as the rights and share counts it includes.

How large is the Treasury warrant dilution risk?

The warrant covers a substantial share of fully diluted common stock

Fannie Mae’s 2025 Form 10-K describes a Treasury warrant covering common shares equal to 79.9% of common stock outstanding on a fully diluted basis. The company’s first-quarter 2026 Form 10-Q says its basic and diluted earnings-per-share weighted-average share count included 4.7 billion shares issuable upon full exercise of the warrant.

The percentage and the quarterly share count answer related but different questions. The 79.9% description states the warrant’s contractual coverage on a fully diluted basis under the terms described in the annual filing. The 4.7 billion figure shows how potential warrant shares were reflected in the first-quarter 2026 EPS denominator. Neither number is a forecast of the exact shares that will be outstanding in a later period.

More shares can change an ownership or per-share calculation

If a large number of additional shares is included in a share-count calculation, each existing share represents a smaller portion of the total than it would on a smaller denominator, all else equal. This is the basic mechanism behind dilution risk. It does not, by itself, tell an investor what a future share price or per-share outcome will be: that would also depend on the company’s circumstances and the terms and events that apply.

Dilution can affect several investor metrics at once. It can reduce an existing holder’s percentage ownership, lower earnings per share relative to a calculation using only basic shares, and reduce voting influence if the additional shares are issued. The economic effect cannot be inferred from the warrant percentage alone because the value of the business, the exercise terms and any recapitalization or restructuring would also matter.

The same first-quarter filing included 26 million additional shares from convertible preferred stock in diluted EPS for the quarter. That figure is specific to the filing’s diluted-EPS calculation; it should not be substituted for the warrant figure or treated as a prediction about a future share count.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When reviewing an EPS table, check whether the number is basic or diluted and read the accompanying notes. A headline earnings-per-share figure may use a denominator that already reflects potential shares, while a market quote may not make that distinction obvious. Comparing periods without checking changes in the denominator can lead to an overstated view of per-share growth.

Are common dividends assured if Fannie Mae earns a profit?

No. Fannie Mae’s 2025 Form 10-K says that during conservatorship the company has not paid dividends on common stock or on preferred series other than senior preferred stock. It also says the current Preferred Stock Purchase Agreement (PSPA) terms require Treasury’s prior written consent for other dividend payments, even if conservatorship ends.

The filing describes future senior preferred dividend mechanics and capital-related conditions as well. Consequently, positive quarterly earnings do not automatically mean the company can or will pay a common dividend. A reader considering FNMA should not build an assumption of regular common income into an analysis without a confirmed change in the governing terms and an actual dividend declaration.

Dividend risk has two dimensions here. First is the legal and contractual ability to make a payment. Second is whether management and the relevant government parties would choose to retain earnings for capital or other purposes. A company can report income and retain it, and a common holder cannot treat retained earnings as cash received.

Do not confuse dividends on Treasury’s senior preferred stock with dividends on FNMA common shares. The filing specifically distinguishes the senior preferred series from common and other preferred series. A statement that “Fannie Mae pays dividends” is incomplete unless it identifies the security receiving the payment and the applicable terms.

What do the latest operating results show—and what do they not show?

Second-quarter 2026 reported results

Fannie Mae’s second-quarter 2026 results, reported July 29, 2026, showed $4.0 billion in net income and $7.6 billion in net revenues. The company reported $116.5 billion in net worth and a $4.1 trillion guaranty book for the quarter. These are company-level results and balance-sheet or business measures; none is a direct measure of common-share value.

The $4.1 trillion guaranty book indicates the scale of mortgages and related obligations supported by Fannie Mae’s guarantee business, not an amount that belongs to common shareholders. A large guaranty book can generate substantial revenue, but it also leaves results exposed to mortgage credit performance, housing conditions and the cost of managing the business. Scale amplifies both opportunity and exposure.

Credit and interest-rate exposures appeared in the same quarter

In its second-quarter webcast on July 29, 2026, management discussed higher credit provision and $157 million in net charge-offs. It also reported $150 million in net unrealized losses on available-for-sale investments attributed to long-term interest-rate movements. The figures describe activity and exposures during that reporting period, not a guarantee of future losses or earnings.

Credit provisions and charge-offs are connected to the performance of mortgage borrowers and the underlying housing market. A weakening economy, falling home prices or stressed borrowers could affect future results, while stronger conditions could reduce pressure. The cited quarter does not establish which direction conditions will take next.

Interest-rate exposure is also broader than the single $150 million loss reported for the quarter. Changes in long-term rates can affect the market value of available-for-sale investments and can influence mortgage activity, refinancing, hedging and the economics of the guarantee business. Investors should treat the reported loss as evidence that rates matter, not as a fixed annual amount.

Portfolio choices and capital requirements can change how operating income is converted into retained capital. Higher earnings may be needed to meet capital objectives rather than distributed. Conversely, an adverse credit or rate environment can consume capital and make distributions less feasible. These effects are why operating forecasts should be tested against the capital and distribution framework, not only against revenue growth.

These disclosures illustrate why operating performance can vary. Mortgage credit conditions and housing activity can affect credit provisions and charge-offs; interest-rate movements can affect investment results; and portfolio choices and capital requirements can also influence the company’s results. The reported quarter is a snapshot, not a basis for assuming that the same income or loss pattern will recur.

What other traps can make an FNMA analysis misleading?

Using stale terms or stale market data

The $227.0 billion preference is reported as of December 31, 2025, while the warrant share count appears in a first-quarter 2026 filing and operating results come from the second quarter. Combining them can be useful for context, but each figure must retain its date and scope. Later filings or amendments could change the relevant balances, terms or share counts.

The official materials covered here also do not establish a current FNMA quote, trading volume, bid-ask spread or the execution quality available through a particular brokerage. A theoretical valuation can be undermined by the price at which an order actually fills, especially when a security has limited or changing market depth. Obtain current market data separately rather than assuming a filing supplies it.

Assuming a policy result

Conservatorship, Treasury’s senior preferred position, capital requirements and the PSPA are matters in which government decisions and contractual changes can be decisive. Treating a release, recapitalization, warrant resolution or dividend restart as certain turns a scenario into an assumption. A disciplined analysis labels each such event as an uncertainty and tests what happens if it does not occur.

Confusing company net worth with common value

Net worth is a company-level accounting measure. It does not subtract every possible senior claim, assign a value to the warrant’s dilution, or guarantee a distribution. The $116.5 billion reported for the second quarter of 2026 should be read in that context, not as a per-share liquidation value.

How should an investor examine the risks before making a decision?

A useful review separates the business case from the common-share case. Start with official filings and results, identify the date and scope of each figure, and keep operating measures distinct from shareholder rights and potential distributions.

  1. Read the latest annual and quarterly filings. Look for the sections covering conservatorship, the PSPA, senior preferred stock, warrants, dividends, capital, and earnings-per-share share counts. Check that you are using the period stated in each filing rather than carrying a dated figure forward as though it were current.
  2. Build a rights-and-priority map. Write down which securities rank ahead of common stock for dividends or liquidation, what consent rights apply, and which shareholder votes are limited. This prevents an earnings discussion from silently becoming a common-equity conclusion.
  3. Separate company measures from common-equity measures. Record net income, net worth, revenues, and the guaranty book as company-level indicators. Separately identify senior claims, dividend restrictions, voting limitations, and potential share-count changes. Do not infer common-stock value by subtracting or dividing these figures without a supported valuation method.
  4. Inspect the share-count assumptions. Note whether a reported EPS figure is basic or diluted and what potential shares the filing includes. The warrant and convertible preferred shares illustrate why headline earnings and earnings per share can answer different questions.
  5. Stress the operating drivers. Consider how changes in mortgage credit, charge-offs, housing activity, long-term interest rates, investment values and capital needs could affect results. Use the reported $157 million of net charge-offs and $150 million of rate-related unrealized losses as reminders to examine those exposures, not as forecasts.
  6. Consider more than one possible policy outcome. Conservatorship, capital, and PSPA arrangements are subject to government decisions and governing agreements. A thesis that requires one particular change should be understood as dependent on that change, rather than as an established company fact.
  7. Check current trading information through your own brokerage. The official company materials discussed here do not establish a current FNMA quote, trading volume, bid-ask spread, or the execution quality available to an individual investor. Those conditions can affect the price and timing at which a particular order is filled.
  8. Match the risk to your own circumstances. Decide whether you can tolerate an uncertain timeline, possible dilution, no assured common dividend and outcomes driven partly by government action. A security with these characteristics may not fit a short time horizon or an income-dependent plan.

This framework identifies questions to resolve; it does not determine whether FNMA is suitable for a particular investor. That depends on the person’s circumstances, risk tolerance, time horizon, and access to current market information.

Which uncertainties remain unresolved?

The filings and FHFA materials establish Fannie Mae’s reported status and the terms described above, but they do not establish what future actions FHFA or Treasury will take regarding conservatorship, capital, or the PSPAs. They also do not provide an individual investor’s brokerage-specific execution conditions. Any conclusion that depends on those future government decisions or on a particular trade price remains uncertain.

There is also no filing-based way to promise that common shareholders will receive a specified portion of future net worth. The senior preferred preference may change under the described terms, the warrant may affect the fully diluted share count, and capital needs may compete with distributions. Those variables must be revisited whenever a new annual report, quarterly filing or government announcement becomes available.

For freshness, the latest company quarter covered here is the second quarter of 2026, reported July 29, 2026. Subsequent filings, changes to governing terms, or later company results could alter the facts relevant to an assessment. A reader should use current official filings and market data when evaluating the stock.

Frequently Asked Questions

Is FNMA common stock the same as owning a direct share of a normal mortgage company?

No. Fannie Mae operates under FHFA conservatorship, common shareholders generally cannot elect directors or vote unless the conservator delegates those rights, and the company is not managed with a strategy to maximize stockholder returns. Government decisions and the PSPA therefore have an unusually important role in the common-stock outcome.

Does Fannie Mae’s $116.5 billion net worth belong to common shareholders?

Not automatically. Net worth is a company-level measure. Treasury’s senior preferred stock ranked ahead of common equity, had an aggregate liquidation preference of $227.0 billion at December 31, 2025, and the preference can change under the described terms. The warrant and other capital conditions also affect any potential common residual.

Could FNMA resume paying a common dividend because it is profitable?

Profitability alone does not assure a dividend. The 2025 Form 10-K says common dividends have not been paid during conservatorship and that other dividend payments require Treasury’s prior written consent under the current PSPA terms, even if conservatorship ends.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How much dilution could the Treasury warrant create?

The 2025 Form 10-K describes a warrant covering shares equal to 79.9% of common stock outstanding on a fully diluted basis. In the first quarter of 2026, Fannie Mae included 4.7 billion shares issuable upon full warrant exercise in its basic and diluted EPS weighted-average share count. These figures show material dilution risk but do not predict a future price or exact share count.

What did Fannie Mae report in the second quarter of 2026?

Results reported July 29, 2026 included $4.0 billion of net income, $7.6 billion of net revenues, $116.5 billion of net worth and a $4.1 trillion guaranty book. Management also discussed $157 million of net charge-offs and $150 million of net unrealized losses on available-for-sale investments tied to long-term interest-rate movements.

What information should I check before placing an FNMA order?

Review the latest Form 10-K, Form 10-Q, PSPA and FHFA information, then check your brokerage for the current quote, volume, bid-ask spread and order-execution conditions. The cited company filings do not establish those brokerage-specific market details.

The Bottom Line

FNMA’s reported earnings and net worth describe a large operating business, but they do not settle the common-stock investment case. Conservatorship limits shareholder control, Treasury’s senior preferred claim ranks ahead of common equity, the 79.9% warrant creates substantial dilution risk, and common dividends are not assured. Credit, housing and interest-rate exposures remain material. Use current filings and market data, and treat any outcome that depends on future FHFA or Treasury action as uncertain.
