Nvidia did not announce a completed $100 billion payment to OpenAI. In September 2025, it announced a letter of intent for an investment of up to $100 billion tied to deployment of at least 10 gigawatts of Nvidia systems. The plan did not close in that announced form: Nvidia later said an agreement was still being finalized and warned that no transaction was assured. Subsequent funding and data-center arrangements are separate deals, not proof that the original proposal went through.
What Nvidia announced in September 2025
Nvidia and OpenAI said they had signed a letter of intent covering deployment of at least 10 gigawatts of Nvidia systems. Nvidia said it “intends to invest up to $100 billion in OpenAI as the new NVIDIA systems are deployed.” The amount was an intended ceiling linked to deployment—not a statement that $100 billion had been transferred or that OpenAI had received a lump-sum investment. Nvidia’s September 22, 2025 announcement described the arrangement as a letter of intent.
Why the original plan appeared to stall
In its Form 10-K for the fiscal year ended January 25, 2026, Nvidia said it was finalizing an investment and partnership agreement with OpenAI. The filing also stated there was “no assurance” an agreement would be entered into or a transaction completed. That is the clearest company disclosure that the September proposal remained unresolved at that point. Nvidia’s fiscal 2026 Form 10-K
Ars Technica reported on February 3, 2026, that the proposed $100 billion investment had not closed. The report quoted Nvidia CEO Jensen Huang describing the figure as “never a commitment.” That is Huang’s later characterization as reported by Ars Technica, not a substitute for the wording in Nvidia’s September announcement, which said the company intended to invest up to that amount as systems were deployed. How the later arrangements differ
Nvidia and OpenAI continued to have infrastructure and financing ties, but the instruments and amounts differ from the proposed 2025 investment.
| Arrangement | Type and amount | Status and key conditions | Source basis |
|---|---|---|---|
| September 2025 proposal | Letter of intent; Nvidia intended to invest up to $100 billion as at least 10 gigawatts of Nvidia systems were deployed. | Not announced as a completed transfer. Nvidia’s fiscal 2026 filing said the agreement was still being finalized and completion was not assured. | Nvidia announcement and Form 10-K. |
| Ohio campus guarantees | Conditional guarantees capped at $105 billion in aggregate, related to specified lease and power payments for campuses with about 4.25 gigawatts of IT load. | Not equity investment. Guarantees are conditional, generally take effect as relevant leases commence and facilities enter service, and decline as OpenAI fulfills lease payments. Nvidia said service was expected to begin in fiscal 2029. | Nvidia Form 10-Q for the quarter ended July 26, 2026. |
| Ohio data-center project | SB Energy to build, own, and operate the data center under a 20-year lease to OpenAI; Nvidia announced a $1.5 billion investment in SB Energy. | A lease and a separate investment in the project operator, not the proposed $100 billion equity investment in OpenAI. | Nvidia announcement of August 17, 2026. |
| February 2026 OpenAI funding round | $30 billion attributed to Nvidia. | Cinco Días reported on October 2, 2026, that Nvidia committed the amount and that the final tranche had been disbursed. The Nvidia filings cited here do not independently confirm that particular contribution. | Secondary reporting by Cinco Días / El País. |
What the $105 billion Ohio guarantee does—and does not—mean
Nvidia’s July 2026 Form 10-Q describes guarantees connected to Ohio campuses to be leased to OpenAI. The $105 billion figure is an aggregate cap, subject to conditions; it is not a $105 billion cash investment, nor does it represent a guarantee of every OpenAI obligation or the full cost of the sites. The filing says the guarantees cover defined portions of lease and power payments. They generally become effective as applicable leases commence and grow as nine data centers enter service, subject to conditions including ready-for-service requirements for SB Energy. Nvidia’s exposure falls as OpenAI makes lease payments. Nvidia’s July 2026 Form 10-Q

Nvidia separately announced that SB Energy would build, own, and operate the Ohio data center under a 20-year lease to OpenAI, and that Nvidia would invest $1.5 billion in SB Energy. Those terms describe a project operator, a tenant, a lease, and a separate investment—not completion of the original proposed investment in OpenAI. Nvidia’s August 17, 2026 announcement

As of October 8, 2026, the most precise answer is that the original up-to-$100 billion deployment-linked proposal did not materialize in the form announced. A later $30 billion Nvidia contribution to an OpenAI funding round was reported by Cinco Días on October 2, including a claim that the final tranche had been disbursed. Because that specific equity figure is not independently confirmed in the Nvidia filings cited here, it should be treated as reported rather than as a company-disclosed figure. - Phase-change GPU thermal pad helps ensure optimal thermal performance and longevity, outlasting traditional thermal paste for graphics cards under heavy loads
The distinction matters for anyone following the headlines: the $100 billion figure described an intended investment ceiling conditional on systems deployment; the $105 billion figure is a conditional guarantee cap for defined infrastructure payments; the reported $30 billion is a separate later funding-round contribution. Treating these as interchangeable overstates what any one arrangement means.
