Why did Vince McMahon leave WWE?
McMahon resigned from TKO, WWE’s parent company, in January 2024, after Grant, a former WWE employee, filed a federal lawsuit accusing him and another former executive of serious sexual misconduct. McMahon denied the allegations. The appellate ruling about his former lawyer’s records came later and concerned a grand-jury investigation into the handling of settlement agreements—not a decision on Grant’s civil claims.
What did the appellate court filings reveal?
The U.S. Court of Appeals for the Second Circuit upheld a lower-court order requiring McMahon’s former lawyer to produce documents that had been withheld as attorney-client privileged. The lower court applied the crime-fraud exception, which can prevent privilege from shielding communications when there are reasonable grounds to believe they were used to further wrongdoing. The ruling addressed access to subpoenaed records; it was not a determination that McMahon committed a crime.
The records and the suspected concealment
According to the Associated Press, the lawyer’s privilege log listed 208 documents. The opinion anonymized the parties; AP reported that a person familiar with the matter identified the former CEO of a publicly traded company as McMahon. Prosecutors subpoenaed the lawyer and law firm in September 2023 for communications related to two former employees.

AP said the lower court found reasonable grounds to believe McMahon and his lawyer had circumvented WWE’s internal controls, created false records, and made false or misleading statements to auditors while concealing two settlement agreements. Those suspected actions were the basis described for compelling the documents, not findings of criminal guilt after a trial.
The settlements at issue
The agreements were described in the appellate reporting as worth $3 million and $7.5 million. In a separate matter, the SEC said the agreements were signed in 2019 and 2022 and totaled $10.5 million. The amounts and the handling of the agreements appear in both matters, but the appellate ruling on document production and the SEC’s administrative resolution are distinct proceedings.

What did the SEC say about WWE’s financial reporting?
In an order dated January 10, 2025, the Securities and Exchange Commission said McMahon failed to disclose the agreements to WWE’s board, legal department, accountants, financial-reporting personnel, and auditor. The SEC said the omissions caused WWE to overstate net income by approximately 8% for 2018 and approximately 1.7% for 2021.
The SEC matter ended in an administrative resolution. AP reported that McMahon agreed to cease and desist from certain violations, pay a $400,000 civil penalty, and reimburse WWE approximately $1.3 million. He neither admitted nor denied the SEC’s findings. The SEC’s order addresses disclosure and financial reporting; it did not decide Grant’s lawsuit or establish criminal liability.

Thomas P. Smith Jr., associate regional director in the SEC’s New York Regional Office, said: “Company executives cannot enter into material agreements on behalf of the company they serve and withhold that information from the company’s control functions and auditor.”
How are the court ruling, SEC matter, and civil lawsuit different?

Was Vince McMahon charged with a crime?
The appellate report said, “At present, no indictments have been issued.” That statement describes the posture reported at the time of the ruling; it does not establish the current status of the grand-jury investigation. The court’s decision required production of records and should not be described as a criminal charge or conviction.

In response to the SEC resolution, McMahon characterized the matter as “minor accounting errors with regard to some personal payments that I made several years ago while I was CEO of WWE.” That was his account of the SEC matter, not an independent finding about the payments or the court’s ruling.
