What did the Ubisoft shareholder allege?
On March 12, 2025, Insider Gaming reported that AJ Investments, which it described as owning less than 1% of Ubisoft, accused the company of failing to disclose reported meetings or discussions with EA, Microsoft and other parties about possible acquisitions of Ubisoft intellectual property. AJ Investments CEO Juraj Krúpa said management had not informed the public about the reported steps and described Ubisoft as “horribly mismanaged by current management.” Insider Gaming’s report and TechRadar’s coverage attributed the allegation to Krúpa.

The reported EA and Microsoft angle was linked to a MergerMarket article restricted to subscribers. The underlying article and a primary AJ Investments filing or statement were not independently available in the cited reporting. As a result, the claim should be treated as an allegation—not proof that either company met with Ubisoft, made an offer, or sought a particular franchise.
What did Ubisoft confirm?
Ubisoft confirmed that its board had established an independent ad-hoc committee to oversee a formal, competitive process examining strategic options. The company’s statement, reproduced by Insider Gaming, said: “The Board has established an ad-hoc independent Committee to oversee this formal and competitive process, so as to extract the best value from Ubisoft’s assets and franchises for all stakeholders,” and added, “Ubisoft will inform the market in accordance with applicable regulations if and once a transaction materialises.” Insider Gaming

What happened after the allegation?
Ubisoft announced on March 27, 2025 that its board had unanimously approved a transaction following a formal competitive process and consideration of expressions of interest from diverse parties. The transaction created Vantage Studios, a subsidiary centered on Assassin’s Creed, Far Cry and Rainbow Six. The completed Tencent transaction is a documented outcome of the strategic process. Ubisoft’s announcements do not identify EA or Microsoft as participants, and they do not substantiate the earlier allegation about those companies. The €1.16 billion figure describes Tencent’s investment in Vantage Studios; it is not a reported offer for Ubisoft as a whole or a price for any individual franchise.
Did AJ Investments follow through on its planned protest or lawsuit?
Insider Gaming reported that AJ Investments planned a protest outside Ubisoft’s Paris offices in May 2025 and was prepared to sue over alleged misleading of investors. What can shareholders conclude about disclosure?
Ubisoft’s investor-relations information says shareholders may attend company meetings regardless of the size of their holdings, ask managers questions and vote on resolutions. It also describes ordinary and extraordinary meetings and the publication of notices under French law and regulations. Ubisoft investor information
