Technology Modeling Associates Inc. (TMA) completed its acquisition of Precim Corp. on August 29, 1997, paying 387,000 TMA common shares, according to EE Times’ September 1997 completion report. Precim brought software for full-chip optical proximity correction (OPC), complementing TMA’s Depict tool for cell-level OPC.
What did TMA acquire?
Precim, based in Portland, Oregon, developed software for full-chip optical proximity correction. OPC adjusts chip-design layouts to help patterns transfer as intended during wafer fabrication. TMA, based in Sunnyvale, California, already offered cell- or device-level OPC through its Depict tool. The acquisition therefore joined capabilities aimed at different scopes of chip design: individual cells and complete chips.

EE Times described the completed deal as making TMA “the only source of software for complete OPC at both the cell and full-chip levels.” That is the contemporaneous report’s characterization of the product combination, not an independently established market-share finding.
When did the acquisition close, and what did TMA pay?
The transaction closed August 29, 1997. EE Times published its completion report on September 4, following an announcement dated September 2. The reported consideration was 387,000 shares of TMA common stock; the report does not state a cash value for those shares.

Why do some reports say 400,000 shares?
An earlier EE Times report, published August 18, said TMA had executed a non-binding letter of intent on August 14 to acquire Precim for 400,000 shares, subject to closing conditions. That was the proposed share count, not the final reported consideration. The later completion report gives 387,000 shares for the transaction that closed.
What was Precim’s Proteus software described as doing?
The August proposed-deal report described Proteus as using two-dimensional algorithms and wafer measurements to iteratively adjust a process model, then producing a corrected layout for mask fabrication. This is the product description in the pre-closing report; it does not establish later product availability or the software’s subsequent history.
