The Supreme Court of India ruled on January 15, 2026, that Tiger Global could not use the advance-ruling process to secure the treaty relief it sought for its 2018 Flipkart share sale. The Court set aside the Delhi High Court’s 2024 judgment and restored the Authority for Advance Rulings’ rejection of three Mauritius companies’ applications because the material supported a prima-facie tax-avoidance bar under Section 245R(2) of the Income-tax Act. The ruling did not calculate a final tax bill or penalty.
What the Supreme Court decided
The Supreme Court allowed the Revenue’s appeals and set aside the Delhi High Court judgment of August 2024. That restored the Authority for Advance Rulings’ (AAR) March 2020 decision to reject applications by Tiger Global International II, III, and IV Holdings.

The legal question at this stage was whether the AAR could refuse to hear the applications under Section 245R(2), which bars an advance ruling where the transaction or issue is prima facie designed for tax avoidance. The Court held that the available material was enough to apply that threshold. It did not determine a final assessment of taxable gains, tax payable, or penalties. The Supreme Court’s order dated January 15, 2026, says: “In the result, all the appeals are allowed and the impugned judgment of the High Court is set aside.” Read the Supreme Court judgment.
How the Mauritius entities and Flipkart were connected
The three Tiger Global entities were incorporated in Mauritius and held shares in Flipkart Private Limited, a Singapore-incorporated company whose value derived substantially from Indian assets. In 2018, they transferred their shares to Fit Holdings S.A.R.L., a Luxembourg company, as part of the broader Walmart acquisition of Flipkart. Tiger Global sought a nil-withholding certificate and then asked the AAR whether gains from the transfers were taxable in India under domestic law and the India–Mauritius treaty. The entities relied on Mauritius residence and the treaty’s capital-gains provisions, including grandfathering for investments acquired before April 1, 2017. The Revenue argued that the companies lacked independent decision-making substance and acted as conduits for a US-based investment manager. The Court’s ruling addressed whether the AAR could scrutinize that issue at the application stage, not whether every part of the Revenue’s tax position had been finally established.
Why a Mauritius tax residency certificate was not enough
A Tax Residency Certificate (TRC) is relevant evidence of residence, but the Court held that it does not by itself prevent Indian authorities or courts from examining treaty eligibility and the circumstances of an arrangement. The judgment states: “The TRC is not binding on any statutory authority or Court unless the authority or Court enquires into it and comes to its own independent conclusion.” Supreme Court judgment.

That conclusion concerns the legal scrutiny available in this dispute. It does not mean that a Mauritius TRC has no evidentiary value, or that every Mauritius-incorporated investor is ineligible for treaty benefits. The key distinction is between presenting residence evidence and conclusively establishing that a particular taxpayer and transaction qualify for treaty relief.
What the ruling says about pre-2017 investments and GAAR
The entities’ grandfathering argument focused on the date of investment: certain investments acquired before April 1, 2017, may receive protection under the relevant treaty provisions. The Court also considered the General Anti-Avoidance Rules (GAAR) and the timing of a later tax benefit. Its reasoning recognizes that an underlying investment made before that date does not necessarily resolve whether GAAR may apply to a later arrangement or benefit, such as one associated with a 2018 transfer.

The holding should be read in its procedural context. It is not a blanket ruling that all pre-April 2017 investments lose grandfathering, that all Mauritius structures are invalid, or that every treaty claim can be rejected. It allowed the AAR to refuse these applications at the prima-facie stage on the material before it. The total is the arithmetic sum of the three entity-level figures in the 2026 judgment. It is gross sale consideration—not profit, taxable gain, tax due, or a penalty amount. The judgment also records 2018 withholding rates of 6.05%, 6.92%, and 8.47% for entities II, III, and IV respectively; those were rates set at that stage of the transaction, not a final tax rate or assessment. The decision is a warning against treating incorporation in a treaty jurisdiction or possession of a TRC as a complete answer to questions about tax treatment. For an investor evaluating an offshore holding structure, the case underscores the importance of the facts behind the structure, including where decision-making occurs and how a later transaction is arranged. But it does not, by itself, establish the tax treatment of another investor or determine the ultimate liability in Tiger Global’s case.

- Investment date and benefit date are different questions. Grandfathering tied to an earlier acquisition does not automatically answer whether a later arrangement or tax benefit is subject to scrutiny.
- Residence evidence and treaty entitlement are not identical. A TRC can support a claim, but the Court did not treat it as conclusive without examination.
- An advance-ruling bar is not a final merits assessment. The AAR’s prima-facie refusal means the requested advance ruling was unavailable; the Supreme Court did not calculate the final tax liability in this disposition.
- Proceeds are not a tax bill. Gross consideration must not be confused with taxable gains, tax assessed, or penalties.
