ScanSoft agreed on July 10, 2002, to acquire Philips’ Speech Processing Telephony and Voice Control businesses for an announced value of about $35.4 million. The acquisition closed on January 30, 2003. It brought ScanSoft speech technology, intellectual property, employees, customer and partner relationships, and royalty revenue—not Philips’ entire speech operation.
What ScanSoft acquired
The transaction covered two named Philips business areas and related intellectual property. ScanSoft’s SEC filing describes the scope more precisely than shorthand accounts calling it a purchase of a single “speech processing unit.”
Speech Processing Telephony
This business supplied speech-enabled services for enterprise customers, carriers, and telephony vendors. Its applications included directory assistance, interactive voice response (IVR), and voice portals—systems that let callers obtain information or navigate services by speaking.
Voice Control
This business focused on small-footprint speech-recognition engines for embedded devices. Applications included voice control of automotive climate, navigation, and entertainment functions, as well as voice dialing on mobile phones.

Philips also transferred products and technology, employees in Europe, North America, and Asia, existing customer and partner relationships, and an associated royalty-revenue stream. Announcement, closing, and price

The widely quoted approximately $35.4 million was an announced transaction value, not an all-cash payment. Contemporary reporting summarized the consideration in rounded dollars, while ScanSoft’s later filing set out the closing and deferred components in euros alongside the debenture:

The contemporary account’s rounded dollar breakdown and the SEC filing’s euro-denominated cash and note amounts are different reporting presentations. Philips later reported the sale at approximately €34 million; that figure should be read as Philips’ reported value, rather than as a separate purchase price to add to the consideration above. Why the deal mattered to ScanSoft
ScanSoft was known for imaging and document software but had been building a speech business through acquisitions. Philips added capabilities in enterprise telephony and in embedded automotive and mobile systems. ScanSoft said the acquisition would expand its solutions for call centers, automobiles, and mobile devices and strengthen its position in telephony, automotive, and embedded markets. The commercial value therefore extended beyond recognition algorithms. Existing customers and partners, royalty income, intellectual property, and employees gave ScanSoft a working business presence in markets where it wanted to compete. The acquired portfolio was centered on telephony and embedded voice applications; it should not be mistaken for a consumer dictation-software purchase.

Integration and the wider acquisition strategy
ScanSoft’s SEC filing says it eliminated 25 Philips-related positions and recorded approximately $0.5 million in severance-related restructuring costs in the first quarter of 2003. The filing does not establish that these changes represented the total number of employees transferred or the full scope of integration.
The Philips deal was one step in a sequence of speech-technology acquisitions recorded by ScanSoft: Lernout & Hauspie speech and language operations in December 2001; Philips on January 30, 2003; SpeechWorks International on August 11, 2003; LocusDialog on December 19, 2003; and Telelogue on June 15, 2004. ScanSoft later combined with Nuance Communications in 2005 and adopted the Nuance name. Philips’ businesses were one contribution to a wider collection of assets; the acquisition alone did not create Nuance or establish that every later Nuance product descended from Philips technology.
