Salesforce’s acquisition of Informatica is a bet on the data infrastructure behind enterprise AI—not on acquiring another chatbot or foundation model. Salesforce announced the transaction on May 27, 2025, at approximately $8 billion in equity value net of its existing investment, with Informatica shareholders receiving $25 in cash per share. By 2026, Informatica was being presented as “Informatica from Salesforce” and operating as part of Salesforce, although the exact legal closing date is not established in the cited materials.

The strategic question is whether Informatica’s data integration, quality, governance, metadata, lineage, privacy, and master-data-management capabilities can make Salesforce’s Agentforce and Data 360 more useful—and help Salesforce capture more of the enterprise data platform market.

The short version

  • What Salesforce bought: An enterprise data-management business, not a frontier AI-model company.
  • Why it bought it: Salesforce wants Agentforce agents to work with data that is contextual, governed, traceable, and sufficiently reliable for business actions.
  • What it changes: The deal broadens Salesforce beyond CRM applications into a platform spanning data management, integration, analytics, AI, and business workflows.

Salesforce described the acquisition as supporting the “next phase of AI-driven growth.” That is management’s strategic rationale and a forward-looking claim, not proof that the deal will produce a particular financial outcome.

  • Announcement: May 27, 2025.
  • Consideration: $25 in cash for each Informatica Class A and Class B-1 share.
  • Transaction value: Approximately $8 billion in equity value, net of Salesforce’s existing investment in Informatica.
  • Financing: Salesforce said it planned to use cash on its balance sheet and new debt.
  • Approval: Holders representing approximately 63% of Informatica’s voting power had approved the transaction by written consent.
  • Original timing: Salesforce expected closing early in fiscal 2027, subject to regulatory and customary conditions.

Salesforce also said it expected the transaction to be accretive to non-GAAP operating margin, earnings per share, and free cash flow beginning in the second year after closing, and that it did not expect the deal to disrupt its capital-return program. Those were projections made by management at announcement, rather than realized results.

What Informatica contributes

Informatica’s value lies in the layer between raw enterprise data and the applications or AI systems that use it. Its portfolio includes:

  • Data integration: Moving and connecting data across applications, databases, cloud services, and on-premises systems.
  • Cataloging and metadata: Describing what data means, where it resides, and how it relates to other data.
  • Lineage: Showing where a data point originated and how it was transformed.
  • Data quality and observability: Identifying missing, inconsistent, stale, or otherwise problematic information.
  • Governance, privacy, and access controls: Defining how information may be used and who or what may access it.
  • Master data management: Reconciling records for entities such as customers, products, suppliers, and accounts across multiple systems.
  • Hybrid- and multicloud connectivity: Supporting organizations whose data is distributed across different clouds and legacy environments.
  • CLAIRE AI capabilities: Informatica’s AI-assisted data-management technology.

Informatica reported more than 5,000 customers in nearly 100 countries, including more than 80 of the Fortune 100. Those figures are company-reported.

Why enterprise AI needs this layer

A model that generates a plausible sentence is not the same as an agent that takes an action. An enterprise agent needs additional context before it can safely update a record, approve a request, recommend a product, or trigger a workflow.

For example, an agent handling a customer issue may need to determine:

  • Solid state performance with up to 800MB/s read speeds in a portable drive. (Based on internal testing; performance may be lower depending on host device, interface, usage conditions and other factors. 1MB=1,000,000 bytes.)
  • Back up your content and memories on a storage solution that fits seamlessly into your mobile lifestyle.
  • Take it with you on your adventures—up to two-meter drop protection means this durable drive can take a beating. (Based on internal testing.)
  • Secure it to your belt loop or backpack for extra peace of mind thanks to the tough rubber hook.
  • From Sandisk, a brand professional photographers trust to take on assignments.
  • Which customer record is authoritative when several systems contain different versions;
  • Whether the underlying information is current and complete;
  • How a figure was calculated or transformed;
  • Whether the requesting employee or agent is authorized to see it;
  • Which business definition applies to terms such as “active customer” or “available inventory”;
  • Whether the eventual action can be reviewed and audited.

In this context, “trusted data” is not a magic property. The mechanics matter:

  • Metadata helps an agent understand what a field means.
  • Lineage helps show where the information came from.
  • Quality rules help identify whether data meets defined standards.
  • MDM helps establish authoritative entity records.
  • Governance helps enforce access and usage policies.
  • Integration makes relevant information available across systems.

These controls can reduce some sources of error and improve accountability. They do not eliminate hallucinations, model mistakes, prompt injection, incorrect business logic, bad source records, or authorization failures.

How Informatica fits Salesforce’s platform

Layer Role in the combined strategy
Business applications Salesforce CRM and Customer 360 provide the operational context and workflows.
Data activation Data 360, formerly called Data Cloud, unifies and activates data for applications, analytics, personalization, and AI.
AI agents Agentforce is intended to use enterprise context to answer questions and take governed actions.
Integration MuleSoft supplies application integration, APIs, orchestration, and automation.
Analytics Tableau provides analysis and visualization over business data.
Data management Informatica contributes cataloging, quality, governance, privacy, metadata, lineage, integration, and MDM.
Work surfaces Salesforce applications and Slack provide places where users and agents can consume information or initiate work.

Data 360

Salesforce now positions Data 360 as a real-time data engine that unifies enterprise information and makes it available to workflows, analytics, personalization, and AI agents. The company describes Data 360 pricing as consumption-based, involving consumption credits, storage, and premium add-ons. Exact commercial terms depend on the customer’s configuration and contract.

Informatica does not simply replace Data 360. The announced direction is integration and coexistence: Informatica’s data-management functions are intended to make information used by Data 360 more contextual, governed, and operationally trustworthy.

Agentforce

This is the clearest connection to Salesforce’s AI strategy. Catalogs, metadata, lineage, quality controls, and governance can help Agentforce understand the information available to it and apply policies before taking action. The practical benefit depends on implementation, data stewardship, permissions, and the quality of each customer’s source systems.

MuleSoft and Tableau

MuleSoft can provide the connectivity and orchestration through which enterprise data moves. Informatica’s quality and governance capabilities may help make that data more standardized and understandable. Tableau can benefit from better metadata and data quality, but the acquisition does not automatically improve every dashboard; the result depends on the customer’s architecture and adoption.

Customer 360 and CRM

Informatica MDM is particularly relevant to Salesforce’s goal of creating more complete customer and business-entity views. A customer may have different names, addresses, identifiers, or account relationships in CRM, finance, support, and supply-chain systems. MDM can help reconcile those records, but it still requires agreed definitions, identity rules, ownership, and human stewardship.

Slack and other interfaces

In May 2026, Salesforce said CLAIRE capabilities could be invoked in Slack and that Informatica data-management functions were being exposed through broader agent and context infrastructure. These developments support the idea of data management becoming part of everyday agent workflows rather than a separate back-office task.

What emerged by 2026

Salesforce’s May 2026 product announcement described a post-acquisition roadmap and products including:

  • Headless data management;
  • Headless CLAIRE;
  • MCP-based data-management services;
  • Data Quality Agent;
  • Metadata Enrichment Agent;
  • Agentic multidomain MDM;
  • Data Steward Agent;
  • Data 360 Connector and Scanner;
  • MDM integration with Data 360;
  • Agent Fabric Context Catalog; and
  • CLAIRE capabilities in Slack.

Availability was not uniform. According to Salesforce’s announcement, headless data management, headless CLAIRE, Data Quality Agent, Data 360 Connector and Scanner, and Agent Fabric Context Catalog were generally available in spring 2026. Other capabilities were listed for the third or fourth quarter of 2026, while CLAIRE in Slack was listed as preview. Customers should verify edition, geography, release status, supported sources, and contract eligibility before treating any feature as available to them.

Informatica’s current Salesforce page describes the business as “Informatica from Salesforce” and says Informatica operates as part of Salesforce. That establishes the current product positioning, but it should not be read as evidence that every Informatica product has been replaced, renamed, or folded into Data 360.

Why Salesforce wanted Informatica

  1. Agentforce differentiation: Salesforce needed a stronger data foundation to distinguish useful enterprise agents from impressive demonstrations.
  2. Expansion beyond CRM: Informatica gives Salesforce a larger role in data management across systems it does not own.
  3. Cross-selling: Salesforce can market Informatica capabilities to its installed base, while Informatica gains access to Salesforce’s distribution and enterprise relationships.
  4. More control of the enterprise stack: Combining applications, data, integration, analytics, governance, and AI gives Salesforce a broader platform proposition.
  5. Industry expansion: Salesforce specifically highlighted public-sector, life-sciences, healthcare, and financial-services opportunities for accelerated synergies.

The strategic bet is best understood as a contest over an enterprise control plane for AI. Salesforce wants to own the application and agent layer; Informatica strengthens the data, governance, and context layer. Data warehouses, lakehouses, hyperscalers, and competing application platforms still control important parts of the stack. Whether Salesforce becomes the preferred control plane depends on execution and customer trust, not on the acquisition alone.

What the deal means for different customers

Existing Salesforce customers

Customers already invested in Salesforce may gain a more integrated path from CRM data to Data 360, Agentforce, MuleSoft, Tableau, and Slack. The trade-off is that the architecture may become more Salesforce-centric. Buyers should model consumption, storage, add-on, implementation, and data-movement costs rather than evaluating the deal by license count alone.

Existing Informatica customers

Informatica’s FAQ says existing solutions and partner integrations will continue to be supported. That is a vendor statement, not a substitute for contractual review. Customers should obtain written answers about product roadmaps, support terms, connector continuity, packaging, migration options, and the treatment of customers that do not use Salesforce CRM.

Organizations using both platforms

These customers are the most likely to benefit from tighter integration, particularly where Informatica governs data that Salesforce applications and agents consume. They should still test data mappings, identity resolution, lineage, permissions, release timing, and the commercial treatment of Data 360 consumption.

Multicloud and Salesforce-neutral organizations

Informatica historically positioned itself as platform-agnostic. Salesforce ownership raises a reasonable diligence question: will roadmap priorities, commercial terms, integrations, or customer perceptions of neutrality change? Companies standardized on Snowflake, Databricks, Microsoft, SAP, or another CRM may value Informatica’s multicloud capabilities more than Salesforce-native activation.

Regulated organizations

Healthcare, financial-services, public-sector, and other regulated buyers should demand specifics about residency, privacy, retention, auditability, access controls, model use, human approval, and supported deployment patterns. A governance catalog is useful, but it does not by itself satisfy a regulatory obligation.

Risks and unresolved questions

  • Integration complexity: Overlapping products can produce confusing packaging, duplicated capabilities, migration friction, and inconsistent user experiences.
  • Vendor concentration: A tighter platform can reduce integration work while increasing dependence on Salesforce for CRM, data activation, analytics, integration, and AI.
  • Pricing complexity: Salesforce’s consumption-based Data 360 model and negotiated enterprise data-management contracts make usage modeling essential.
  • Neutrality: Customers should test whether non-Salesforce clouds, applications, and data stores remain first-class citizens.
  • Governance limits: Tools cannot repair incorrect source records, missing ownership, conflicting definitions, weak stewardship, or organizational resistance to standards.
  • AI reliability: Better data can reduce certain failure modes, but it cannot guarantee accurate or safe agent behavior.
  • Availability: Announced features may be generally available, previewed, or scheduled for a later release. They should not be treated as interchangeable.

A buyer’s diligence checklist

Before expanding a Salesforce- or Informatica-based architecture, ask for written answers to these questions:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Which capabilities are generally available for the required edition, geography, and data sources?
  2. Which features require Data 360 consumption credits, storage, premium add-ons, or separate Informatica licenses?
  3. What is the migration path for overlapping products?
  4. Will current cloud, hybrid, and multicloud connectors remain supported?
  5. What happens to Informatica customers that do not use Salesforce CRM?
  6. How are data residency, privacy, retention, and regulated-industry controls implemented?
  7. Which lineage, quality, MDM, and agent-governance functions are automated, and which require human stewardship?
  8. What contractual protections cover support, roadmap changes, metering, and partner integrations?
  9. Can the organization export metadata, rules, mappings, and mastered records if it later changes platforms?

How the acquisition compares with alternatives

The right alternative depends on where an organization wants its center of gravity:

  • Snowflake: Primarily a cloud data-warehouse, data-sharing, and analytics platform; not a one-for-one replacement for Informatica’s full governance, quality, and MDM portfolio.
  • Databricks: Strong for lakehouse data engineering, machine learning, and AI workloads; buyers may still need separate MDM, governance, or quality tools.
  • Microsoft Fabric: Particularly relevant to organizations standardized on Microsoft 365, Azure, and Power BI.
  • SAP data products: Relevant when ERP and SAP business-process integration are the dominant requirements.
  • Native cloud services: AWS, Google Cloud, and Microsoft offer component services for integration, catalogs, governance, and AI, but the buyer may need to assemble more of the stack.
  • Standalone MDM and governance vendors: Potentially preferable for organizations that want to preserve application and cloud neutrality.

Salesforce and Data 360 emphasize activating data inside business applications. Snowflake and Databricks emphasize data-platform infrastructure. Microsoft and SAP emphasize ecosystem alignment. None should be assumed to have feature parity with Informatica without product-specific evaluation.

Investor perspective

For Salesforce investors, the acquisition offers a way to support the company’s AI narrative with an established enterprise software asset and a large installed base. It may also create cross-selling opportunities across CRM, data, integration, analytics, and agents.

The counterargument is execution risk. Salesforce must integrate a technically broad portfolio without creating product overlap or pricing confusion, preserve Informatica’s appeal to multicloud customers, and demonstrate that customers will pay for the combined capabilities. The announced accretion targets and AI-growth rationale should therefore be evaluated as management expectations, not as guaranteed returns.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For enterprise software investors more broadly, the deal signals that control of data context, lineage, identity, and governance is becoming strategically important as companies move from AI experimentation to AI-enabled operations.
