Bruker won that auction with a $392.555 million cash bid, assumed certain liabilities, and completed the asset purchase on May 6, 2024.
What happened to Patient Square’s $220 million offer?
NanoString announced on March 10, 2024, that Patient Square Capital had agreed to serve as the stalking-horse bidder for substantially all its assets. A stalking-horse bid establishes an initial offer for a bankruptcy sale; it does not guarantee that the bidder will ultimately buy the assets. NanoString’s agreement allowed higher or better offers through a court-supervised process. NanoString’s March 10 announcement described the proposed $220 million cash price and the conditions on the deal.
That process changed the outcome. At an auction on April 16, Bruker was selected as the successful bidder. Its agreement set a cash price of $392.555 million and included assumption of certain liabilities. NanoString reported that the sale closed on May 6, 2024. The $220 million figure therefore describes Patient Square’s earlier proposed bid, not the final sale price or a completed Patient Square acquisition.

The prices are different offers from different stages of the bankruptcy process, not two completed acquisitions. Neither cash figure should be treated as the total enterprise value or as money distributed to NanoString shareholders: the cited transaction announcements do not establish either conclusion.

Why NanoString was selling assets
NanoString and certain subsidiaries filed Chapter 11 petitions on February 4, 2024, in the U.S. Bankruptcy Court for the District of Delaware. The stalking-horse agreement and subsequent auction were part of that court-supervised restructuring and sale process. The transaction was for substantially all of NanoString’s business assets; it was not simply a purchase of the public company’s shares.
When NanoString announced the initial agreement, President and CEO Brad Gray said: “This agreement with Patient Square provides continuity for our scientific customers and employees, and represents an important step in our financial restructuring.” That comment accompanied the March 10 Patient Square proposal, not the later Bruker auction result. NanoString’s announcement also described the proposed deal’s terms.

What the sale means for readers and investors
The headline $220 million amount was a proposed cash bid, not a measure of proceeds available to stockholders. Asset-sale prices can involve assumed liabilities, and NanoString’s filings do not say that either bidder’s headline cash figure would be distributed to shareholders. The reported transaction amounts are historical company disclosures from 2024, not current market prices.
