What Chapter 11 means for the chain right now
Chapter 11 is a court-supervised restructuring. The company describes it as a way to keep operating while it changes the business and its finances. Three things are established in the company’s announcements and coverage:
- Operations continue. The company’s FAQ says open restaurants are welcoming guests as usual. It also says the filing brings no menu or pricing changes.
- A sale process is underway. True Food Kitchen says it is seeking a long-term partner. No buyer has been identified in the coverage.
- Financing is proposed, not approved. Fox Business reported an approximately $20 million financing commitment from HumanCo TFK IV, subject to court approval. Treat it as pending unless a court record confirms approval.
The 34-location figure is a count from the filing period. Restaurant status can change during a case, so check the company’s location directory for the current status of any specific address.

Management’s explanation for the distress
In a court declaration, Chief Restructuring Officer Nathan Cook wrote: “The Company experienced significant management turnover, which resulted in frequent changes to expansion strategy, brand direction, and menu offerings.” Fox Business reported that Cook pointed to several other problems:
- Unsuccessful new products and concepts that drifted from the chain’s health-focused mission.
- Pandemic-era ghost-kitchen and delivery-only experiments that reportedly hurt staffing and service.
- Traffic and profitability problems, including restaurants that struggled to attract customers and profit erosion in some markets as local conditions changed.
These points are management’s account in court materials. They are not an independently verified, complete explanation of why the company filed.

Where Oprah Winfrey fits
Fox Business reported that Winfrey made an equity investment in 2018 and remains a minority investor. The outlet said she has no representative on the board and is not involved in day-to-day management. The “Oprah-backed” label describes an investment. It does not mean she runs the business or controls the restructuring.
What the company says comes next
Chief Executive Officer Jeff Chandler, in the company’s announcement, said: “This process is the best path forward to simplify the business and focus on what we do best: delivering craveable, health-forward food and genuine hospitality.” Fox Business quoted him as describing the Chapter 11 process in those terms.
Three developments will determine what the filing means for the chain:
- Whether the court approves the proposed financing.
- Whether a sale is announced and who the buyer is.

Before you visit, check the location directory for the specific restaurant.
