On October 20, 2021, Invicti Security announced it had signed a definitive agreement for a $625 million investment led by Summit Partners. Invicti said the financing would support company growth and product development. Turn/River Capital, which had first invested in Invicti in 2017, was to remain a significant shareholder. The announcement described the deal as pending, with closing expected in Q4 2021 subject to standard conditions; it did not disclose detailed transaction terms or verify when or on what terms the investment ultimately closed.
What Invicti announced
Invicti Security’s announcement, dated October 20, 2021, said the company had signed a definitive agreement for a $625 million investment led by Summit Partners. William Blair also described the investment as pending and cited the same expected Q4 2021 closing window. That timing was an expectation at the time, not confirmation of a completed transaction.

The release did not disclose the transaction’s detailed terms. It said closing was expected in the fourth quarter of 2021, subject to standard closing conditions. The announcement therefore supports describing a planned investment, but not asserting a final close date, final structure, or undisclosed terms. The release text is dated October 20, although Invicti’s webpage displays October 19.

What Invicti did
Invicti described itself as an application-security testing company. Its Acunetix and Netsparker product lines scanned web applications for vulnerabilities and helped teams route remediation into developer workflows. Summit Partners currently describes Invicti as a web application security testing company offering dynamic and interactive application-security testing products. These product references explain the business behind the investment; the financing announcement does not establish current packaging, pricing, or product availability.
Summit managing director and COO Scott Collins said, “Software development cycles have shortened dramatically over the last decade, opening new vulnerabilities every time a web application is released or updated.” The statement explains Summit’s rationale for backing application-security testing, rather than providing an independent measurement of risk or product performance.
Invicti’s reported growth figures
The 2021 release used company-reported figures to describe Invicti’s scale and momentum. They should be read as historical issuer claims, not independently audited measures.

What the announcement does—and does not—establish
The $625 million figure is the announced investment amount, and Summit Partners was identified as the lead investor. The release supports the stated purpose of funding growth and product development, with Turn/River remaining a significant shareholder. It does not establish the eventual closing date, final terms, or how the proceeds were ultimately deployed. Nor does it provide a basis for assessing current product prices or making a consumer investment recommendation: this was a business-to-business software financing announcement, not a public offering or retail financial product.
