Intel’s Planned Networking Spin-Off Was Canceled: What Happened to NEX

Intel planned to create a standalone company from key NEX networking activities in July 2025, but canceled the proposal in December and retained the business inside Intel.

Intel did announce plans to establish key parts of its Network and Edge Group (NEX) as an independent company in July 2025—but it never completed the spin-off. On December 3, 2025, Intel said it had abandoned the standalone path and would retain NEX inside the company. Intel’s 2025 annual filing later described NEX activities as integrated into its Client Computing Group and Data Center and AI Group.

For customers, investors, and partners, the distinction matters: this was a proposed carve-out, not a completed sale or legal separation.

What Intel announced in July 2025

In a customer-and-employee memo reported by CRN on July 25, 2025, Sachin Katti said Intel planned to establish “key elements” of its Networking and Communications business as a standalone company.

The proposed business would have focused on:

  • Critical communications infrastructure
  • Enterprise networking
  • Ethernet connectivity silicon and infrastructure
  • Telecom and 5G-related computing platforms
  • Networking-related silicon and systems capabilities

Intel said it would remain an “anchor investor” while seeking strategic and capital partners. The memo did not identify investors, provide a transaction value, name a new legal entity, specify an ownership split, or set a closing date.

The wording “key elements” was also important. It did not establish that every employee, product, asset, facility, intellectual-property right, or activity historically associated with NEX would move into the proposed company.

This was not a completed spin-off or sale

A spin-off generally involves creating a separate legal entity, while a carve-out separates a business or assets from a larger company and may bring in outside investors. A strategic investment gives another party an ownership stake without necessarily transferring control.

Intel’s July announcement described a possible standalone structure supported by Intel and outside partners. It did not announce a completed transaction. There was no disclosed purchase agreement, closing date, buyer, valuation, or final ownership structure.

The most accurate description is therefore Intel’s proposed standalone path for parts of NEX or a planned networking carve-out—not “Intel sold its networking business.”

What NEX covered—and what it did not

NEX was Intel’s networking-and-communications-oriented organization, but it was not synonymous with every networking or edge activity Intel had ever operated.

Intel had already moved some activities out of NEX. Edge computing moved to the Client Computing Group in 2024, while integrated photonics moved to the Data Center Group in 2024, according to Intel’s 2025 Form 10-K.

That means the proposed standalone business would not necessarily have represented the entire historical Network and Edge organization. Its intended center of gravity was communications infrastructure, enterprise networking, Ethernet, and related silicon and systems products.

Why Intel considered the move

The proposal arrived during CEO Lip-Bu Tan’s broader effort to simplify Intel, sharpen its focus on core products and artificial intelligence, and obtain outside capital for selected businesses.

Intel was also dealing with financial and execution pressure. The company announced major workforce reductions, adopted a more cautious foundry strategy, partially sold Mobileye, and planned to sell a majority stake in Altera. Those actions provide restructuring context, but the NEX proposal was not identical to the Altera transaction.

A standalone NEX could have offered several potential advantages:

  • More autonomy: A separate management team could have made networking-specific decisions more quickly.
  • Outside funding: Strategic and capital partners could have supplied money or market access without Intel selling the entire business.
  • Greater focus: A dedicated company could have concentrated on enterprise, telecom, and Ethernet markets.
  • Clearer valuation: Investors might have been able to assess the networking assets separately from Intel’s manufacturing and processor businesses.
  • Continued Intel backing: Intel’s retained investment could have preserved commercial, technical, and supply relationships.

These were potential benefits, not outcomes Intel promised or independently demonstrated.

What Intel promised customers

Katti’s memo said customers should expect no immediate change in service or support. Intel described the transition as seamless and said greater focus, speed, and flexibility could help the business expand into new segments.

Those statements were management assurances rather than independently verified results. Because Intel later canceled the standalone plan, customers did not go through the proposed separation described in the memo.

For customers evaluating Intel networking products, the practical questions would have included whether contracts, warranties, support contacts, product road maps, supply arrangements, and credit exposure would change. The available evidence does not establish that customers experienced disruption from the proposed transaction.

Intel reversed the plan in December 2025

On December 3, 2025, Intel said that it had reviewed strategic alternatives, including a possible standalone structure, and decided NEX was better positioned inside Intel. CRN reported Intel’s decision, while Bloomberg reported that options including a stake sale or spin-off had been shelved.

Intel’s stated rationale was tighter integration among:

  • Silicon
  • Software
  • Systems
  • Artificial intelligence
  • Data-center products
  • Edge products

That explanation reflects Intel’s view that networking could be more valuable as part of a broader platform than as an independent company. Ethernet connectivity, processors, accelerators, software, and systems increasingly overlap in AI and data-center deployments.

Intel did not publicly establish that the plan was abandoned because of a failed valuation, insufficient buyer interest, or a specific partner withdrawing. Those explanations should not be presented as fact without attribution.

Leadership context

Katti led NEX from early 2023 and was also appointed Intel’s chief technology and AI officer by Tan in April 2025. Katti later left Intel for OpenAI in November 2025, according to CRN’s follow-up coverage.

The chronology is relevant, but the reviewed sources do not establish that Katti’s departure caused Intel to abandon the proposed spin-off.

What Intel’s filings show about the final structure

Intel’s 2025 Form 10-K says that, beginning in the first quarter of 2025, it integrated NEX into the Client Computing Group and Data Center and AI Group and changed its segment reporting accordingly.

This supports two conclusions:

  1. NEX did not become a separately reported Intel business through a completed spin-off.
  2. Intel’s final organizational approach was to distribute or integrate NEX activities within existing product groups rather than operate the proposed standalone company.

That reporting change should not be confused with Intel exiting networking. It describes internal management and financial reporting, not the disappearance of Intel’s networking products or relationships.

What happened with Ericsson and other partners?

Some secondary reporting discussed possible partner interest, including reported discussions involving Ericsson. However, the reviewed sources do not establish that Ericsson invested in NEX or became an owner of a spun-out company.

Intel and Ericsson continued working together after the reversal. On March 2, 2026, Ericsson announced an AI-native 6G collaboration with Intel. That shows continued telecom and networking activity, but it does not prove that Ericsson participated in the canceled NEX transaction.

Why keeping NEX inside Intel could make sense

Intel’s stated integration argument has a practical business basis. Networking products increasingly interact with processors, accelerators, data-center infrastructure, software stacks, and edge systems. Keeping related capabilities together can reduce organizational handoffs and make it easier to develop integrated platforms.

A standalone company, by contrast, would have needed to recreate or negotiate access to corporate functions, funding, manufacturing relationships, software resources, and technical infrastructure. Separation could have created a more focused business, but it could also have weakened the product proposition Intel believed it could offer across silicon, software, and systems.

These are strategic trade-offs, not evidence that one structure was financially superior. Intel has not disclosed enough transaction economics to determine whether a sale or spin-off would have produced a better valuation.

Current status as of August 18, 2026

The defensible current status is:

  • Intel announced a proposed standalone path for key NEX activities on July 25, 2025.
  • Intel canceled that plan on December 3, 2025.
  • Intel retained NEX-related capabilities inside the company.
  • Intel’s 2025 filing describes NEX as integrated into the Client Computing Group and Data Center and AI Group for management and reporting purposes.
  • There is no evidence in the reviewed sources of a later completed NEX spin-off.
  • Intel continued networking and telecom collaboration, including its 2026 work with Ericsson.

The original headline describes a real announcement, but it is now a historical event. Intel did not ultimately spin off its networking business.
