Then choose a practice model, budget for local costs, select and register a business structure, arrange tax and banking workflows, verify permits and insurance, and prepare privacy, records, payment, and client-care systems before accepting clients. The details depend on your state, profession, and business model, so treat this as a launch sequence—not a universal licensing checklist.
1. Confirm your professional authority and define your services
Start with the licensing or certification board for your actual credential and state. Confirm that you may provide the services you intend to offer, use the professional title you plan to use, and practice from your planned location. Counseling, social work, psychology, marriage and family therapy, and other disciplines may be governed by different authorities and rules.
If you will provide telehealth, check requirements for both your own location and each client’s physical location. HHS says health professionals must meet licensing requirements where they are located and be licensed or legally permitted to practice where the patient is located. See HHS guidance on licensing across state lines. Do not assume that a license in your home state authorizes care for a client elsewhere.
2. Choose a practice model and location
Decide whether you will work in person, by telehealth, or in a hybrid format; operate solo or share space; and accept cash, insurance, or a mix. Compare the options against the clients you intend to serve and the resources you can manage.

Your location can affect taxes, zoning, regulations, registrations, licenses, permits, and operating costs. The SBA explains these location-dependent considerations in its business location guidance.
3. Build a budget and cash-flow plan
List one-time setup expenses and recurring costs for the model you chose. Depending on your plans, these may include entity formation and renewals, workspace, utilities, professional services, business systems, payment processing, insurance, and staff. Include a cash-flow plan for the time it may take to build a caseload, and distinguish billed charges from money actually collected.
Costs vary by location and business structure; there is no single startup total that applies to every counseling practice. The SBA identifies expenses such as rent, salaries, insurance, utilities, and government licenses and fees as costs that can vary. Use local quotes and government fee schedules rather than relying on a nationwide estimate.

4. Select a business structure and name
Common structures include sole proprietorships, partnerships, LLCs, and corporations. They differ in ownership, tax treatment, paperwork, and liability. An entity can create separation between business and personal assets in some circumstances, but it should not be treated as a guarantee against professional liability. State rules may also limit which entity forms a licensed professional can use. Consider advice from an attorney or tax professional if the choice has significant legal or tax consequences.

These serve different purposes, and DBA requirements vary by state and locality. The SBA’s business-name guidance explains the distinctions.
5. Register the business and check permits
Use the relevant state business agency or secretary of state to confirm the formation and registration steps for your chosen structure. Then check county and city requirements, including business registration, zoning, facility rules, licenses, and permits. Requirements depend on the activity and location, so verify them with the agencies that administer them. The SBA notes: “Most small businesses need a combination of licenses and permits from both federal and state agencies.” See its licenses and permits guidance.

If you form an LLC, partnership, or corporation, complete state formation before applying for an EIN. The IRS gives this sequencing advice in its EIN application guidance.
6. Set up taxes, accounting, and banking
Use the IRS startup checklist to identify federal tax matters relevant to your structure, including choosing a tax year and determining whether you need an EIN. Open a business bank account and keep business and personal finances distinct. Establish a method for recording income and expenses, reconciling payments, retaining receipts, and tracking tax deadlines. The SBA includes a business bank account in its launch guidance.

7. Review insurance needs
Discuss business and professional liability coverage with a qualified insurance professional who understands your profession and jurisdiction. The appropriate coverage and any applicable requirements depend on your circumstances; do not assume one policy type or limit is right for every practice. The SBA includes insurance among the considerations in its business launch guidance.

Determine whether your practice is a HIPAA covered entity. HHS describes covered entities as health plans, healthcare clearinghouses, and healthcare providers that conduct specified standard transactions electronically. A provider is not automatically covered—or automatically exempt—based only on being a counselor. Review HHS’s explanation of covered entities and seek qualified guidance if the answer is unclear.
If HIPAA applies, assess technology vendors by what they actually do with electronic protected health information (ePHI), not by marketing claims. HHS says a cloud service provider that creates, receives, maintains, or transmits ePHI for a covered entity is a business associate; the parties need a compliant business associate agreement and must otherwise comply with HIPAA. HHS says covered providers may communicate with patients electronically when they use reasonable safeguards. Confirm contact details, avoid including unnecessary sensitive information in ordinary messages, and honor reasonable requests for alternative communication means or locations. Read HHS’s patient-email guidance.
Before choosing an EHR or practice-management system, list the functions you need: records, scheduling, billing, client communication, access controls, data export, backups, and vendor agreement terms. Software alone does not establish HIPAA compliance; evaluate the vendor’s role and safeguards in the context of your obligations.
9. Prepare client workflows before opening
Build a practical workflow for each part of client care and administration. Have relevant forms and policies reviewed against your jurisdiction’s rules and professional code.
- Intake, informed consent, and any applicable privacy notices.
- Scheduling, cancellations, fees, payment, and billing.
- Record creation, access, retention, storage, and secure disposal.
- Client communications and technology support.
- Referrals, urgent concerns, and emergency procedures appropriate to your services.
These are operational planning areas, not a claim that one set of forms is universally required. Confirm which notices and disclosures apply to your practice with current official guidance and qualified counsel.
10. Open, track deadlines, and reassess when things change
Begin accepting clients only when your professional authority, business administration, recordkeeping, privacy approach, payment process, and referral and emergency workflows are ready. Keep a calendar for renewals, filings, insurance reviews, and tax deadlines. Recheck requirements when you add a telehealth state, change your entity or office location, hire staff, or expand services; state and local registrations, permits, and renewals can differ.
