How NRIs Can Reinvest Indian Property Sale Proceeds to Claim Capital Gains Exemption

NRIs have no automatic exemption for reinvesting Indian property-sale proceeds. The applicable route depends on the transfer year, asset history, replacement investment and statutory conditions.

An NRI does not get a capital-gains exemption simply by reinvesting the proceeds from an Indian property sale. The answer depends on the transfer date, the tax year, the property and its acquisition history, and the exemption’s statutory conditions. The NRI-specific route described by the Income Tax Department—section 115F of the Income Tax Act, 1961, corresponding to section 215 of the Income Tax Act, 2025—is limited to specified foreign-exchange assets and specified replacement assets. Do not assume it covers an ordinary Indian property sale. First identify the applicable law and test the asset against the relevant provision; only then decide whether and how to reinvest.

Start with the transfer date, not the reinvestment plan

The date of transfer determines which statutory framework to check. The Income Tax Department says the Income Tax Act, 2025 applies prospectively to tax years beginning on or after 1 April 2026. A transfer in a tax year beginning before that date generally calls for analysis under the 1961 Act; a transfer in a tax year beginning on or after it calls for the corresponding provisions of the 2025 Act. Confirm the exact transfer date and relevant tax year before using a section number, deadline or tax computation. See the Department’s non-resident FAQ.

For the NRI-specific regime discussed here, the Department maps old section 115F to section 215 of the 2025 Act. It also identifies old sections 213–215 as the corresponding 2025 Act provisions in this area. If a taxpayer claimed an exemption under the old Act and later violates a condition, the original provision may continue to govern that violation, while taxability arises in the later year under the law then applicable. A later-year consequence therefore does not necessarily mean the original sale should be reassessed under a newly numbered provision.

Keep the transfer date distinct from the date you receive or reinvest the money. The relevant provision may set a reinvestment window measured from a particular event, while the governing Act depends on the tax year of the transfer. Do not infer either deadline from the date the sale proceeds arrive in a bank account; check the statutory text applicable to your facts.

What the NRI-specific section 115F route does—and does not do

The Department’s NRI FAQ describes section 115F as relief when a non-resident transfers a qualifying “foreign exchange asset” and reinvests the net consideration in a “specified asset” within six months. The FAQ describes a proportional exemption rather than an automatic exemption for the entire gain, and a three-year lock-in for the replacement asset. A premature transfer of that asset can trigger a claw-back. The corresponding provision under the 2025 Act is section 215. Read the Department’s NRI FAQ on the special regime.

Those labels matter. The FAQ does not say that every property owned by an NRI is a foreign-exchange asset, or that every new house, deposit or other investment is a specified asset. It is not safe to assume that selling Indian real estate and reinvesting the cash meets section 115F. Eligibility depends on the statutory definitions and the property’s acquisition history. Verify both the original asset and the proposed replacement asset against the law before committing the proceeds.

Likewise, “proportional exemption” does not mean that a seller can claim the whole gain merely by reinvesting some money. The relevant calculation must be made under the applicable section and based on its defined amounts. The Department’s summary establishes the broad mechanism and timing, but not the figures needed to compute an individual claim. Obtain the applicable statutory text and rules, and use the sale, cost and reinvestment records to calculate the amount rather than treating the FAQ as a complete computation guide.

Do not confuse section 115F with sections 54, 54F or 54EC

Sections 54, 54F and 54EC are other provisions often raised in discussions of property-sale exemptions. They are not interchangeable names for section 115F, and their conditions should not be assumed from the NRI-specific FAQ. The Department’s Form 54 resource is a starting point for checking the relevant forms, but the source materials here do not establish the detailed eligibility tests, deadlines, caps, lock-in rules or computations for sections 54, 54F and 54EC. Check the Department’s Form 54 resource and verify the full statutory text and rules applicable to the transfer date before relying on any of these routes.

Route to investigate What the Department source establishes here What must be verified for your case
Section 115F, 1961 Act; corresponding section 215, 2025 Act The NRI FAQ describes a qualifying foreign-exchange asset, reinvestment of net consideration in a specified asset within six months, proportional relief and a three-year lock-in with a claw-back on premature transfer. Whether the property qualifies as a foreign-exchange asset; whether the proposed investment is a specified asset; the computation and all statutory conditions.
Section 54 The sources cited here do not establish its eligibility tests or calculation for this transaction. Qualifying original asset and taxpayer, replacement asset, relevant dates, relief calculation, any account scheme requirements, lock-in and claw-back.
Section 54F The sources cited here do not establish its eligibility tests or calculation for this transaction. Qualifying original asset and taxpayer, replacement asset, relevant dates, relief calculation, any account scheme requirements, lock-in and claw-back.
Section 54EC The sources cited here do not establish its eligibility tests or calculation for this transaction. Qualifying original asset and taxpayer, investment, amount limits, timing, relief calculation and any lock-in or claw-back.

This is a verification table, not a finding that every route is available to every NRI. When comparing provisions, check the original asset and taxpayer, what amount must be reinvested, the permitted replacement, the timing, whether relief is proportional or subject to a limit, any Capital Gains Account Scheme option and deadline, and the consequences of a later transfer. A provision’s familiar name is not enough to establish that the seller qualifies.

A practical eligibility check before reinvesting

  1. Fix the transaction facts. Record the contract and transfer dates, when possession or rights passed if relevant, the property type, each owner’s share, and the acquisition date and history. If ownership is joint, analyze each owner’s share and tax position rather than treating the sale as one undivided claim.
  2. Confirm the seller’s status for the relevant period. “NRI” is not, by itself, a complete tax conclusion. Determine the seller’s tax residence for the period and the applicable status under the law. Do not use a residence label from a prior year as a substitute for checking the year of transfer.
  3. Identify the governing Act and provision. Apply the 1961 Act or the 2025 Act according to the transfer’s tax year, taking account of the Department’s 1 April 2026 prospective start. Use the matching section number and check whether later events invoke a condition from the earlier law.
  4. Test the original asset’s statutory definition. For section 115F, do not move on to the reinvestment calculation until the property and its acquisition history have been checked against “foreign exchange asset.” The official FAQ’s summary does not decide that question for a particular sale.
  5. Test the replacement asset and the deadline. For the chosen route, identify exactly what the statute treats as a qualifying investment and the event from which its window runs. For the section 115F route described by the Department, the summary states six months and a specified asset; verify the statutory application to the seller’s facts and retain dated proof of investment.
  6. Calculate before committing all proceeds. Obtain a computation under the applicable provision. For section 115F, the Department describes proportional relief based on net consideration; the summary does not provide an individual calculation. For sections 54, 54F and 54EC, obtain the applicable rules and figures rather than borrowing section 115F’s method.
  7. Track the holding conditions. Record the end of any lock-in period, permitted transactions and consequences of a premature transfer. Under the section 115F summary, the replacement asset has a three-year lock-in and premature transfer can cause a claw-back. Do not assume that other provisions share that period.
  8. Keep a transaction file. Preserve purchase and sale documents, evidence supporting acquisition history and ownership shares, sale-cost and investment records, bank statements and proof of any withholding. Keep the statutory provision and computation used for the claim with those documents. These records help substantiate both the qualification test and the amount claimed.

Buyer withholding is separate from the seller’s final tax

Tax deducted when a buyer purchases property from a non-resident is a collection and reporting matter; it is not the final computation of the seller’s capital gain or exemption. The buyer is the deductor and the non-resident seller is the deductee for the relevant property-purchase schedule. Withholding may need to be reconciled against the seller’s final liability; the fact that tax was deducted does not, by itself, establish the correct tax due or eliminate a return-filing obligation.

For a covered purchase from 1 October 2026, the Department says a resident individual or Hindu undivided family (HUF) buying immovable property from a non-resident seller uses Form 141, Schedule E, for withholding reporting under section 393(2) of the 2025 Act. This is a buyer-side reporting requirement. It does not create a capital-gains exemption for the seller or determine whether the seller qualifies under section 215 or another provision. See the Department’s Form 141 FAQs.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For a transfer outside that stated date or buyer category, do not apply the Form 141 instruction automatically. Check the reporting and withholding procedure that applies to the actual transaction, including the buyer’s status and the transfer date. The material cited here establishes the stated Form 141 case; it does not resolve every possible purchaser or transaction type.

Filing a return: NRI status alone is not an exemption

The Department says the return-filing exception under old section 115G continues in section 216 of the 2025 Act, but it is conditional on a specified income mix and proper tax deduction at source. That is not a general rule that an NRI who has sold property can skip filing. Check all income for the relevant period, tax withheld, whether the claimed exemption and transaction must be reported, and the conditions of the provision before deciding whether a return is required. The Department’s non-resident FAQ describes the transition and related provisions. Review the non-resident FAQ.

For assessment year 2026–27, the Department’s guidance identifies ITR-2 for individuals and HUFs with income other than business or professional income, and ITR-3 where business or professional income is present in the income profile. These form names are specific to that assessment-year guidance; confirm the correct form and instructions for the actual filing year and the seller’s complete income profile. See the Department’s return guidance for non-resident individuals for AY 2026–27.

Cross-border movement of sale proceeds needs a separate check

A tax exemption and permission to remit or retain sale proceeds are different questions. Whether the proceeds are held in India or transferred abroad does not, on the sources cited here, establish eligibility for a capital-gains exemption. Before moving funds, check the applicable Foreign Exchange Management Act (FEMA) and Reserve Bank of India rules with an authoritative source for the seller’s facts. The tax guidance discussed above does not establish the permitted route, limits or documentation for remittance, so do not treat a tax conclusion as a remittance approval.

What to confirm with a tax adviser

Bring the adviser the transfer and acquisition documents, ownership details, residency facts for the relevant year, the proposed investment and its dates, withholding records, and a list of all income for the year. Ask for a written answer to these specific questions:

  • Which Act and provision govern this transfer, and what tax year does the transfer fall in?
  • Does the property meet the applicable definition of the original asset, especially the “foreign exchange asset” test if section 115F or section 215 is being considered?
  • Does the intended replacement meet the chosen provision’s definition, and what is the exact investment deadline?
  • How is the exemption computed from the transaction figures, and what amount remains taxable?
  • What lock-in or later-event conditions apply, and what would trigger a claw-back?
  • What withholding reporting, return form and filing obligation apply to this seller and transaction?
  • What separate FEMA or RBI checks are needed before remittance?

These questions prevent a common error: deciding to reinvest first and trying to fit the completed investment to an exemption afterward. The tax treatment turns on the statutory route and facts, not on the seller’s NRI label or the fact that the cash was reinvested.
