Flying Fish Fund III Filing Lists $100 Million Offering, $0 Sold

A July 2024 SEC filing listed a planned $100 million offering for Flying Fish Fund III, LP, but reported that none had been sold and that the fund had no investors at the time. The filing does not show that Flying Fish ultimately raised or closed the fund at that amount.

What is Flying Fish Fund III?

Flying Fish Fund III, LP is the issuer named in a Form D filed with the U.S. Securities and Exchange Commission on July 19, 2024. The filing identifies it as a Delaware limited partnership formed in 2024, with a Seattle address and Flying Fish Fund III GP, LLC as its general partner. Geoff Harris, identified as manager of Flying Fish Management, LLC, signed the form. SEC Form D

The issuer is the fund entity, not Flying Fish Management, LLC itself. GeekWire described Flying Fish as a Seattle venture-capital firm founded in 2016 and reported that it invests in early-stage machine-learning, AI and robotics startups. Those firm-history and strategy details were reported by GeekWire on July 19, 2024. GeekWire

Did Flying Fish raise $100 million?

The filing does not establish that it did. It lists $100 million as the total offering amount, while reporting $0 sold and zero investors as of the filing. It also marks the first sale as yet to occur. Those figures describe the filing snapshot, not a later fundraising result. SEC Form D

What does the Form D say—and what does it not prove?

The filing identifies the offering as a new notice and selects Rule 506(b) and Investment Company Act Section 3(c)(7). It classifies the issuer as a pooled investment fund and a venture-capital fund. The form also says the offering may last more than one year and does not disclose issuer-size ranges. These are classifications and disclosures in the notice; they should not be read as proof that the offering was completed.

A Form D is a notice filing, not SEC confirmation that a fundraise closed or that every disclosure is accurate. The SEC’s filing page states: “The Securities and Exchange Commission has not necessarily reviewed the information in this filing and has not determined if it is accurate and complete.” SEC Form D

What is known about Flying Fish after the filing?

GeekWire reported on July 19, 2024 that Flying Fish was raising a third fund and said the firm declined to comment in response to its inquiry. A separate SEC index entry records a filing by Flying Fish Ineffable A LLC on April 6, 2026, with a Seattle address. That entry identifies a different filer and does not establish that it is Fund III, a successor fund or otherwise related to the 2024 offering. SEC filing index
