Flipkart has completed the reported redomiciliation of its holding-company structure from Singapore to India. The move clears a significant corporate hurdle for a possible Indian IPO, but it is not an IPO filing, listing approval or confirmed launch date. Reports point to a potential listing by the financial year ending March 2027, subject to Flipkart’s readiness and market conditions.
The short version
- Flipkart’s top-level holding structure has reportedly shifted from Singapore to India.
- The restructuring involved Singapore court and Indian corporate-law proceedings, followed by central-government clearance under Press Note 3.
- Flipkart Internet Private Limited became the group’s Indian holding company, with several Singapore entities reorganized under the structure.
- The transaction makes an Indian listing more straightforward, but does not prove that Flipkart has filed a draft prospectus or fixed an IPO size, valuation, price or date.
The change concerns the group’s legal domicile and ownership structure—not a wholesale relocation of Flipkart’s Indian operations. Its marketplace, customers, sellers, employees and logistics network have long been centered in India.

What approvals did Flipkart receive?
The approval process unfolded in stages:
- April 2025: Flipkart’s board reportedly approved the plan to relocate its holding structure to India, according to TechCrunch.
- September 2025: A Singapore court granted in-principle approval, while proceedings in India were under way.
- December 2025: Later reports said the National Company Law Tribunal (NCLT) approved the restructuring.
- March 2026: The Union government reportedly granted final clearance under India’s Press Note 3 foreign-investment rules. Flipkart then said it had completed the redomiciliation.
Some September 2025 coverage referred to proceedings before the National Company Law Appellate Tribunal (NCLAT), while later coverage described NCLT approval. These are different bodies. The safest conclusion is that the process involved proceedings in Singapore and India, followed by the approvals described in later reporting; the two tribunals should not be treated as interchangeable without a specific court order.
Why was Press Note 3 relevant?
Press Note 3, introduced in 2020, requires government approval for foreign investment from countries that share a land border with India. The New Indian Express reported that the additional clearance was connected to Tencent’s minority investment in Flipkart, estimated by people familiar with the matter at roughly 5% to 6%.

Tencent was reported as a minority investor, not as Flipkart’s controlling shareholder. The Press Note 3 approval was a separate foreign-investment hurdle from the Singapore court and Indian corporate-restructuring proceedings.

What exactly moved to India?
The central change was the domicile of Flipkart’s holding company. Reports said Flipkart Internet Private Limited became the group’s Indian holding company after the restructuring.

Several Singapore-based entities were merged into or reorganized under the Indian structure, including entities associated with:
- Ekart;
- Myntra;
- Super.money;
- Cleartrip; and
- Flipkart Health.
This is more precise than saying that Flipkart simply “moved its headquarters.” The company’s core commercial footprint was already in India. A redomiciliation changes the legal home and corporate chain above those businesses; it does not mean that warehouses, delivery networks or the consumer marketplace were physically transferred from Singapore.

Why return from Singapore?
Flipkart was founded in Bengaluru in 2007, but its holding structure moved to Singapore in 2011. Indian startups have historically used overseas structures to access international capital, accommodate global investors and manage cross-border fundraising.
The current logic is different. Flipkart’s customers, sellers, marketplace activity and logistics operations are overwhelmingly India-focused, while India’s public-equity markets have become a more important destination for large technology companies. An Indian holding company can provide a simpler structure for a domestic listing and make the ownership story easier for Indian regulators and public investors to analyze.
The move is part of a broader “reverse flip” trend involving Indian startups such as PhonePe, Groww and Zepto. Those companies do not necessarily have identical structures or approval histories, so the comparison should be understood as a wider corporate trend rather than proof that every company faces the same legal process.
Relocating to India was not established by the supplied reporting as an absolute legal prerequisite for an IPO. It is better understood as a step that removes structural complexity and makes an Indian listing more straightforward.
How close is Flipkart to an IPO?
Closer structurally, but not necessarily close in market terms.
The completed redomiciliation allows Flipkart to continue IPO preparation and engage with merchant bankers within an Indian corporate framework. Reports have described a possible listing in late 2026 or during the financial year ending March 2027. Reuters reporting carried by Yahoo Finance said Flipkart was aiming to list in Mumbai before March 2027.

That remains a target window—not a confirmed date. The reporting cited here does not announce:
- a filed draft red herring prospectus;
- an approved offer document;
- an issue size;
- a valuation or price band;
- a confirmed exchange listing; or
- the split between newly issued shares and shares sold by existing investors.
Accordingly, “preparing for a potential IPO” is more accurate than describing Flipkart as having an upcoming or guaranteed IPO.
What could Flipkart be worth?
Media reports have placed Flipkart’s latest major private-market valuation at approximately $36 billion to $37 billion. Google invested $350 million in 2024 as part of a wider funding round that began in 2023. Walmart acquired a controlling stake in 2018 in a transaction valued at approximately $16 billion.
These figures provide corporate context, not a public-market valuation. A private funding valuation is not the same as the price investors will accept in an IPO. The eventual valuation could depend on growth, profitability, cash generation, market conditions, governance, competition and the terms of the offering.

The redomiciliation answers a corporate-structure question. It does not answer the investment questions that will determine whether public-market investors support the offering.
Profitability and cash generation
Investors will want to see revenue quality, operating losses or profits, cash burn, contribution margins and the cost of acquiring and retaining customers. A large marketplace and high gross merchandise value do not automatically translate into shareholder returns.
Business mix
The consolidated group may include marketplace operations alongside Myntra, Ekart, Super.money, Cleartrip and Flipkart Health. Investors will need clear segment reporting and an explanation of how each business contributes to revenue, profit and cash flow.
Competition and regulation
Flipkart faces competition from Amazon, Meesho, Reliance and quick-commerce operators. Its prospectus would also be expected to explain marketplace regulation, competition issues, consumer protection, data practices and any material disputes or compliance risks.
Walmart’s position
Walmart’s ownership and intentions will matter. A future prospectus would need to show whether Walmart plans to sell shares, retain a substantial stake or participate in a combination of primary fundraising and secondary sales. The supplied reporting does not establish those terms.
Private valuation versus public pricing
The reported $36 billion-to-$37 billion private valuation may not carry over unchanged to a listed market. Public investors will assess the company using disclosed financial results, comparable companies, governance standards and the expected path to profitability.

What this means for readers tracking the IPO
The most important distinction is between corporate readiness and IPO launch. Flipkart has reportedly cleared the structural step of bringing its holding-company domicile to India. The next meaningful evidence would be a formal filing, appointment disclosures, an offer document, exchange information or a company-confirmed timetable.

Until then, the relocation should be treated as an enabling transaction. It improves the fit between Flipkart’s legal structure and its India-focused business, but it does not guarantee a listing, a particular valuation or a return for future shareholders.
