Vodafone Group Plc and Vodacom Group Limited are separate publicly traded companies, not the same company. Vodafone owns 65.1% of Vodacom, making Vodacom a controlled and consolidated subsidiary. Vodafone is the broader multinational telecom group; Vodacom is its separately listed African telecommunications and financial-services platform.

Are Vodafone and Vodacom the same company?
No. They are legally distinct companies with different listings, shareholders, management structures and reporting obligations.
The most accurate description is: Vodacom is a controlled, separately listed African subsidiary of Vodafone Group. Vodafone controls Vodacom because it owns more than half of the voting and economic interest, but Vodafone does not own 100% of Vodacom. Outside investors own the balance.

That distinction matters financially. Vodafone consolidates Vodacom’s results in its group financial statements, but Vodacom remains a separate public company whose minority shareholders have their own economic interest in its performance. Consolidation therefore does not mean the two stocks are interchangeable or that Vodafone shareholders own every rand of Vodacom’s earnings.
How the relationship began
Vodacom originated in South Africa in 1993 as a GSM cellular-network business. Vodafone and Telkom South Africa were historically involved in its ownership.
In 2008, Vodafone agreed to acquire an additional 15% from Telkom, increasing its holding from 50% to 65%. Vodacom subsequently became a publicly traded company on the Johannesburg Stock Exchange in 2009, while Vodafone remained the controlling shareholder. What Vodafone Group does
Vodafone Group is the wider corporate parent. Its structure includes controlled operating companies, associates, joint arrangements and strategic investments. Its interests cover telecom operators and related infrastructure across Europe, Turkey and other markets, in addition to its controlling stake in Vodacom.
Not every business connected with the Vodafone name has the same ownership status. Some are subsidiaries consolidated into Vodafone’s accounts; others are associates, joint ventures or strategic investments. The legal entity behind a Vodafone-branded service can therefore vary by country.
What Vodacom Group does
Vodacom is an African connectivity and digital-services group. Its businesses include:
- Mobile voice, messaging and data
- Fixed broadband and converged connectivity
- Enterprise communications and managed services
- Digital products
- Financial services, including mobile-money-related offerings in relevant markets
Vodacom identifies group operations or activities in South Africa, the Democratic Republic of Congo, Lesotho, Mozambique, Tanzania, Kenya, Egypt and Ethiopia. The corporate structure differs by country: some interests are subsidiaries, while others are associates, investments or businesses held through related entities. The Vodacom country information and Vodafone’s holding-structure document should be read together rather than treating every country as a wholly owned Vodacom operation.

Why Safaricom illustrates the structure
Safaricom shows why the Vodafone–Vodacom relationship is more complicated than a simple brand hierarchy. In June 2026, Vodafone reported that Vodacom completed a transaction giving Vodacom an effective additional 20% interest in Safaricom, taking the relevant shareholding to 55%. The transaction included purchases from the Kenyan government and Vodafone. Vodafone’s SEC Form 6-K said Safaricom would be fully consolidated by both Vodacom and Vodafone.
In other words, Vodafone can hold interests directly while Vodacom holds other African investments within the wider group. Ownership can sit at more than one level.

Vodacom is not a US wireless carrier
Vodacom’s identified mobile-network operations are in Africa. A US customer does not automatically have a Vodacom account, SIM or domestic wireless plan. Vodafone’s current group structure likewise does not present a US mobile operating company.
A US reader might encounter the companies through:
- International roaming or travel to an African country
- An employer’s international telecom contract
- Business connectivity or wholesale services
- Financial-market research
- Vodafone or Vodacom securities information
Roaming and travel
The relevant question is not simply whether a phone is “compatible with Vodafone” or “compatible with Vodacom.” Check the destination country, the local network, your US carrier’s roaming terms, your device’s supported bands and whether the device is unlocked. Customer support may come from your US carrier, the relevant Vodafone entity or the relevant Vodacom entity.
A Vodafone logo or a Vodacom logo also does not, by itself, identify the company that bills you. Check the local service terms, invoice and contracting entity.
Investing
Vodafone shares represent exposure to the broader Vodafone Group. Vodacom is a separate JSE-listed equity. Vodafone’s 65.1% stake gives it control and consolidated exposure, but it is not the same as owning 100% of Vodacom. The companies should therefore be analyzed separately; neither stock is automatically a substitute for the other.
Common misunderstandings
- “Vodacom is just Vodafone in Africa.” This is a useful shorthand for the group relationship, but it ignores Vodacom’s separate incorporation, listing and minority shareholders.
- “Vodafone owns all of Vodacom.” Incorrect. The stated holding is 65.1%.
- “Every Vodafone-branded business is directly owned by Vodafone Group.” Incorrect. The group structure includes associates, joint arrangements and strategic investments.
- “Vodacom operates everywhere Vodafone does.” Incorrect. Their footprints overlap only partially.
- “Vodafone and Vodacom are US competitors.” Misleading. Their central relationship is parent and controlled affiliate, with different regional operating roles.
- “Vodacom is the same as Vodafone Idea.” No. Vodafone Idea is a separate Indian telecom company and should not be confused with Vodacom.
Bottom line
Think of Vodafone as the global parent group and Vodacom as a separately listed, Vodafone-controlled African telecom group. Vodafone owns 65.1% of Vodacom and consolidates it, but the two companies are not identical, do not have the same geographic footprint and should not be treated as interchangeable brands, accounts or investments.
