Etsy completed its sale of Depop to eBay on July 30, 2026. Did Etsy sell Depop to eBay?
Yes. Etsy and eBay each announced that the transaction closed on July 30, 2026. The companies had entered into their sale and purchase agreement on February 15, 2026; Etsy’s closing Form 8-K identifies amendments dated May 21 and July 12. Etsy’s closing announcement and eBay’s confirmation both describe a completed deal, rather than a pending agreement.
What do the $1.2 billion and $1.4 billion figures mean?
They refer to different amounts. Etsy’s Form 8-K describes a $1.2 billion cash purchase price, subject to purchase price adjustments. At closing, Etsy reported approximately $1.4 billion in aggregate cash consideration, including $200 million of net purchase price adjustments and interest. Etsy also said its net cash proceeds remained subject to certain post-closing adjustments.

These are company-reported transaction amounts, not independent estimates. The $1.2 billion base price should not be treated as interchangeable with the approximately $1.4 billion closing consideration. Etsy’s July 30, 2026 Form 8-K details the agreement and closing figures.

Why did Etsy sell Depop?
Etsy framed the divestiture as a way to concentrate on its namesake marketplace. Its closing announcement said the transaction would enable “exclusive focus on driving sustainable long-term growth for the Etsy marketplace.” That is Etsy’s stated strategic rationale, not evidence that future growth is assured.
Etsy said it intended to use the proceeds for general corporate purposes aligned with the capital allocation strategy described in its April 29 shareholder letter, which included accelerating its share repurchase program. That statement describes the company’s intended use; it does not establish how the proceeds were ultimately deployed.

What does eBay say it wants from Depop?
When it announced the agreement in February 2026, eBay said adding Depop would advance its consumer-to-consumer strategy, deepen its reach with younger, fashion-forward consumers, and expand its presence in resale. Those were eBay’s stated aims for the acquisition, not confirmed post-close outcomes. eBay’s acquisition announcement described its rationale before the deal closed.
Etsy described Depop as a community-powered fashion resale marketplace; eBay called it a consumer-to-consumer fashion marketplace. The closing disclosures establish the ownership change and financial terms, but do not by themselves establish changes to Depop’s operations, user experience, or integration with eBay.
