CVS Health CEO Karen Lynch Replaced by David Joyner: What Happened

David Joyner replaced Karen Lynch as CVS Health CEO effective October 17, 2024. CVS said Lynch stepped down in agreement with the board but did not publicly specify a more precise reason.

David Joyner replaced Karen Lynch as CVS Health’s president and CEO effective October 17, 2024. CVS announced the change on October 18, saying Lynch stepped down in agreement with the board. The company did not give a more specific public reason for her departure.

When did David Joyner replace Karen Lynch?

Joyner’s appointment took effect on October 17, 2024, and CVS Health announced it the following day. Lynch also resigned from the company’s board effective October 17. Roger Farah became executive chairman at the time. CVS Health’s announcement and its October 18, 2024 SEC filing document the transition.

Why did Lynch leave?

CVS said Lynch “stepped down from her position in agreement with the company’s Board of Directors.” Farah said the board believed it was the right time for a change and was confident Joyner was the right person to lead. The public announcement did not identify a specific performance measure, shareholder demand, or event as the formal reason, so it does not establish that Lynch was fired.

The change coincided with significant business pressure, but that timing alone does not prove what prompted the board’s decision. On October 18, CVS said medical-cost trends in its Health Care Benefits segment were above the level projected in its prior outlook. It also withdrew reliance on its earlier guidance and issued preliminary third-quarter 2024 estimates, which remained subject to completion of close and review procedures:

  • Adjusted EPS: $1.05 to $1.10.
  • Premium deficiency reserves: approximately $1.1 billion, which CVS estimated would reduce adjusted EPS by $0.63.
  • Medical benefit ratio: approximately 95.2%, including a 220-basis-point impact from those reserves.

These were company estimates and guidance released with the October 2024 announcement, not current forecasts. The Associated Press also reported rising health-insurance costs, weak drugstore sales, and investor pressure, and quoted an analyst describing the leadership change as unexpected. Those are outside assessments, not CVS’s stated explanation for Lynch’s departure. The AP report provides that contemporaneous context.

Who is David Joyner?

Before becoming CEO, Joyner was CVS Health’s executive vice president and president of Pharmacy Services, leading the CVS Caremark business. The company said that business served employers, health plans, and government entities through Caremark, CVS Specialty, and other pharmacy-services operations, reaching approximately 90 million members. CVS described Joyner as having 37 years of health care and pharmacy benefit management experience at the time of his appointment. His career included roles at Aetna, Caremark Prescription Services, and CVS Health.

Who leads CVS Health now?

CVS Health’s 2026 proxy statement lists Joyner as president, CEO, and chair of the board. He has been CEO since October 17, 2024, and became board chair on January 1, 2026. Farah served as executive chair from October 2024 through December 2025. The 2026 proxy statement records the later governance change.
