True Food Kitchen filed for Chapter 11 bankruptcy protection on October 4, 2026. The company is not shutting down outright. It is restructuring while its remaining restaurants stay open, and it is seeking a long-term buyer or partner through a court-supervised sale process. Twelve restaurants closed as part of the filing. Contemporary reporting says 34 restaurants in 14 states remain open. Oprah Winfrey is a minority investor, but reporting says she has no board seat and no role in running the company.

What happened on October 4

Fox Business reported the filing and the closures. The company announced it would close 12 restaurants, which are listed below by state. The same report said 34 restaurants remained open across 14 states.

State Closed locations Number closed
California Century City, El Segundo, San Diego UTC 3
Florida Miami 1
Illinois Chicago 1
Louisiana New Orleans 1
Maryland Bethesda 1
New Jersey Edison, Hackensack 2
New York Garden City 1
Ohio Columbus 1
Virginia Reston 1
Total Nine states 12

What Chapter 11 means for the chain right now

Chapter 11 is a court-supervised restructuring. The company describes it as a way to keep operating while it changes the business and its finances. Three things are established in the company’s announcements and coverage:

  • Operations continue. The company’s FAQ says open restaurants are welcoming guests as usual. It also says the filing brings no menu or pricing changes.
  • A sale process is underway. True Food Kitchen says it is seeking a long-term partner. No buyer has been identified in the coverage.
  • Financing is proposed, not approved. Fox Business reported an approximately $20 million financing commitment from HumanCo TFK IV, subject to court approval. Treat it as pending unless a court record confirms approval.

The 34-location figure is a count from the filing period. Restaurant status can change during a case, so check the company’s location directory for the current status of any specific address.

The debt and cash figures, and who gave them

The financial numbers below come from press coverage of court filings. This article did not independently review the bankruptcy docket. The company’s FAQ links to the case-information site, where the filings themselves can be checked.

Figure Reported amount Attributed to Source of the report
Funded debt obligations About $42.1 million Nathan Cook, chief restructuring officer, in court documents Fox Business, 2026
Unrestricted cash at filing About $1.6 million George N. Koutsonicolis, financial adviser, in court documents Fox Business, 2026
Financing commitment About $20 million, subject to court approval True Food Kitchen, as reported Fox Business, 2026
Closures and open locations 12 closed; 34 open in 14 states True Food Kitchen and Fox Business Fox Business, 2026

Read the debt figure as the amount the company owes under funded debt, not a measure of how much the company is worth or how much it will pay creditors. The filings were not independently checked for this article, and the amounts may change as the case proceeds.

Management’s explanation for the distress

In a court declaration, Chief Restructuring Officer Nathan Cook wrote: “The Company experienced significant management turnover, which resulted in frequent changes to expansion strategy, brand direction, and menu offerings.” Fox Business reported that Cook pointed to several other problems:

  • Unsuccessful new products and concepts that drifted from the chain’s health-focused mission.
  • Pandemic-era ghost-kitchen and delivery-only experiments that reportedly hurt staffing and service.
  • Traffic and profitability problems, including restaurants that struggled to attract customers and profit erosion in some markets as local conditions changed.

These points are management’s account in court materials. They are not an independently verified, complete explanation of why the company filed.

Where Oprah Winfrey fits

Fox Business reported that Winfrey made an equity investment in 2018 and remains a minority investor. The outlet said she has no representative on the board and is not involved in day-to-day management. The “Oprah-backed” label describes an investment. It does not mean she runs the business or controls the restructuring.

What the company says comes next

Chief Executive Officer Jeff Chandler, in the company’s announcement, said: “This process is the best path forward to simplify the business and focus on what we do best: delivering craveable, health-forward food and genuine hospitality.” Fox Business quoted him as describing the Chapter 11 process in those terms.

Three developments will determine what the filing means for the chain:

  • Whether the court approves the proposed financing.
  • Whether a sale is announced and who the buyer is.
  • Whether more restaurants close during the case.

What this means if you are a customer

For guests, the practical questions are local. The company’s FAQ says the following are available at open restaurants, subject to normal availability:

  • Reservations, delivery, and catering.
  • Gift-card use at open locations.
  • Menu and pricing, which the company says have not changed because of the filing.

Before you visit, check the location directory for the specific restaurant. If you hold a gift card or have a catering deposit tied to one of the 12 closed locations, the coverage does not explain how claims from those customers will be handled in the case. Contact the company directly and check the case-information site for the court’s process.

Limits of what is known

Several points remain open: the court’s decision on the financing, the outcome of the sale process, the final number of open locations, and the full list of creditor claims. The company’s public statements and the press coverage cited here are the basis for this article. Check the case-information site and the company’s location page for the latest status.
