Zantaz’s $375 Million Payday—and the Unfortunate Backstory

Autonomy’s 2007 purchase of Zantaz was a strategic e-discovery and archiving deal—not a documented $375 million personal payout. The later controversy centered on Autonomy’s reporting before HP acquired it.

Autonomy agreed in July 2007 to buy Zantaz, an e-discovery and archiving company, for about $375 million in cash after certain deductions. That was the corporate purchase price—not a documented personal payout to Zantaz CEO Steve King or any single founder. Zantaz then became part of Autonomy, which Hewlett-Packard bought in 2011; the later accounting scandal centered on allegations about Autonomy’s financial reporting, not established wrongdoing by Zantaz.

What Zantaz did—and why its business mattered

Zantaz sold enterprise tools and services for archiving electronic communications, handling legal discovery, and meeting records-retention and compliance needs. Its offerings included hosted e-mail archiving, installed archiving software, litigation support, and electronic-discovery tools.

For companies facing lawsuits or regulatory inquiries, electronic evidence could mean far more than saved e-mail. Relevant records might include instant messages, voice mail, documents, spreadsheets, audio, and video. The market was growing quickly. A 2007 Computerworld report citing IDC put the global e-discovery software and hosted-services market at $477 million in 2006, up from $330 million in 2005; the report described the market as roughly 60% software and 40% hosted services. Those are market estimates from that period, not figures for Zantaz alone. Computerworld’s acquisition report

Why Autonomy wanted the company

Autonomy had its IDOL platform for searching and processing enterprise information. Zantaz brought a specialized archive, hosted services, litigation-support capability, and relationships with large organizations. The strategic logic was to combine search and analytics with systems that retained information and helped customers locate material for legal or compliance purposes.

That combination could also give Autonomy a stronger entry into e-discovery and compliance, while giving Zantaz access to Autonomy’s technology, sales reach, and installed base. Zantaz was not a small, unproven product line. Contemporary reports put its customer base at about 1,000 organizations. Zantaz said its customers included nine of the ten largest global law firms, 11 Fortune 25 companies, and 14 of the 20 largest financial-securities firms; these were reported customer claims, not independently audited market-share measures. What the $375 million deal actually covered

Autonomy announced the acquisition on July 3, 2007. It described the consideration as approximately $375 million in cash after certain deductions. The announcement was not a statement that one executive personally received that amount. Autonomy said it expected to fund the transaction through an underwritten placing, a term loan, and part of its cash reserves. Network Computing’s deal report

The figure was reported in U.S. dollars, not pounds. The “after deductions” qualification matters: the public reporting cited here does not supply a complete breakdown of the transaction’s proceeds among shareholders, investors, option holders, debt repayment, or taxes. It therefore cannot establish how much any particular founder or executive received.

Was $375 million a good price?

Contemporary Computerworld reporting citing IDC put Zantaz’s 2006 revenue at about $106 million. InternetNews separately described annual sales above $100 million and a workforce of roughly 500. These figures suggest why Autonomy viewed Zantaz as a substantial operating business, but they are period estimates reported by different outlets, not audited transaction accounts. Dividing the approximately $375 million purchase price by the reported $106 million in 2006 revenue gives a rough price-to-revenue ratio of about 3.5. That is only an indicative calculation: it compares a transaction figure described as cash consideration after deductions with a reported prior-year revenue estimate, and it says nothing by itself about profit, recurring revenue quality, debt, or the full terms of the deal.

Strategically, the premium could be justified if Autonomy could retain Zantaz’s enterprise customers, cross-sell its broader information-management platform, and realize the forecast cost savings. The reports available do not provide enough financial detail to decide whether the purchase was cheap or expensive on earnings or cash flow. At the time, Zantaz’s market position was also described inconsistently: one report called it a market leader, while another placed it second in e-mail archiving behind Symantec’s KVS unit. Those rankings should be understood as claims from contemporary coverage, not a single settled measure. eWeek’s contemporary report

How Zantaz was integrated into Autonomy

Autonomy said it would combine Zantaz’s products with IDOL to support archiving, e-discovery, analytics, and policy management. In its third-quarter 2007 results, Autonomy said integration was substantially complete and that new Zantaz product versions based on IDOL 7 were available. For Zantaz, the acquisition offered the reach of a larger enterprise-software company and a route to integrate its archive and discovery products with a wider information platform. For Autonomy, the acquisition added a specialist business and customers in an area where legal and regulatory demands were increasing. The subsequent HP controversy does not, on its own, establish whether Zantaz’s products or customer relationships succeeded or failed after integration.

From Zantaz to Autonomy to HP

The later story is a chain of ownership and corporate events, not evidence that the Zantaz transaction itself was fraudulent.

  1. July 2007: Autonomy announced its approximately $375 million cash acquisition of Zantaz.
  2. 2007–2011: Zantaz operated within Autonomy’s corporate group as Autonomy built its information-management business.
  3. August 2011: HP announced an agreement to acquire Autonomy for approximately $11 billion; HP completed the acquisition on October 3, 2011. HP’s Autonomy timeline
  4. November 2012: HP announced an $8.8 billion impairment charge and alleged accounting improprieties, disclosure failures, and misrepresentations in Autonomy’s pre-acquisition financial reporting. HP’s statement

What the Autonomy allegations concerned

HP’s position was that Autonomy had misrepresented its financial performance, growth, margins, and business mix before HP bought it. U.S. prosecutors alleged that Autonomy executives used methods including backdated agreements, revenue recognition despite side letters or contingencies, reciprocal transactions, and concealment of loss-making hardware resales. Prosecutors also alleged misleading statements about OEM transactions and Autonomy’s characterization as a “pure software” company. The legal record is not one single verdict. Hussain’s U.S. criminal conviction and sentence, Lynch’s 2024 U.S. acquittal, HP’s allegations, and the separate U.K. civil judgment are different proceedings with different parties and standards. A civil result does not turn every allegation into a criminal conviction, and a criminal acquittal does not erase a separate civil judgment.

Why the payday headline needs a qualification

Calling the deal a “payday” is defensible only as shorthand for the value realized through the sale of Zantaz. The announced $375 million was a corporate acquisition price, subject to deductions; the sources cited here do not disclose how it was divided among owners or establish a personal windfall for Steve King, any founder, or another individual.

Zantaz’s sale is best understood as a strategic acquisition of an established archiving and e-discovery business during a growing market. Its later association with the Autonomy scandal reflects the corporate chain—Zantaz became an Autonomy subsidiary, then part of HP’s troubled acquisition—not evidence that Zantaz itself caused or participated in the accounting misconduct alleged against Autonomy.
