Yageo completed its acquisition of KEMET on June 15, 2020, paying $27.20 per share in cash for all outstanding common shares. The deal expanded Yageo’s component portfolio; separately, during the demand shock of 2020, the company said it was rebuilding inventory while near-term order visibility remained vague. Those inventory targets describe plans reported at the time, not Yageo’s current position or proof of a later recovery.
What Yageo paid to acquire KEMET
KEMET’s completion announcement said Yageo acquired all outstanding KEMET common shares for US $27.20 per share in an all-cash transaction. The announcement put the equity value at approximately US $1.6 billion. After closing, KEMET became a wholly owned Yageo subsidiary and its common stock was no longer publicly listed. The approximately US $1.6 billion figure is the transaction’s equity value at completion. An earlier announcement described approximately US $1.8 billion including assumed net debt; that broader value should not be confused with the equity value.
What KEMET added to Yageo
KEMET’s portfolio included tantalum and ceramic capacitors, magnetic components, sensors and actuators, and film and electrolytic capacitors, according to the completion announcement. Yageo’s 2020 annual report described the acquisition as broadening the group’s portfolio and adding operational reach across North America, Europe, and Asia. For component buyers, a broader portfolio can mean that a supplier group offers more categories of parts. It does not mean any specific component is interchangeable with another: selection still depends on the circuit’s electrical and physical requirements.
What Yageo’s 2020 restocking plans said about demand
In a June 17, 2020 report, EE Times said Yageo was prioritizing restocking after the COVID-19 demand shock. The article described executives’ view of order visibility for the following quarter as vague. It reported a stated healthy inventory target of 100 to 110 days, with a nearer-term goal of 50 to 60 days by quarter end. The same report said Yageo planned to raise capacity utilization toward about 60 percent, after a reported February trough of 30 percent. In context, the figures show a company planning to replenish stock and increase production cautiously amid uncertain near-term demand. They do not establish how demand, utilization, or inventory developed after the report.
