X-energy closed an approximately $700 million Series D financing round on November 24, 2025, led by Jane Street. The funding is intended to expand the company’s reactor, fuel and manufacturing supply chain—not to finance 144 reactors that are already built, operating or fully contracted.

X-energy says its commercial pipeline exceeds 11 gigawatts, or roughly 144 Xe-100 small modular reactors, involving Dow, Amazon and Centrica. Company filings add an important qualification: the figure assumes customers exercise contingent rights in full. The first projects remain under development and regulatory review, with initial commercial delivery expected in the early 2030s.

This was not X-energy’s first $700 million financing in 2025. The company announced a separate $700 million Series C-1 round in February. Together, the two rounds brought approximately $1.4 billion into X-energy over roughly a year. X-energy said its total fundraising had reached approximately $1.8 billion by the Series D announcement.

Those figures refer to private financing raised or committed in the rounds. They are not revenue, customer payments, project finance or government grants.

What X-energy is building

X-energy is developing the Xe-100, an advanced high-temperature gas-cooled small modular reactor. Each reactor is designed to produce approximately 80 megawatts electric. A typical four-reactor plant would therefore produce about 320 MWe, while company materials have described larger configurations of up to 960 MWe.

The reactor uses helium as a coolant and spherical fuel pebbles containing TRISO fuel particles. Each TRISO particle has a uranium fuel kernel surrounded by ceramic and carbon layers intended to retain radioactive fission products. The heat can be used to generate electricity and, for industrial customers, process steam.

X-energy and government sources describe design features intended to improve safety. Those claims remain subject to regulatory review, testing, operating experience and independent assessment. The financing does not establish that the Xe-100 has operated commercially or that its economics have been demonstrated at fleet scale.

The 11-GW pipeline is not 144 operating reactors

X-energy’s headline commercial figure is more than 11 GW across approximately 144 reactors. That number is significant because it suggests interest from large industrial and technology customers. It should not, however, be read as 144 binding purchase orders.

Later SEC filings describe the total as a pipeline that assumes customers exercise contingent rights in full. The projects span the United States and the United Kingdom, and remain dependent on licensing, site development, financing, customer decisions, fuel availability, manufacturing and construction.

A more precise description is: X-energy says its customer pipeline represents more than 11 GW across roughly 144 reactors, assuming customers exercise contingent rights in full. None of that is equivalent to 11 GW already under construction or operating.

Where the customer projects stand

Customer or partner Location Announced ambition Current position
Dow Seadrift, Texas Four Xe-100 reactors Construction-permit application under NRC review
Amazon and Energy Northwest Washington state and other U.S. sites More than 5 GW by 2039 Development and contingent options; no operating units
Centrica United Kingdom Approximately 6 GW Joint-development agreement and ambition, not financed or built capacity

Dow’s Seadrift project

Dow’s first proposed deployment is a four-unit Xe-100 plant at Dow’s UCC Seadrift Operations site on the Texas Gulf Coast. The plant is intended to supply electricity and industrial steam.

Dow subsidiary Long Mott Energy submitted a construction-permit application to the Nuclear Regulatory Commission in March 2025. The NRC docketed it in May 2025 for an expected 18-month review. X-energy filings described potential initial construction after the permit and first commercial delivery in the early 2030s. Those are company expectations, not guaranteed dates.

Amazon and Energy Northwest

Amazon invested in X-energy in 2024. Amazon and X-energy subsequently announced options to develop more than 5 GW of Xe-100 projects in the United States by 2039. The initial project is associated with Energy Northwest’s Cascade Advanced Energy Facility in Washington and has been described as four reactors, or 320 MWe, with potential expansion to 960 MWe.

Centrica’s U.K. ambition

X-energy and British energy company Centrica signed a joint-development agreement in September 2025. The companies announced an ambition to deploy approximately 6 GW of new nuclear capacity in the United Kingdom. A development partnership is not the same as a construction commitment, operating license or financed project.

Why X-energy needs another large financing round

Advanced nuclear commercialization is an industrial-scale undertaking. X-energy must work on reactor engineering, licensing, fuel qualification, nuclear-grade components, manufacturing capacity, project development and construction before a fleet can generate revenue from electricity sales.

That makes the Series D different from a typical software growth round. The money is aimed at building the infrastructure needed to repeat production, not merely improving a digital product. The company is trying to control both the reactor technology and an important part of its fuel supply chain.

The round also reflects investor interest in reliable, low-carbon electricity for industrial customers and data-center operators. That interest validates demand for the concept. It does not validate final reactor costs, construction schedules or customer conversion.

Fuel is a central part of the strategy

X-energy is developing TRISO-X, the pebble fuel intended for the Xe-100. The company is building the TX-1 fuel-fabrication facility in Oak Ridge, Tennessee.

The U.S. Department of Energy has described the planned facility as approximately 215,000 square feet, with potential annual production of about 700,000 fuel pebbles—enough for up to 11 Xe-100 reactors. Construction moved above ground in November 2025.

In February 2026, DOE and X-energy reported that TRISO-X had received an NRC special nuclear material license. Fuel qualification testing also began at Idaho National Laboratory in November 2025 under a 13-month confirmatory irradiation program.

The company’s filings identify another major issue: TRISO-X uses high-assay low-enriched uranium, or HALEU, enriched to 15.5%. X-energy warns that restrictions or shortages in HALEU could impair its ability to begin or expand operations. A fuel-fabrication plant is useful only if the required nuclear material is available in sufficient volume and under acceptable commercial terms.

Government support reduces risk—but does not remove it

X-energy’s demonstration project was selected under the U.S. Department of Energy’s Advanced Reactor Demonstration Program. DOE described cost-sharing support of up to 50% for the relevant project and fuel-fabrication work, and X-energy filings described an initial project commitment of approximately $1.2 billion in December 2020.

Government support is different from private venture financing and customer capital. It can reduce part of the early development burden, but it does not eliminate NRC licensing, fuel supply, construction, financing, supply-chain or operating risks.

The regulatory milestones to watch

  • Dow permit application: submitted in March 2025 and docketed by the NRC in May 2025.
  • Expected permit timing: X-energy filings described a review completion in late 2026 and potential receipt of the permit in the first quarter of 2027. These are company expectations, not guaranteed dates.
  • Fuel license: TRISO-X received an NRC special nuclear material license in February 2026.
  • Fuel testing: confirmatory irradiation testing began at Idaho National Laboratory in November 2025.
  • Commercial delivery: initial delivery is expected by the company in the early 2030s, subject to the required approvals and construction.

These milestones should not be conflated. A permit application is not a construction permit. A construction permit is not an operating license. Fuel qualification is not commercial reactor approval. A customer option is not a completed project.

What the financing validates—and what it does not

What it validates

  • Investors see a potential market for advanced nuclear power.
  • Technology companies and industrial users are seeking dependable, low-carbon electricity.
  • X-energy has attracted substantial private capital for a technology that remains in the commercialization phase.
  • The company is attempting to build an integrated reactor-and-fuel business rather than rely entirely on outside suppliers.

What it does not validate

  • It does not show that the Xe-100 has operated commercially.
  • It does not guarantee NRC approval or an early-2030s delivery.
  • It does not prove that customer options will be exercised.
  • It does not establish a final cost per megawatt-hour.
  • It does not eliminate first-of-a-kind construction and schedule risk.
  • It does not prove that X-energy can manufacture reactors and fuel at the volume implied by the pipeline.
  • It does not turn 11 GW of potential capacity into 11 GW of operating generation.

The main risks for X-energy’s commercialization plan

  1. Regulatory risk: advanced reactors still require detailed NRC review and additional licensing steps.
  2. First-of-a-kind construction risk: the initial plants could face design changes, procurement problems, delays and cost overruns.
  3. HALEU risk: limited availability of suitable fuel material could restrict production and deployment.
  4. Supply-chain risk: nuclear-grade vessels, steam systems and other components require qualified suppliers and long lead times. X-energy’s agreement with Doosan to reserve capacity for as many as 16 units illustrates why manufacturing access matters.
  5. Customer-conversion risk: options and development agreements can change as economics, site conditions, demand forecasts and financing evolve.
  6. Capital-intensity risk: a $700 million corporate financing is much smaller than the capital required to develop a 144-reactor fleet. Future projects may require customer funding, government support, project finance, debt and additional equity.
  7. Schedule risk: early-2030s commercial delivery is a target, not a guaranteed outcome.

Why this matters to investors and energy markets

The Series D is best understood as a bet on building an advanced-nuclear supply chain. It gives X-energy more resources to move from design and demonstration toward repeatable deployment, while the customer pipeline provides evidence that potential buyers are interested.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

But the financing is not proof that the business model has reached commercial maturity. The central question is whether X-energy can convert conditional customer rights into financed projects, obtain the required licenses, secure HALEU, manufacture components and fuel at scale, and complete its first plants on an acceptable schedule and budget.

For readers evaluating the story as an investment or infrastructure signal, the most meaningful future evidence will be regulatory approvals, fuel-production milestones, binding project financing, construction progress and operating performance—not simply another large funding announcement.
