Why Yahoo’s $50 Million Breach Settlement Changed to $117.5 Million

The $50 million Yahoo settlement headline referred to an initial consumer-fund proposal. A court later approved $117.5 million, while the SEC penalty and Altaba’s estimated litigation expenses were separate figures.

The $50 million figure was the initial proposed consumer settlement fund reported in 2018—not the final court-approved amount. In 2020, a federal court approved an amended $117.5 million consumer fund. Separate from that case, the SEC imposed a $35 million penalty on Altaba, Yahoo’s renamed corporate successor, and Altaba estimated about $47 million in additional net litigation settlement expenses in a 2018 filing. These figures describe different proceedings and should not be added together as though they were one payment.

What the $50 million figure meant

The $50 million headline referred to the initial proposed fund for consumers affected by Yahoo’s data breaches. It was not the amount ultimately approved by the court. The federal court’s July 22, 2020 second amended final approval order approved a $117.5 million consumer settlement fund. The court order establishes the later fund amount.

That change is why articles and search results may show different consumer-settlement figures. The $50 million amount describes an earlier proposal; $117.5 million is the later court-approved fund. The settlement administrator’s FAQ describes the underlying November 2014 breach as affecting approximately 500 million accounts worldwide.

How the breach led to a separate SEC penalty

The SEC’s April 24, 2018 announcement concerned Yahoo’s disclosure to investors, not the consumer settlement fund. The SEC said Yahoo’s information-security team learned within days of a December 2014 intrusion that Russian hackers had stolen personal data associated with hundreds of millions of accounts. The information included usernames, email addresses, phone numbers, birthdates, encrypted passwords, and security questions and answers. Yahoo did not disclose the breach to investors until 2016, more than two years later.

The SEC said Yahoo failed to adequately investigate its disclosure obligations and lacked controls to ensure cybersecurity reports were assessed for timely disclosure. It announced a $35 million penalty against Altaba, the company formerly known as Yahoo. The SEC press release and the SEC order describe the findings. Altaba neither admitted nor denied them.

The SEC action addressed the company’s disclosure obligations to investors; it was not another consumer payout. SEC Enforcement Division Co-Director Steven Peikin said: “We do not second-guess good faith exercises of judgment about cyber-incident disclosure. But we have also cautioned that a company’s response to such an event could be so lacking that an enforcement action would be warranted. This is clearly such a case,”

The $47 million figure is a company estimate of net expenses, not another court-approved consumer fund or regulatory penalty. Because it includes anticipated offsets, it also should not be treated as a simple gross payout. Each amount belongs to a different category or stage of the proceedings.

What the court’s class-size estimate does—and does not—tell you

The 2020 court order discussed an estimated class of 194 million. The court described that number as heuristic and said it might be filtered down. It is not an exact count of people who ultimately received benefits, nor does it establish how many people filed claims or were paid.

Is the Yahoo settlement still open?

The available settlement FAQ and court order describe the historical settlement and its components; they do not establish that the claims period or credit-monitoring benefit is currently available. The case explains past legal and financial consequences of the breach, but it is not evidence that consumers can still submit claims or enroll in monitoring now.
