That was the plaintiffs’ account of a discovery dispute—not a court finding that McMahon had violated an order. The case later produced a separate sanctions ruling over lost Signal messages and, in June 2026, a settlement in principle that cancelled the scheduled trial.
What the 2025 discovery dispute was about
In the Delaware Court of Chancery case, shareholders challenged the process that led to WWE’s 2023 combination with Endeavor, the parent of UFC, and the creation of TKO. Plaintiffs alleged that McMahon favored Endeavor and that company fiduciaries failed to conduct a fair process aimed at maximizing shareholder value. Those are allegations, not findings that a breach occurred.
In a May 2025 filing, plaintiffs asked the court to order McMahon to produce non-privileged discovery concerning what they called “Sexual Misconduct Topics,” including allegations, nondisclosure payments and WWE’s investigation. Their stated rationale was that such records might shed light on McMahon’s motives and decisions as he returned to the board and pursued the Endeavor transaction. The filing and its characterization of the dispute were reported by Wrestlenomics on May 7, 2025.
Plaintiffs said McMahon’s production was limited to records explicitly discussing the merger or involving certain senior executives, which they argued excluded relevant communications. The headline’s suggestion that he was “refusing to comply” reflects that dispute as described by plaintiffs; it should not be read as a judicial finding that he disobeyed a court order.

What the later sanctions ruling decided
In 2026, the Court of Chancery granted a sanctions motion after considering lost Signal messages and the parties’ preservation obligations. The court found that the messages could not be recovered from other sources and that the Signal users had not taken reasonable steps to preserve them. That ruling concerned evidence preservation and sanctions; it was not a final decision on the merits of every claim about the merger.
The court opinion reproduced a sentence from WWE’s 2022 legal hold notice: “The duty to preserve Relevant Documents applies not just to documents that already exist, but also to documents created in the future (including new emails).” This was language in the company’s notice, not a statement written by the judge. Was the shareholder lawsuit settled?
The parties reached an agreement in principle in early June 2026, and the trial scheduled for June 8 was cancelled. TKO’s August 2026 filing said the written settlement was still being drafted and required court review and approval. On August 7, POST Wrestling reported a remaining disagreement among defendant groups about releases, indemnification, insurance and contribution. McMahon’s counsel reportedly said he was prepared to sign without an inter-defendant release; the other defendants characterized the dispute as narrow. The cited reports do not establish that the agreement was ultimately executed or approved by the court.

- An allegation is not a finding. The May 2025 account described plaintiffs’ position on the scope of discovery; it did not establish that the underlying misconduct allegations were true or that McMahon had violated a court order.
- The sanctions ruling has a defined scope. It addressed lost Signal messages and preservation steps, not a final judgment that the merger process violated fiduciary duties.
- A settlement in principle is not the same as an approved settlement. The company filing described a written agreement still subject to court review, while the August report described an unresolved disagreement among defendants.
This Delaware shareholder case concerns the process behind WWE’s merger with Endeavor. It is separate from litigation involving former employee Janel Grant and from other claims against McMahon.
