Why the U.S. DoD Is Withholding About $5 Million for Each Non-Combat-Capable F-35

The DoD’s approximately $5 million-per-aircraft F-35 holdback is tied to delivery in a non-combat-capable TR-3 configuration. It is a partial payment withheld until specified work criteria are met, not a fine or the aircraft’s total price.

The U.S. Department of Defense is withholding approximately $5 million from the final delivery payment for each F-35 accepted with TR-3 hardware but without combat-capable software. It is a partial payment holdback—not a $5 million fine, the aircraft’s total price, or proof that one certification automatically releases all the money.

What the $5 million holdback means

The Government Accountability Office (GAO) reported in 2025 that the F-35 program was provisionally accepting aircraft delivered in a non-combat-capable TR-3 configuration and withholding approximately $5 million per aircraft from final delivery payments. The GAO says portions of the withheld sums can be released when Lockheed Martin meets specified criteria, with examples including validating weapons work or completing the integrated core processor.

That is a payment mechanism tied to aircraft delivery and outstanding work. The GAO does not describe the full amount as a penalty, nor does the figure represent the aircraft’s total purchase price. The payment holdback also should not be read as a single blanket certification that releases every dollar: the report describes portions being released when particular criteria are satisfied.

Why accept aircraft before the software is combat-capable?

The program began provisionally accepting non-combat-capable TR-3 aircraft in July 2024. According to the GAO, this approach let aircraft leave contractor storage while software development continued, and allowed accepted aircraft to be used for training. It was a way to keep deliveries and some aircraft use moving despite delays in the software needed for combat capability.

As of May 2025, program officials told the GAO that 174 non-combat-capable TR-3 aircraft had been accepted. That is a dated acceptance figure, not a current total or a count of aircraft still subject to the holdback.

What TR-3 changes—and what it does not mean

TR-3, or Technology Refresh 3, updates the F-35’s computing hardware. The Director, Operational Test and Evaluation (DOT&E) describes it as including upgraded integrated core processors, an aircraft memory system, and panoramic cockpit displays. Lockheed Martin also describes TR-3 as the computing foundation intended to support later Block 4 capabilities.

  • Software status: the software must be developed, stabilized, tested, and qualified separately. Having the hardware does not by itself make an aircraft combat-capable.
  • Block 4: a set of later mission-system capabilities that TR-3 is intended to enable. Installing TR-3 does not mean all Block 4 capabilities have been delivered.

Some program material uses “Technical Refresh 3”; the current terminology used here is “Technology Refresh 3.” The distinction that matters for the payment story is between installing TR-3 hardware and delivering an aircraft with combat-capable TR-3 software.

What the dated delivery and schedule figures establish

DOT&E’s FY2025 annual report says 158 F-35s in TR-3 configuration had been delivered by September 30, 2025. As of that report’s cutoff, no combat-capable TR-3 aircraft had been delivered to U.S. Services. This is not an October 2026 aircraft count.

The 158 figure and the GAO’s 174 figure measure different things at different dates: DOT&E reported TR-3-configured aircraft delivered through September 2025, while program officials told GAO how many non-combat-capable TR-3 aircraft had been accepted as of May 2025. They should not be treated as interchangeable counts.

The GAO reported that program officials expected deliveries of combat-capable TR-3 aircraft enabling some Block 4 capabilities to begin in 2026—about three years later than planned. That was a forecast, not confirmation that the milestone occurred. The GAO also identified software stability and sensor-system development as continuing issues. Its report does not establish the subsequent number of aircraft still subject to withholding, how much has since been released, or the current certification and delivery status.

What the congressional deadline does—and does not—show

A House committee report said TR-3-configured aircraft were not yet combat-capable and directed the F-35 Joint Program Executive Officer to brief the committee by February 1, 2026. The requested briefing covered current performance, the updated testing and certification schedule, aircraft deliveries, and initial Block 4 capabilities. The report establishes the direction and deadline; it does not establish whether the briefing was delivered or what it said.

How to read the payment story

  • It is not a $5 million fine per jet. The GAO describes approximately $5 million withheld from final delivery payments for each aircraft delivered in a non-combat-capable configuration.
  • It does not mean the aircraft has no use. The provisional acceptance approach allowed training use while software work continued.
  • Hardware installation is not software qualification. TR-3 is the computing refresh; combat capability depends on the software and associated work reaching the required status.
  • The reported counts and schedule are time-bound. The GAO’s acceptance figure is from May 2025, and DOT&E’s delivery and combat-capability figures run through September 30, 2025.

For personal-finance readers, the key distinction is that this is a government contractor-payment arrangement, not a consumer charge, rebate, or direct payment to taxpayers. The available official reports explain the holdback’s mechanism and historical status, but do not provide an October 2026 update on its remaining balance or the program’s current certification outcome.
