Why Spirit Airlines Rejected Frontier’s Merger Bid Again in 2025

Frontier offered Spirit debt and equity in February 2025. Spirit said the proposal was worth less than its restructuring plan and too uncertain; Frontier rejected Spirit’s counteroffer. Spirit later wound down in May 2026.

Spirit rejected Frontier’s renewed merger proposal in February 2025 because its board said the offer would provide less value to stakeholders than Spirit’s standalone restructuring and carried substantial timing, cost, completion, court-approval, and regulatory risks. Spirit countered with different terms; Frontier rejected them and reaffirmed its original proposal. The two airlines did not merge. Spirit later cancelled all flights when it began winding down on May 2, 2026—a subsequent event that does not establish whether a merger would have changed the outcome.

What Frontier offered Spirit in February 2025

Frontier submitted its proposal on February 4, 2025, while Spirit was restructuring in Chapter 11. It was not an all-cash buyout: Spirit stakeholders would receive $400 million in principal amount of second-lien debt issued by Frontier, plus 19% of Frontier’s common equity after the companies combined, according to Spirit’s account of the proposal.

The proposal would have avoided Spirit’s planned $350 million equity rights offering. In exchange, it required waiver of a $35 million termination fee connected to Spirit’s backstop agreement. These were material parts of the proposal’s financing and restructuring mechanics, not cash payments to Spirit stakeholders.

Why Spirit rejected the proposal

Spirit’s board compared Frontier’s proposal with Spirit’s existing reorganization plan. Spirit said the proposal offered less value to stakeholders and raised concerns about whether and when a deal could close. Those are Spirit’s assessments; the public statements do not independently establish which option would ultimately have delivered more value.

Spirit shared Frontier’s proposal with creditor representatives before responding. Spirit also reported that 99.99% of voting creditors had accepted its standalone plan. That was a company-reported acceptance figure for the plan, not a comparison proving that the plan was more valuable than Frontier’s offer.

Spirit’s counterproposal and Frontier’s response

On February 7, Spirit proposed that its stakeholders receive $600 million in debt and $1.185 billion in equity, with market-based mechanisms to determine their share of the combined company. Spirit said the aggregate value equaled the amount Frontier claimed its own proposal provided. Spirit’s counterproposal also required Frontier to pay the $35 million termination fee.

Frontier rejected the counterproposal in its entirety on February 10 and reiterated its February 4 terms. Spirit then said it would proceed with its standalone recapitalization and restructuring. The sequence is described in Spirit’s announcement and contemporaneous Associated Press reporting.

The figures describe the parties’ stated terms and positions, not a settled valuation of either alternative. The available announcements do not provide a like-for-like independent valuation of the standalone plan and merger proposals.

Frontier’s stated view

Frontier told the Associated Press: “We remain convinced that the combination of Spirit and Frontier would have created more value than Spirit’s stand-alone plan.” The company also said it was “disciplined” and focused on delivering for Frontier shareholders while its airline was performing well in a dynamic market. These statements express Frontier’s position; they are not proof that the merger would have created more value.

Was this the same Frontier deal from 2022?

No. Spirit announced on July 27, 2022, that it had terminated its merger agreement with Frontier. Spirit’s chief executive, Ted Christie, said the board would continue discussions with JetBlue. The February 2025 proposals were made during Spirit’s Chapter 11 restructuring, after that earlier agreement had ended; they were not an attempt to complete a still-active 2022 contract. What happened to Spirit after the rejected bid?

Spirit later began an orderly wind-down effective May 2, 2026. Its official restructuring-site notice says all flights were cancelled and customer service was no longer available. So, as of that dated notice, Spirit was no longer operating flights.

That later shutdown does not show that Spirit’s February 2025 objections were mistaken, or that accepting Frontier’s proposal would have saved the airline. The available sources do not establish that counterfactual.

In a May 13, 2026 letter, Senator Elizabeth Warren and colleagues cited average jet fuel prices rising from $2.50 on February 27 to $4.51 by the end of April 2026, an 80% increase. The letter also attributed to Spirit CFO Fred Cromer an estimate that incremental fuel costs from March 1 through April 30 were nearly $100 million. These later figures offer context for the shutdown, not an explanation for Spirit’s February 2025 rejection. The fuel-price figures and Cromer’s statement are reported in the May 13, 2026 letter; the letter cites a court declaration for the company’s fuel-cost statement.
