Why SAP Acquired WalkMe for About $1.5 Billion

SAP completed its acquisition of WalkMe on September 12, 2024. The deal was announced at an equity value of approximately US$1.5 billion, with SAP offering US$14 per share in cash, subject to adjustment. WalkMe makes digital adoption software that guides people through workflows across business applications; SAP said it bought the company to strengthen software adoption, productivity, and AI-assisted work.

When did SAP acquire WalkMe?

SAP announced a definitive agreement to acquire WalkMe on June 5, 2024, then announced that the acquisition had closed on September 12, 2024. The announcement and the closing are distinct milestones: the transaction is no longer pending. SAP’s June 5 announcement and September 12 closing release document the two dates.

How much did SAP pay for WalkMe?

SAP announced an all-cash offer of US$14.00 per share, subject to adjustment, and an equity value of approximately US$1.5 billion. SAP said the offer represented a premium of approximately 45% to WalkMe’s closing share price on June 4, 2024. At closing, SAP stated that each ordinary share issued and outstanding was converted into the right to receive US$14.00 in cash, subject to adjustment.

SAP’s 2024 annual report separately reports €1.1 billion paid net of cash received in 2024, chiefly to acquire WalkMe. What does WalkMe do?

WalkMe is a digital adoption platform (DAP) company. Its software works across business applications to provide guidance and automation that help users complete workflows and adopt the applications they use. The idea is to assist people in the context of a task rather than rely only on separate training or help materials.

When SAP announced the agreement, it said WalkMe would continue to support non-SAP applications. That was SAP’s stated position at signing; it should not be read as a guarantee about every customer arrangement or future product decision.

Why did SAP buy WalkMe?

SAP’s stated rationale centered on helping people use enterprise software more effectively. The company said WalkMe’s workflow guidance and automation could improve user experience, software adoption, and productivity. Those are strategic aims, not independently measured results of the acquisition.

Business AI and Joule

SAP described a plan to pair WalkMe’s context-aware, proactive assistance with its Business AI offerings and Joule copilot. The intended fit was to provide help within workflows as users work with business applications. The announcement set out SAP’s direction for the combination; it did not establish a measured productivity gain after closing.

SAP Enable Now and cloud adoption

SAP’s 2024 annual report also described combining WalkMe with SAP Enable Now as a learning and digital adoption solution. SAP said this was intended to improve adoption of its cloud solutions and accelerate value realization. This, too, is SAP’s strategic plan rather than proof of a particular outcome for customers.

What the deal means in practical terms

The acquisition brings a cross-application guidance platform into SAP’s portfolio, alongside SAP’s own enterprise software and learning tools. For customers, the strategic question is how SAP develops and integrates the products, including the stated support for non-SAP applications. The cited transaction announcements and annual report explain SAP’s plans, but do not establish specific changes to customer contracts, product availability, or realized business results.

What SAP and WalkMe executives said

When the agreement was announced, SAP CEO Christian Klein said the acquisition would deepen support for end users adopting new solutions and features. WalkMe CEO Dan Adika said joining SAP would provide resources and a customer base to enhance products and expand market reach. These statements express the executives’ views of the deal, not independent evidence of its effects.
