And the headline “$1 trillion” describes a contingent maximum, not guaranteed cash or the award’s accounting value.
Why did Norway’s wealth fund vote against Musk’s pay award?
Norges Bank Investment Management (NBIM), which manages Norway’s Government Pension Fund Global, voted against Tesla’s 2025 CEO Performance Award for Elon Musk. Its voting record cites three concerns: the award’s total size, dilution to shareholders and insufficient mitigation of key-person risk—Tesla’s exposure to relying heavily on one executive. NBIM said it appreciated the value created under Musk’s leadership, but remained concerned about those issues. NBIM’s voting record says the fund would continue constructive dialogue with Tesla.
The vote was an influential investor’s dissent, not a successful attempt to block the award. The Associated Press reported that NBIM held 1.16% of Tesla at the time of its November 2025 coverage; that is a dated stake, not a statement of the fund’s current holding. AP’s November 4, 2025 report also recorded NBIM’s stated rationale.
What does the “$1 trillion” figure mean?
It is a contingent maximum-value characterization, not a guaranteed payment. Tesla’s 2025 proxy describes an award of 423,743,904 performance-based restricted shares, about 12% of the company’s adjusted share count, divided into 12 tranches. Tesla’s preliminary aggregate fair-value estimate for the award was $87.75 billion. Those figures measure different things: the proxy’s fair-value estimate is not the same as the headline maximum, and neither means Musk has already received that amount. Tesla’s 2025 proxy statement sets out the award terms.

Shares are tied to performance milestones and continued service. The final tranche requires Tesla to reach an $8.5 trillion market capitalization, as well as meet operational milestones and service requirements. The maximum therefore depends on Tesla meeting demanding conditions; it should not be described as a fixed salary, cash bonus or assured share grant.
Why does Tesla support the award?
Tesla’s proxy presents the award as a way to retain and incentivize Musk to lead the company through its next phase of growth. Under that rationale, tying shares to milestones and continued service connects compensation to performance and gives Musk a reason to remain at the helm. That is Tesla’s case for the plan, not proof that the milestones will be achieved or that the arrangement is the best way to address leadership risk.

Some investors supported the award on similar grounds. Baron Capital founder Ron Baron argued that Musk’s role was essential to Tesla and that his interests aligned with shareholders. That is Baron’s view of Musk’s value to the company, rather than an established measure of what the award is worth to other investors. AP reported Baron’s support.
What is the governance concern behind NBIM’s opposition?
NBIM’s objection is not simply that a large award can be expensive. The fund specifically raised the potential dilution from issuing shares and the lack of mitigation for key-person risk. An award can reward ambitious outcomes while still leaving shareholders to consider how much ownership is transferred and how the company would manage if a pivotal leader were unavailable or left.

NBIM’s broader voting record provides context, but not a substitute for its Tesla-specific explanation. In the first half of 2025, it voted against 265 CEO pay packages globally. The fund says its general approach is pragmatic and may lead it to oppose packages with awards over too short a timeframe, substantial one-off grants, undue cost or weak performance alignment, or inadequate board responses to earlier shareholder concerns. For Tesla, however, NBIM’s recorded reasons were size, dilution and key-person risk. NBIM’s 2025 first-half reporting describes its broader approach.
