The Roomba maker filed for Chapter 11 on December 14, 2025, after years of financial pressure, a failed $1.7 billion Amazon acquisition, mounting obligations to its main manufacturing partner, and diminishing alternatives. It later emerged on January 23, 2026, under the ownership of Shenzhen Picea Robotics.
Former CEO Colin Angle’s reaction reflects that history. He viewed the failed Amazon deal as a major missed opportunity and believed the eventual outcome was avoidable. But iRobot’s filings show that Amazon’s withdrawal was not the sole cause. It removed a potential rescue route from a business that already had serious problems with profitability, cash flow, debt, inventory, competition, and supplier dependence.

What happened to iRobot?
iRobot filed voluntary Chapter 11 petitions in the U.S. Bankruptcy Court for the District of Delaware on December 14, 2025. The filing was made under a prepackaged restructuring agreement with Shenzhen Picea Robotics, iRobot’s secured lender and primary contract manufacturer.
This was not a Chapter 7 liquidation in which the company simply shuts down and sells its assets. The court-supervised transaction transferred ownership to Picea and related entities. iRobot completed the transaction and emerged from Chapter 11 on January 23, 2026, according to its completion announcement.

The timeline from Amazon deal to Chapter 11
- August 2022: Amazon agreed to acquire iRobot.
- January 2024: Amazon and iRobot mutually terminated the proposed merger after regulatory scrutiny. iRobot received a $94 million termination fee.
- January 2024: Colin Angle stepped down as chairman and CEO, and iRobot announced operational restructuring.
- 2024–2025: iRobot attempted to stabilize its operations and considered strategic alternatives.
- December 14, 2025: iRobot filed for prepackaged Chapter 11 protection.
- January 23, 2026: Picea completed the court-supervised transaction and acquired 100% of iRobot’s equity.
The sequence shows why the filing was foreseeable to an executive who had helped run the company. The bankruptcy was the endpoint of a deteriorating financial position, not an isolated event that appeared without warning.
Why the Amazon deal mattered so much
The proposed Amazon transaction was valued at approximately $1.7 billion. Closing it could have supplied capital, distribution reach, technology and ecosystem resources, and a larger platform for iRobot’s products. It also offered a relatively clear strategic exit for a company struggling to compete independently.
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →When the deal ended, iRobot received $94 million. That provided liquidity, but it was not remotely equivalent to completing a $1.7 billion acquisition. The termination fee could help repay debt and support near-term needs; it could not provide the same balance-sheet reset or strategic backing that a completed transaction might have delivered.
iRobot also incurred professional and other costs connected with pursuing the merger. Its filings described how portions of the termination fee were used for debt repayment and restricted for future debt repayment or inventory requirements. In other words, the fee helped the company manage the consequences of the failed transaction rather than solving its underlying business model.
Regulatory risk was present throughout the deal. Amazon and iRobot did not have a guaranteed closing. The transaction ultimately ended after the parties concluded that obtaining approval was unlikely. That means the failed merger was a major strategic setback, but not proof that regulators single-handedly caused iRobot’s bankruptcy.
Angle’s retrospective view, reported by TechCrunch, is best understood as the assessment of a former executive who knew how important the transaction had become. Saying the outcome was avoidable is different from saying he predicted the exact filing date or knew bankruptcy was inevitable.
The deeper problems already visible in iRobot’s filings
The central financial question was whether iRobot could generate enough cash to fund product development, inventory, marketing, debt service, and supplier payments while competing in a fast-changing market. Its filings indicate that the answer was becoming increasingly uncertain.
Declining financial resilience
iRobot faced overlapping pressures rather than one isolated accounting problem:

- Revenue and demand pressure weakened its ability to absorb fixed costs.
- Gross-margin and operating pressure made it harder to turn sales into cash.
- Product development, marketing, and restructuring required continued spending.
- Inventory and working-capital needs tied up cash.
- Debt and supplier obligations reduced financial flexibility.
- Competition increased the cost of maintaining a premium position.
For a hardware company, profitability is only part of the challenge. It must also finance inventory before products are sold, maintain supply chains, invest in new models, and support older products. A company can remain recognizable to consumers while becoming financially fragile.
By late 2025, iRobot’s own Form 10-Q said it was unlikely that strategic alternatives would produce a transaction outside bankruptcy. That was a strong public signal that management no longer viewed a conventional refinancing, investment, or sale as a realistic solution.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsA supplier that was also a major creditor
Picea was not merely an overseas factory. iRobot identified it as its primary contract manufacturer and a significant creditor. That created a concentration risk: production, supply continuity, and financing were connected to the same business relationship.
As of October 31, 2025, iRobot owed Picea $158.3 million, including $29.1 million that was past due, according to the company’s filing. Those figures help explain why Picea was positioned to become the eventual owner. It already had substantial economic exposure and secured-creditor leverage.
The creditor-to-owner transition was therefore not simply a brand sale to an unrelated buyer. It was the restructuring of a relationship in which the manufacturer and lender became the controlling owner after iRobot could no longer support its obligations independently.
Competition and the economics of robot vacuums
iRobot helped create the consumer robot-vacuum category, but category leadership does not guarantee durable financial strength. The market became increasingly crowded, with competitors emphasizing combinations of mapping, mopping, object recognition, automated dirt disposal, obstacle avoidance, and multifunction docks.

Those features require engineering, software, sensors, manufacturing scale, inventory, and customer support. They can also create pricing pressure if competing products offer more capabilities at similar or lower prices.
The evidence does not justify reducing iRobot’s problems to “bad robots.” A more accurate conclusion is that the company had to fund an expensive product cycle while defending a premium brand in a market where features and prices were changing quickly. Its brand remained valuable, but brand recognition alone could not eliminate manufacturing costs, debt obligations, or the need for continued innovation.
Was Amazon the cause—or the accelerant?
The most defensible answer is that the Amazon deal was the decisive missed opportunity, not the complete explanation for the bankruptcy.

The case that Amazon’s withdrawal caused the crisis
iRobot had planned around a transaction that could have supplied far more capital and strategic support than the termination fee. When Amazon walked away, iRobot lost:
- the prospect of a large financial infusion;
- Amazon’s distribution and ecosystem advantages;
- a potential solution to its independent scale problem;
- the credibility and time associated with a committed strategic owner.
From Angle’s perspective, the collapse of the deal may have transformed a difficult turnaround into a much narrower fight for survival. The company still had to fund operations, settle obligations, and compete without the buyer that had been expected to change its prospects.
The case that iRobot had problems beyond the merger
The public filings point to problems that did not begin when Amazon withdrew:
- iRobot was dealing with operating and financial deterioration.
- Its manufacturing partner had become a major creditor.
- It needed cash for inventory and ongoing operations.
- It faced competitive and product-cycle pressure.
- By late 2025, it said an out-of-court transaction was unlikely.
Gary Cohen, who became CEO after Angle’s departure, told TechRadar that “many years of issues” had contributed to the situation. That diagnosis is consistent with the filings: the failed merger exposed and intensified weaknesses that already existed.
The clearest formulation is this: Amazon’s withdrawal did not single-handedly bankrupt iRobot, but it removed the most obvious rescue route at exactly the moment the company needed capital, scale, and strategic cover.

Why Chapter 11 was the chosen mechanism
A prepackaged Chapter 11 plan allowed iRobot and Picea to enter court protection with a restructuring agreement largely arranged in advance. Compared with a fully contested bankruptcy, that can reduce uncertainty, shorten the process, and make it easier to preserve operations.
Chapter 11 gave iRobot a framework to:
- continue operating while the transaction proceeded;
- restructure secured debt and other liabilities;
- implement the agreement with Picea under court supervision;
- transfer ownership without an uncontrolled shutdown.
That structure also explains why customers and shareholders experienced very different outcomes. Operations could continue for customers even as common shareholders lost their equity position. Preserving the business is not the same as preserving the old stock.

iRobot’s December 2025 announcement said it expected no immediate disruption to app functionality, customer programs, partners, supply chains, or product support. The January 2026 completion announcement confirmed that the ownership transaction had closed.
That is an important short-term assurance, but it is not a promise that every product will receive indefinite support. Owners should distinguish among several issues:

- CLEAN FLOORS EVERY DAY—WITHOUT THINKING ABOUT IT. The Roomba Plus 415X vacuums and mops in one run, stopping crumbs, dust, and spills before they turn into stuck‑on messes. With 20,000 Pa and DualClean mop pads, your floors stay visibly clean from morning and night.
- NO MORE SCRUBBING DRIED‑ON MESSES. SmartScrub applies extra pressure exactly where messes are stubborn—breaking down dried food, muddy paw prints, and kitchen splatter, so you never have to scrub by hand again.
- REACHES THE PLACES DIRT USUALLY HIDES. A 46% slimmer design* fits under more furniture, while extending brushes pull debris from edges and corners—so dust doesn’t collect where traditional robots miss. *Compared to Roomba 105
- GREAT FOR HOMES WITH PETS. Tangle‑free rubber brushes capture pet fur without clogging, eliminating constant stops to cut hair off the brush.
- EVERY CLEAN STARTS WITH A FRESH MOP—NOT YESTERDAY’S DIRT. The AutoWash Dock washes and heat‑dries mop pads at 113°F after every run, preventing odors and buildup so floors aren’t cleaned with yesterday’s dirt.
- App access: Cloud-dependent features can continue after a restructuring, but their long-term availability depends on the new owner’s support decisions.
- Warranty coverage: The applicable warranty and seller obligations should be checked for the exact model, purchase date, and purchase channel.
- Replacement parts: Filters, brushes, batteries, bags, and other consumables may remain available even if support for older electronics becomes more limited.
- Repairs: Manufacturer and retailer repair policies can differ from ordinary accessory availability.
- Older models: Legacy devices may face greater uncertainty if they depend on outdated cloud services or discontinued components.
A functioning Roomba should not be discarded solely because iRobot changed ownership. Owners with a specific problem should first identify whether it involves a battery, brushes, sensors, connectivity, or unavailable parts. Those practical questions are separate from the company’s bankruptcy case.
Consumers considering a replacement can compare current offerings from manufacturers such as Roborock, Dreame, and ECOVACS. Feature, price, warranty, app, and parts claims should be checked on the official product page for the specific model; ownership changes make long-term support an especially relevant purchasing factor.
What it means for shareholders
Customers and shareholders were not in the same position. A company can preserve products, apps, employees, and retailer relationships while eliminating or severely diluting the value of its existing common stock.
Because Picea acquired 100% of iRobot’s equity through the restructuring, the transaction represented a change in control rather than a rescue of the former public shareholders. The business surviving does not mean the previous investment survived on the same terms.

iRobot’s story illustrates several risks that apply beyond one robot-vacuum brand.
- A strong brand is not a balance sheet. Familiarity and customer loyalty can support demand, but they do not pay suppliers or fund inventory.
- Hardware businesses need continual capital. New sensors, software, docks, batteries, and manufacturing processes require investment before the resulting products generate revenue.
- Supplier concentration can become financing concentration. When a primary manufacturer is also a secured lender, a dispute or payment shortfall can threaten both production and liquidity.
- A strategic acquisition can conceal, rather than cure, weakness. The expectation of a buyer may postpone a harder restructuring decision, while the failure of the deal can leave the company with fewer options.
- Cloud-dependent products create continuing obligations. The sale of a physical device does not end the company’s responsibilities if core features depend on servers, apps, updates, and account systems.
The Picea transaction also raises legitimate questions about supply-chain dependence, intellectual property, customer data, and control of a prominent consumer-technology brand. But the restructuring itself does not establish misconduct, fraud, or improper behavior. Those issues require separate evidence.
The bottom line
Colin Angle was unsurprised because iRobot’s bankruptcy followed a chain of events that had become increasingly visible from inside the company: a weakening standalone business, an Amazon deal that failed to close, mounting obligations to its main supplier and lender, and a shrinking set of alternatives.
Amazon’s withdrawal was probably the most consequential missed opportunity. It removed the potential capital and strategic support that might have bought iRobot time or changed its competitive position. But the filings show that the company was not healthy and stable before the deal ended. The bankruptcy became possible because iRobot lacked enough financial resilience to survive without that rescue route.
In the end, iRobot did not disappear. It used Chapter 11 to transfer ownership and continue under Picea. For customers, that means bankruptcy did not automatically end Roomba service. For former shareholders, it demonstrates the sharper financial reality: preserving a consumer brand and preserving the value of its old equity are two very different outcomes.
