IBM announced an agreement to acquire Q1 Labs on October 4, 2011, to add security analytics and its QRadar security information and event management (SIEM) technology to IBM’s security business. The deal closed on October 26, 2011, when IBM said Q1 Labs CEO Brendan Hannigan would lead its newly formed Security Systems Division. The announcement and completion were separate events; IBM did not disclose the purchase price.
What IBM announced in October 2011
On October 4, IBM announced a definitive agreement to acquire privately held Q1 Labs. IBM said Q1 Labs would join a new Security Systems Division, bringing together security software, appliances, laboratory offerings and services. IBM did not disclose financial terms. IBM’s announcement described the planned acquisition; contemporaneous coverage by SecurityWeek also reported the planned division.
IBM announced that it had completed the acquisition on October 26. Its completion release said Q1 Labs CEO Brendan Hannigan would become general manager of the Security Systems Division. IBM’s closing announcement is the source for the completion date and leadership plan.
Why IBM wanted Q1 Labs
IBM’s stated rationale was to strengthen security intelligence by applying analytics to security data and integrating that capability across IBM’s security products and services. The company said Q1 Labs could correlate information from networks, applications, user activity, mobile endpoints and physical security devices, then help identify activity that departed from policies or typical behavior. These were IBM’s descriptions of the technology and its intended value, not independent evaluations of its performance.

Q1 Labs’ QRadar product family provided the technology focus. Contemporaneous TechCrunch coverage described QRadar as SIEM software with log, threat and compliance management functions, processing network and application flows and events. In practical terms, SIEM systems collect and analyze security-related records and events so organizations can investigate activity and spot potential threats or policy violations.
What the Security Systems Division was meant to do
The new division was IBM’s organizational structure for combining Q1 Labs’ analytics with IBM’s broader security offerings. The acquisition was therefore not simply the purchase of a standalone product: IBM presented it as a way to connect Q1 Labs’ security intelligence capabilities with IBM software, appliances, research and services.

IBM’s October 26 release said the division was aimed at a security software and services opportunity of $94 billion, growing at nearly 12 percent compound annually. Those figures were IBM’s estimates in 2011, not independently verified measurements or current market forecasts. Hannigan, identified in the release as general manager of IBM Security Systems, said, “The ability to leverage analytics is becoming a competitive differentiator.” That was his statement on behalf of IBM at the time.
How QRadar’s current arrangement differs from the 2011 deal
The 2011 acquisition covered Q1 Labs and should not be confused with the present ownership and support arrangements for QRadar offerings. IBM’s current product information says Palo Alto Networks completed the acquisition of IBM’s QRadar SaaS assets. IBM also says it continues to support on-premises QRadar customers, including with critical fixes and connector updates. IBM’s current QRadar information describes its product suite, while IBM’s QRadar SIEM page provides further product context. These statements describe the arrangements reflected on IBM’s pages and may change over time.

IBM’s current QRadar description includes SIEM as well as SOAR, EDR, user behavior analytics and telemetry collection capabilities. Those current product categories should not be read back into the 2011 deal description: QRadar’s packaging and capabilities have evolved since Q1 Labs was acquired.

The documented deal establishes that IBM agreed to buy Q1 Labs on October 4, 2011, completed the acquisition on October 26, and placed the business within a new Security Systems Division led by Hannigan. The available announcements do not state a purchase price. IBM’s market estimate and technology rationale are company claims, while contemporaneous reporting supplies additional description of QRadar’s functions. The later QRadar SaaS transaction is a separate development from the original Q1 Labs acquisition.
