Why Former Twitter Chairman Omid Kordestani Is Suing X Over $20 Million in Stock Options

Former Twitter executive chairman Omid Kordestani sued X Corp. and two X Holdings entities in August 2024, alleging that Twitter’s acquisition triggered contractual obligations to pay him for equity awards. His complaint alleges at least $20,112,000 in stock-option damages, but that is a claim—not a court award or proof that X owes the money. Elon Musk is described as the buyer in the complaint, but he is not named as a defendant.

What Kordestani’s lawsuit says

Kordestani filed a breach-of-contract complaint in San Francisco Superior Court on August 9, 2024. The case, CGC-24-617142, names X Corp., X Holdings I, Inc., and X Holdings II, Inc. as defendants and requests a jury trial. The complaint alleges that the 2022 acquisition of Twitter and replacement of its public board triggered payment obligations tied to his vested and unvested equity awards. These are allegations in Kordestani’s pleading, not findings by a court. Read the complaint.

The headline’s reference to Musk is shorthand: the complaint describes him as the buyer, but the defendants named in this case are corporate entities. Kordestani’s complaint states, “X Corp. has no explanation for its failure to satisfy its payment obligations.” That is the plaintiff’s characterization; the sources reviewed do not include a response from X addressing the merits.

How the claimed amounts break down

The complaint covers three types of equity awards. Its stated figures are allegations and should not be read as amounts a court has verified or ordered X to pay.

Courthouse News Service later described the demand as $23 million and reported $20.1 million for vested options and $246,122 for unvested options. Those are its reported components, not proof of a verified valuation, court award, or payment. Courthouse News Service’s report.

What options, PSUs and RSUs mean here

  • Stock options give a holder the right to buy shares under specified terms. The complaint’s option figures concern alleged damages over Kordestani’s awards; they are not a general estimate of what Twitter options were worth.
  • PSUs are restricted stock units whose vesting or value is tied to performance conditions. Kordestani’s complaint alleges $2.71 million in PSU damages.
  • RSUs are awards of restricted stock units. The complaint brings a separate RSU breach count, but the cited summary does not give a separate RSU damages figure.

The complaint’s core theory is that the acquisition and board replacement activated contractual payment terms for awards that were vested and unvested. Whether those terms required payment, and what amount may be due, are matters the complaint alleges rather than facts established by the figures alone.

What is known about the case’s outcome

A third-party docket summary lists the August 9, 2024 filing and a January 8, 2025 case-management conference, but it does not establish a later ruling or final disposition. The sources cited here therefore do not establish whether the case was settled, dismissed, decided, or remains pending. Docket summary.

For personal-finance readers, the distinction matters: a claimed amount in a lawsuit is not the same as a judicial finding, money recovered, or a guaranteed payment. The complaint and the later reported demand describe competing award categories and amounts, but neither source establishes an eventual recovery.
