Fisker filed for Chapter 11 in June 2024 after bringing its Ocean SUV to market amid a software recall, a stop-sale and a manufacturing relationship that ended in bankruptcy proceedings. Those facts show a sharp gap between Fisker’s public confidence and its business outcome. They do not prove that founder Henrik Fisker’s personal promises caused the collapse: the available records do not establish that causal claim.
What happened to Fisker?
Fisker Group Inc. filed for Chapter 11 protection on June 17, 2024. Fisker Inc. and other U.S. subsidiaries filed on June 19. The cases were brought in the U.S. Bankruptcy Court for the District of Delaware and jointly administered, according to the company’s SEC-filed Form 8-K.
The Associated Press reported that the bankruptcy filing put Fisker’s estimated assets between $500 million and $1 billion, and its liabilities between $100 million and $500 million. Those were estimates at filing, not final values from a completed liquidation. The AP’s report captured the company’s financial position as the case began.
Why did Fisker go bankrupt?
The documented record points to a company facing serious operational and financial pressure, but it does not provide a complete, adjudicated explanation of why Fisker failed. Three contemporaneous facts help explain the distance between the company’s public framing and its eventual Chapter 11 filing.

A software recall disrupted Ocean sales and deliveries
On May 30, 2024, Fisker issued a stop-sale and delivery notice for all model-year 2023 Ocean vehicles in the U.S. and Canadian markets because of software non-compliance. The notice identified 6,864 U.S. vehicles and 281 Canadian vehicles and said a repair solution was under development at that time. It does not establish the recall’s current repair status. The notice is available through NHTSA’s recall record.
A stop-sale on affected vehicles is a concrete commercial obstacle for an automaker trying to sell and deliver its first major product. But the recall notice alone does not show how much it contributed to Fisker’s insolvency or establish that it was the decisive cause.

The manufacturing relationship ended in bankruptcy
Magna’s SEC-filed disclosure says the Fisker Ocean manufacturing agreement was terminated during the bankruptcy proceedings. Magna also reported recognizing $196 million in deferred revenue. That is Magna’s accounting disclosure about its own relationship with Fisker; it is not, by itself, a complete account of Fisker’s finances or the cause of its failure. Magna’s filing describes the termination and recognition.
The filing showed a distressed financial position, not a final reckoning
The asset and liability ranges reported at filing indicate the scale of Fisker’s financial distress, but they should not be read as final recoveries or a definitive valuation. Bankruptcy estimates can differ from eventual results as assets are sold and claims resolved. The AP figures describe what was estimated when the case was filed, not the outcome of the process.

What did Fisker promise, and what does the record establish?
In its June 17, 2024 Chapter 11 announcement, Fisker presented the Ocean as a sustainability and speed-to-market achievement. The company said it had made “incredible progress” and quoted an unnamed spokesperson saying Fisker had brought the Ocean to market “twice as fast as expected in the auto industry” and was “making good on our promises to deliver the most sustainable vehicle in the world.” The statement is evidence of the company’s public framing; it is not independent verification of those claims, and it was not attributed to Henrik Fisker personally. The announcement preserves the company’s wording.
The contrast is clear: the company described progress and fulfillment of promises in the same announcement that confirmed a Chapter 11 filing. The recall notice and Magna’s later disclosure add documented setbacks involving the Ocean and its manufacturing arrangement. That contrast can support scrutiny of the company’s public claims, but it cannot establish that a particular promise—much less a personal statement by the founder—caused the bankruptcy.

Did the SEC find that Fisker’s claims were false?
No such finding is established by the available reporting. TechCrunch reported in February 2026, citing a response to a Freedom of Information Act request, that the SEC closed its investigation in September 2025. The agency had previously disclosed subpoenas in an October 2024 bankruptcy filing, but TechCrunch said the extent of the investigation was unclear. Closure does not establish either a finding of wrongdoing or a determination that Fisker’s claims were false. TechCrunch’s report describes what was known about the investigation.
Did Henrik Fisker’s promises cause the collapse?
The evidence supports a narrower conclusion than the title’s causal wording suggests. Fisker’s company made expansive public claims about the Ocean; the company later filed for Chapter 11 while dealing with a software non-compliance recall and a manufacturing agreement that ended during the proceedings. But the records cited here do not prove that Henrik Fisker’s personal promises caused the collapse, and they do not offer a complete, adjudicated account of the causes.

It is therefore accurate to describe Fisker’s failure as a stark mismatch between its public confidence and its eventual business outcome. It is not accurate to present that mismatch as proof that the founder’s promises were the cause.
