What “Beautycounter closed” means
Beautycounter ceased operations in April 2024. On April 17, the company terminated its Brand Advocate agreements and told sellers it was shutting down, winding down operations and intending to dissolve in the near term.
Vogue Business later described the financing sequence: Carlyle reduced its funding, Beautycounter defaulted on its loan, entered foreclosure and ceased operations. Renfrew subsequently reacquired assets including formulas, inventory and the Beautycounter name.
These reports document a corporate wind-down, loan default and foreclosure. They do not establish that Beautycounter filed for bankruptcy, so “bankruptcy” is not an accurate shorthand for the event based on the available evidence.

Why the company failed
Market and channel pressure
A Carlyle spokesperson told NewBeauty in April 2024 that Beautycounter had experienced “significant market and channel headwinds,” continued to lose ground despite support and faced significant near-term capital needs. Carlyle said selling the business back to Renfrew was in the parties’ best interests and would support continuity.
Slower growth and higher costs
Vogue Business reported that growth slowed and operating costs increased after Renfrew’s earlier departure. When Carlyle cut funding, the company lacked the financing needed to keep operating and defaulted on its loan.

Problems in the seller network
Business of Fashion reported that the consultant ranks had dwindled and that sellers faced sales-target pressure and competition from other beauty brands. Some sellers also viewed Beautycounter’s expansion into Ulta as channel conflict because they were competing with a retail channel that could sell to the same customers. These are reported industry pressures and seller perspectives, not an audited breakdown assigning a precise percentage of blame to each factor.
A large business that still needed cash
Beautycounter had been valued at about $1 billion in its 2021 sale, according to Business of Fashion, and had about 60,000 consultants at that time. Those figures show the scale of the earlier business, but the published sources do not provide a complete audited series for revenue, debt, cash burn or profitability.

What happened to Beautycounter consultants?
The April 17 notice ended Brand Advocate agreements. It said accrued commissions through the termination date would be paid, and sellers could no longer represent themselves as company advocates after termination.
Beautycounter’s former model was multilevel direct selling: consultants sold products and could earn from sales made by recruited sellers. Counter’s reported launch model was different. Brand partners shared shopping links, with no downlines or team commissions. Vogue Business reported launch-era commissions of up to 40% for a first customer and a $100 referral bonus for a new partner. Those were terms reported at the October 2025 launch, not verified terms for 2026.

Was Counter a relaunch of Beautycounter?
Counter was a successor venture built around assets and history connected to Beautycounter, rather than an immediate restart of the old operating company. Renfrew reacquired the Beautycounter name, formulas and inventory, then introduced Counter with a smaller assortment and a revised sales model.

Vogue Business also reported that Counter focused primarily on direct-to-consumer sales while returning to Goop online and in select stores. Those distribution and assortment details describe the 2025 launch and should not be assumed to be unchanged in 2026.
