YETI was not bought out by one buyer in a recent takeover. A 2020 filing showed Cortec and its affiliates below the 5% beneficial-ownership threshold at that time; it does not identify YETI’s largest shareholder today.
Who bought YETI?
Cortec Group became YETI’s principal stockholder in 2012, when YETI Holdings was established and acquired the operating business through a holding-company structure. That is the transaction behind the common question, “Who bought YETI?” It was a historical private-equity investment and acquisition—not evidence that Cortec still owns or controls the company.
YETI’s founders were brothers Roy and Ryan Seiders, who started the business in 2006 in Austin, Texas. The company’s 2025 annual report says they were avid outdoorsmen frustrated by equipment that could not keep pace with their hunting and fishing interests. YETI Holdings’ 2025 annual report
What happened in the 2012 buyout?
YETI’s IPO prospectus describes a transaction involving YETI Holdings, a Delaware corporation incorporated by Cortec, and the acquisition of the operating company by an indirect subsidiary. Subsequent mergers made YETI Coolers, LLC a wholly owned subsidiary of YETI Holdings. The founders and other equity holders exchanged some sale proceeds for equity in the holding company, so the transaction was not simply a cash sale that severed every link between the founders and the business.

Did YETI get bought out when it went public?
No. YETI Holdings completed its initial public offering on October 29, 2018. The prospectus reported an offering of 16,000,000 shares at $18.00 per share and said shares were sold by both the company and selling stockholders. An IPO allows shares to be offered to public-market investors; it is not the same as one buyer acquiring the whole company.

A YETI Form 8-K reported that, following an offering in 2020, Cortec Group Fund V and its affiliates no longer beneficially owned 5% or more of YETI’s outstanding common stock. What “bought out” means in YETI’s case
- 2012: Cortec became principal stockholder in a transaction that acquired the operating business and created YETI’s holding-company structure.

- 2020 onward: Shareholder stakes could change, and the 2020 filing only establishes Cortec’s position relative to the 5% threshold then.
