Smithfield describes itself as an American food company headquartered in Smithfield, Virginia, and states in its SEC filings that it is an indirect, majority-owned subsidiary of WH Group Limited, a Hong Kong-based parent. So the accurate answer is an American food company controlled by a Hong Kong parent, not a Chinese-owned company operating in the United States in the usual sense of the phrase.
Smithfield is the one case this article can document in full. It does not establish a complete list of every U.S. food company with a China- or Hong Kong-based majority owner, and one example should not be read as a census.
Who owns Smithfield Foods
Smithfield has been headquartered in Smithfield, Virginia, since 1936. It produces packaged meats and fresh pork, primarily in the United States. In its 2026 quarterly filing it reported roughly 31,500 employees in the U.S. and 2,500 in Mexico.
The company’s own description of its ownership, from its Form 10-Q for the quarter ended June 28, 2026, reads:

The statement describes an operating identity and an ownership relationship that exist side by side. Smithfield’s American headquarters and U.S. workforce do not change who holds the controlling stake.

Where Hong Kong fits in the answer
Hong Kong is a Special Administrative Region of the People’s Republic of China, which is why the question is not far off. The filings, however, identify the parent by its Hong Kong base. The sources behind this article do not document WH Group’s full shareholder list, so this article does not establish whether mainland Chinese state entities control the parent. Readers who need that level of detail should read WH Group’s own disclosures rather than rely on a general label.
How much WH Group owns
Smithfield’s fiscal 2025 annual report states that WH Group owned approximately 87% of Smithfield after a secondary offering in September 2025. That is a dated figure. Share counts change when a company issues or sells stock, so the percentage should be checked against the most recent filing before it is repeated.

The 87% figure also matters for what “majority-owned” means in practice. Smithfield’s annual report says that although WH Group holds a significant share of common stock, it can cause or prevent a change in control of the company and can influence the composition of the board. Majority ownership, in other words, is not a passive financial holding.
Company history and the 2013 acquisition
The parent’s current name is the result of a 2014 change. Smithfield’s corporate history records that Shuanghui International Holdings Limited was renamed WH Group that year.

A USDA Economic Research Service report from 2018 describes WH Group’s 2013 acquisition of Smithfield as a $4.7 billion transaction. The same report notes that WH Group took on Smithfield’s meat-processing and swine-production holdings. The $4.7 billion figure is USDA’s, and it reflects the year that report was published. Other descriptions of the deal may include debt assumed or other adjustments, which can produce a different total, so attribute the number to USDA and keep the year attached.

The company’s packaged-meats categories include bacon, sausage, hot dogs, deli and lunch meats, dry sausage, ham, ready-to-eat foods, and prepared foods. Its reported segments are Packaged Meats, Fresh Pork, and Hog Production, with Mexico and Bioscience reported together as “Other.”
Nathan’s Famous: a pending deal, not a completed one
Nathan’s Famous appears among Smithfield’s brands, but the filings treat its acquisition as a transaction in progress. Smithfield’s June 2026 quarterly report said the deal remained subject to:
- approval by Nathan’s shareholders;
- clearance from the Committee on Foreign Investment in the United States (CFIUS);
- other customary closing conditions.
Smithfield expected the transaction to close in the second half of 2026. Because the latest filing reviewed for this article predates October 2026, it cannot confirm whether the deal has closed. Check the most recent Smithfield filings on the SEC’s EDGAR database before describing Nathan’s as owned by Smithfield.
How to verify a company’s ownership yourself
Public companies disclose their controlling shareholders in SEC filings, so you can confirm the facts above without relying on news summaries.
- Open the SEC’s EDGAR company search and search for “Smithfield Foods.”
- Open the most recent Form 10-Q or 10-K and read the description of the company’s ownership, usually in the business section or the notes on related-party relationships.
- Check the ownership percentage and its “as of” date, since a figure from an older annual report may no longer be current.
- For pending acquisitions, search the filings for the target company’s name and look for current 8-K and 10-Q disclosures on closing conditions.
- Repeat the process for any other food company you want to check. Do not assume that a U.S. headquarters or familiar brand name means the company is independently owned.
What this answer does and does not cover
The facts above are well documented for Smithfield Foods. They do not cover every U.S. food company with a Chinese or Hong Kong owner, and they do not establish the full shareholder structure of WH Group.
