AMETEK announced it had acquired Teseq Group on January 3, 2014, for CHF 83 million (about $92 million). Teseq was then a privately held Swiss maker of electromagnetic compatibility (EMC) test systems and radio-frequency amplifiers. The announcement describes the deal and AMETEK’s rationale at the time; it does not establish Teseq’s current brand or product-line status.

When did AMETEK acquire Teseq?

AMETEK announced the acquisition on January 3, 2014, in a filing with the U.S. Securities and Exchange Commission. The company said it paid CHF 83 million, equivalent to $92 million in the announcement. Teseq joined AMETEK’s Electronic Instruments Group.

AMETEK described Teseq as a privately held company headquartered in Luterbach, Switzerland, with approximately CHF 48 million (about $53 million) in annual sales. These are figures reported in the 2014 announcement, not present-day financial data.

What did Teseq make?

Teseq made systems for conducted and radiated electromagnetic compatibility compliance testing, as well as radio-frequency (RF) amplifiers. EMC testing evaluates whether electronic equipment can operate without causing or suffering unacceptable electromagnetic interference. Teseq’s stated customer markets included:

Why did AMETEK say it bought Teseq?

AMETEK presented Teseq as a complement to its electrical test and measurement business and to EM Test, a company AMETEK had acquired in 2011. The rationale it gave centered on related EMC testing products, wider geographic reach, and potential opportunities to develop products and expand markets. Those were the acquirer’s expectations, not evidence of later business results.

AMETEK Chairman and CEO Frank S. Hermance called Teseq “an excellent addition” and described it as a global leader in conducted and radiated EMC test equipment. He said its addition offered opportunities for “accelerating product innovation and market expansion worldwide.” These assessments and projections appeared in AMETEK’s announcement.

Where did Teseq operate?

At the time of the announcement, AMETEK reported that Teseq had manufacturing and development operations in Switzerland, Germany, the United Kingdom, and the United States. Its direct sales offices were in China, France, Germany, Japan, Singapore, Switzerland, Taiwan, the United Kingdom, and the United States.

How large was the deal relative to AMETEK?

AMETEK’s 2014 announcement gave historical context for the acquisition: its Electronic Instruments Group had 2012 sales of $1.9 billion, while AMETEK reported annualized corporate sales of $3.6 billion. These dated figures describe the company at the time and should not be read as current sales.

What does the 2014 announcement establish about Teseq today?
