What to Know Before You Sign IRS Form W-9

Before signing a W-9, verify the requester, enter the right name and TIN, and understand the perjury certification, withholding rules, and when another tax form may apply.

Before signing Form W-9, verify who is asking and why, enter the correct name, federal tax classification and taxpayer identification number (TIN), and read the certification. Your signature is made under penalties of perjury. A W-9 gives a requester tax information; it is not an income tax return, and receiving one does not by itself prove the request is legitimate.

What a W-9 does—and why someone asks for one

Form W-9 lets a requester obtain a payee’s correct TIN and relevant certifications or exemption claims for federal information reporting. A business or financial institution may need it to report payments or other transactions to the IRS. Examples include income paid to you, real-estate transactions, mortgage interest, certain events involving secured property, cancellation of debt, and IRA contributions. The IRS lists the form’s purpose and examples on its About Form W-9 page.

A request for your Social Security number can be legitimate, but verify the requester and the reporting reason before sharing it. If the request arrived through an unexpected message or an insecure channel, contact the organization using contact details you independently know to be genuine and ask for a safer submission method.

What you certify when you sign

The IRS Form W-9 (Rev. June 2026) begins its certification: “Under penalties of perjury, I certify that:” The statements cover whether the TIN is correct, whether you are a U.S. person, whether backup withholding applies, and any applicable exemption from FATCA reporting. Read the certification on the form you are actually submitting; signing is not merely acknowledging receipt. See the IRS Form W-9.

If the IRS has notified you that you are currently subject to backup withholding because you failed to report all interest or dividends, the form instructs you to cross out the applicable certification item. Follow the form’s instructions rather than certifying something you know is not true.

Enter the right name, classification and TIN

The form may use a Social Security number (SSN), individual taxpayer identification number (ITIN), adoption taxpayer identification number (ATIN), or employer identification number (EIN). Which number and name belong on the form depends on the payee and their federal tax classification. Use the current form and its line-by-line instructions; do not infer a federal tax classification from a business’s state-law label alone.

This is especially important for an LLC or a disregarded entity: the name and TIN rules can depend on how the entity is classified for federal tax purposes. If you are unsure which name belongs on the relevant line or which TIN applies, consult the Form W-9 instructions or a tax professional rather than guessing.

Does signing mean you owe taxes?

No. Signing a W-9 does not itself calculate or create an income-tax bill. It supplies information that can help the requester meet reporting obligations. Whether income is taxable and what you owe depends on your circumstances and tax return, not simply on having signed the form.

When backup withholding can apply

Backup withholding is tax withheld by a payer from certain reportable payments—not a fee for signing a W-9 and not an automatic 24% tax on every payment reported using one. IRS guidance states a 24% rate for reportable payments in specified situations. These can include failing to provide a TIN as required, an IRS notice that a TIN is incorrect, certain notices involving underreported interest or dividends, or failing to make a required certification. The IRS describes the rate and circumstances in Topic No. 307, Backup withholding and its backup withholding guidance.

The payer is responsible for withholding and depositing amounts when required; the IRS says a payer that fails to withhold when required can be liable. If backup withholding appears on a Form 1099 or W-2G, the IRS says it can be reported as federal income tax withheld on the return for the year you received it. Can a W-9 be part of a contract or vendor packet?

A requester can use a substitute W-9 that meets IRS requirements, and a W-9 may appear within a larger packet. But the IRS requester instructions say a substitute form may not require you to agree to provisions unrelated to the required W-9 certifications. If one signature line covers both the certifications and other terms, the certifications must stand out, and the IRS-required notice must appear immediately above that line: “The IRS does not require your consent to any provision of this document other than the certifications required to avoid backup withholding.”

Extra text does not automatically make every form labeled W-9 invalid. If the packet asks you to accept unrelated contract terms, ask the requester to separate those terms from the tax certifications or clarify what your signature covers. The requirements appear in the IRS Instructions for the Requester of Form W-9.

Electronic signatures and refusal to provide a form

An electronic process should present the certification clearly and capture a signature that meets IRS requirements. The requester instructions say an electronic signature must be made under penalties of perjury and include the paper form’s perjury statement. Check that the form and certification are visible before signing; consult the requester instructions if the electronic workflow is unclear.

You can ask why the form is needed and how your information will be protected. However, if the requester has a legitimate information-reporting obligation and you do not provide a required TIN or certification, the payer may have to apply backup withholding in circumstances specified by the IRS. That is different from a penalty simply for refusing to sign; the applicable consequences depend on the payment and reporting situation.

When a W-9 may not be the right form

Foreign persons generally may not provide Form W-9. Depending on the person’s status and the payment, a form in the W-8 series may apply instead. U.S. tax residency and entity classification depend on individual facts, so do not choose between forms based only on citizenship, a business name, or the requester’s label. The IRS explains the distinction in its Instructions for the Requester of Form W-9; seek situation-specific tax advice if your status or the appropriate form is unclear.

Before you submit: a quick check

  • Confirm the requester’s identity and why it needs your tax information.
  • Use a secure submission channel, especially when providing an SSN.
  • Check that the name and federal tax classification match the payee and that the TIN is the correct type and accurately entered.
  • Read each certification and follow the form’s instruction about crossing out the backup-withholding statement when it applies.
  • Review any contract or vendor-packet language so you understand what the signature covers.
  • If you are not a U.S. person, or are uncertain about residency, classification, or which form applies, confirm the correct form before signing.
