A falling share price is a reason to investigate, not proof that a stock is cheap. Before buying an Indian share after a decline, establish what changed in the business, inspect at least two years of financial statements and recent disclosures, compare valuation with realistic prospects and competitors, review price and volume behaviour, check NSE surveillance status, and confirm that the position suits your goals, time horizon, liquidity needs and existing portfolio.
These checks can improve the quality of a decision, but they cannot identify the exact bottom or guarantee a recovery. A market-wide fall, a temporary setback and a permanent deterioration can produce similar-looking charts while requiring completely different decisions.

A quick decision gate before you place an order
Write down answers to these questions before opening your broker’s order screen. If an answer is unclear, the appropriate next step is more investigation or no purchase—not a larger margin of safety assumed from the price fall.

| Can you afford the risk? | Goal date, emergency reserves, loss capacity, diversification and concentration | Money needed soon should not depend on a share-price recovery. |

Understand the business and identify what changed
Describe how the company makes money
Start with a plain-language description of the company’s products or services, customers, pricing model and main costs. Identify which activities generate cash and which depend on financing, asset sales or accounting gains. A business can report revenue growth while collecting cash slowly, losing pricing power or relying on a single customer or product.
List the conditions that would support future growth: additional capacity, new customers, market expansion, productivity, regulation or a durable competitive advantage. Then list what could weaken it, such as cheaper substitutes, losing a contract, input-cost inflation, regulatory action, high interest rates or excess industry capacity. This makes the fall testable rather than mysterious.
Separate a temporary setback from a permanent impairment
Compare the reason for the decline with the company’s ability to recover. A broad equity-market sell-off may leave an otherwise intact business operating normally. By contrast, a lost licence, obsolete product, damaged balance sheet, accounting concern or structural demand change can reduce long-term value even if the share later stages a technical rebound.
Read the latest results presentation and management discussion for explicit explanations, but test them against cash flow, debt, customer trends and subsequent announcements. Management optimism is evidence of what the company claims, not independent proof that the problem is temporary.
Compare competitors and the economic setting
SEBI’s due-diligence guidance includes competitor analysis. Compare the company’s growth, margins, leverage, returns on capital, cash conversion and valuation with businesses serving the same market. Differences may be justified by quality or growth, but they should be explainable.
Also ask which economic conditions matter. Currency movements, commodity prices, interest rates, government policy and consumer demand can affect an entire industry. A sector-wide decline may create opportunities, or it may reveal that the sector’s earnings assumptions were too optimistic. Do not treat a falling peer group as confirmation that every member is a bargain.
Read financial statements and current disclosures
Use at least two years of history
SEBI’s investor guidance says to examine cash-flow, income-statement and balance-sheet information for at least the past two years. Two years is a minimum context, not a complete forecast. Review the latest annual and interim filings, then compare the numbers across periods rather than relying on a single quarter.
- Income statement: Check revenue quality, operating margins, exceptional items, finance costs, tax and whether earnings growth comes from the core business.
- Cash flow: Compare operating cash flow with reported profit. Repeatedly weak cash conversion, rising receivables or large working-capital outflows deserve an explanation.
- Balance sheet: Examine borrowings, maturities, interest coverage, cash, contingent liabilities, inventory and receivables. A cheap equity can become far less valuable if creditors have priority during stress.
- Equity and ownership: Note dilution, pledged shares, changes in promoter or insider holdings where disclosed, and transactions with related parties.
Use the notes to the accounts, auditor’s report and accounting-policy changes. A clean headline profit does not resolve a qualification, emphasis-of-matter paragraph or unexplained divergence between earnings and cash.

Read announcements, not just headlines
Review exchange filings, corporate announcements, results, board decisions, fund-raising plans, major contracts, litigation disclosures and credit-related news. Check the announcement date and whether a later filing changed the terms. A headline about a large order, for example, does not tell you its margin, cancellation rights, delivery schedule or cash-collection risk.
Build a short timeline of events around the fall. If the price dropped before the disclosure, ask whether the market may have anticipated information; if it dropped after, assess whether the announcement changed your estimate of future cash flows. Avoid filling gaps with social-media rumours or message-board claims.
Examine price, volume and liquidity
Use the chart to ask questions
SEBI’s due-diligence material includes recent price and volume history. Look for the date and speed of the decline, unusually heavy volume, repeated gaps, failed recoveries and whether the broader index or sector moved similarly. These observations help identify events and liquidity conditions; they do not establish intrinsic value.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesA sharp fall on little turnover can indicate that the quoted price is based on few transactions. A high-volume fall may reflect genuine repricing, forced selling or a corporate event. Neither pattern, by itself, predicts the next move.
Check whether you could exit
Review typical traded value, bid-ask spreads, order-book depth and any periods when trading was suspended or restricted. Use a limit order when you need price control, and avoid assuming that the last traded price is available for a large order. A position that looks attractive on a screen may be difficult to sell without moving the market.
Liquidity is part of risk, not a minor execution detail. It matters especially when the money has a fixed use date or when a falling share is already subject to exchange surveillance.
Assess valuation against the revised outlook
Do not anchor on the previous high
The percentage decline from a recent peak tells you what the market once paid, not what the business is worth today. If expected earnings, assets or competitive prospects have deteriorated, a lower price can still be expensive.

SEBI identifies P/E and intrinsic value as due-diligence factors. Compare the current P/E with the company’s own historical range only after checking whether the earnings base is normal, and compare it with relevant competitors after adjusting for differences in growth, leverage, cyclicality and accounting.

Make assumptions visible
Write down the earnings, cash flow or asset assumptions that support your valuation. Consider a base case, a weaker case and a stronger case rather than one precise target. Ask what growth, margin and discount-rate changes would make the current quote unattractive. The cited guidance does not prescribe a universal fair-value formula or a single P/E threshold, so a low multiple is not an automatic buy signal.
Be cautious with temporarily inflated earnings, one-off gains and cyclical peaks. A company can show a low P/E immediately before profits fall, making the apparent discount misleading.
Check NSE surveillance, especially the Graded Surveillance Measure
What GSM is intended to signal
NSE describes the Graded Surveillance Measure (GSM) as a framework for securities whose market price may not be commensurate with financial health and fundamentals. It is designed to prompt additional caution and due diligence. Inclusion is not, by itself, a finding that a company is fraudulent or a permanent instruction never to buy it.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
The framework considers indicators such as earnings, book value, fixed assets, net worth, P/E and market capitalisation. The NSE page states that identification and review occur quarterly and was updated on June 12, 2026. Because lists and actions can change, check the latest exchange list and notices immediately before trading.
Possible trading consequences
Depending on the applicable stage and notice, a security may face trade-for-trade settlement, additional surveillance deposits, weekly trading, limits on upward price movement or other conditions. These measures can increase the cash required, reduce trading opportunities and make an exit less predictable.
Published screening thresholds are not valuation rules
The NSE framework page lists screening criteria for non-SME securities that include net worth at or below ₹10 crore together with net fixed assets at or below ₹25 crore and specified P/E conditions. Another criterion refers to full market capitalisation below ₹25 crore with P/E or price-to-book conditions. Separate SME criteria include net worth at or below ₹5 crore and net fixed assets at or below ₹10 crore, alongside related valuation conditions.
These figures describe surveillance screening, not a general definition of a good or bad investment. Read the complete current notice to determine which condition, stage and restriction applies to a particular security; do not apply an old threshold from a cached list.

Match the investment to a goal and time horizon

Separate money for emergencies, near-term expenses and contractual obligations before considering a volatile individual share. A long horizon provides time, but it does not remove the possibility of permanent loss.
Assess risk capacity, not only risk appetite
Risk appetite is how much volatility you feel comfortable seeing; risk capacity is how much loss your finances can withstand without forcing a sale. Consider income stability, debt, dependants, emergency savings and the size of the proposed position. A trade that feels acceptable in a questionnaire may be unsuitable if a loss would disrupt essential spending.
Review diversification and concentration
List your existing exposure by company, sector, geography and asset class. Adding another apparently cheap share can increase concentration if it depends on the same economic driver as holdings you already own. SEBI notes that market-wide price volatility cannot be diversified away, although diversification can reduce company-specific and sector-specific concentration.

Include liquidity, tax and transaction costs
Consider the cash you may need for margin, taxes, brokerage and a wider spread in a thinly traded share. Tax treatment depends on your circumstances and the rules in force; verify the current requirements before trading and keep records of purchase dates, quantities and costs. A tax assumption should not be the sole reason to hold a deteriorating business.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Compare a dip candidate with real alternatives
Use the same questions for every option, including a diversified investment or simply holding cash for a known near-term goal. This prevents a dramatic price fall from receiving a lower standard of evidence.
| Axis | Questions for the individual share | Questions for the alternative |
|---|---|---|
| Business durability | Are demand, competitive advantages and regulation supportive? | Does the alternative spread exposure or rely on a similarly fragile sector? |
| Financial health | Are profits backed by cash and is debt manageable? | What assets, issuers or cash flows support it? |
| Valuation | Is the price reasonable for base, weak and strong cases? | What valuation and expected return assumptions apply? |
| Disclosures and surveillance | Are filings current, and is the security on a surveillance list? | Are there comparable restrictions, liquidity limits or disclosure risks? |
| Downside and liquidity | Could you sell at a fair price during stress? | How large could a loss be and how quickly can funds be accessed? |
| Portfolio fit | Will it create unacceptable company or sector concentration? | Does it improve diversification and match the goal date? |
Comparison is useful only when assumptions are consistent. Do not compare a single stock’s optimistic upside with an alternative’s conservative case.
A practical research sequence
- State the hypothesis. Write why the price fell and what must be true for the business value to recover.
- Read primary information. Review at least two years of financial statements, the latest results, notes, auditor commentary and all material exchange announcements.
- Test the business. Map revenue drivers, competitors, customers, costs, regulation and the economic variables that matter.
- Reconcile cash and profit. Investigate receivables, inventory, capital expenditure, debt maturities, exceptional items and related-party transactions.
- Study market behaviour. Compare the share with its sector and index, inspect volume and spreads, and check whether ordinary trading is possible.
- Value several scenarios. Use P/E and other appropriate measures alongside an intrinsic-value approach, making growth and margin assumptions explicit.
- Check NSE notices. Search the current GSM list and applicable circulars for surveillance stages, deposits, settlement rules and trading frequency.
- Fit the position to your plan. Confirm goal, horizon, loss capacity, diversification, allocation, liquidity and tax implications.
- Define what would invalidate the thesis. Set review conditions tied to business evidence, not an arbitrary price level.
- Execute cautiously. Use an order type and position size that reflect liquidity and the possibility that the price continues falling.
Common mistakes and how to correct them
“It is down 50%, so it must be cheap”
Correct the anchor by rebuilding the valuation from current earnings power, assets and risks. A percentage decline is not a margin of safety.

Buying because a headline sounds positive
Read the underlying filing and test order size, profitability, timing, funding and cancellation terms. A headline is a prompt for verification.
Ignoring debt because the company is profitable
Examine cash interest, maturities, refinancing risk and operating cash flow. Equity holders receive value only after obligations are met.
Averaging down without a new thesis
Adding solely because the price fell increases exposure without improving the evidence. Reassess the original assumptions and stop adding when the business case no longer holds.

Treating GSM as either a buy signal or a fraud verdict
Use surveillance status as a risk and trading-conditions check. Read the current notice, understand the restriction and investigate the fundamentals independently.
Using money needed soon
Move short-term or essential funds out of the decision. SEBI’s risk guidance distinguishes a long investment horizon from money that must be available on a fixed date.
What this checklist cannot tell you
No cited guidance establishes how often dips recover, the return from buying declines, a current market-wide valuation or a present Nifty drawdown. It also does not provide current fundamentals or tax treatment for a specific company. Those facts must be checked in dated company filings, current market data and applicable rules before naming or buying an individual share.
SEBI provides investor-education material, including a Financial Education Booklet, Financial Planning Guide and share-trading presentations, for readers who need foundational instruction. Educational material can improve process; it cannot replace personalised financial, legal or tax advice.
“Successful investing is about managing risk, not avoiding it.”
— Benjamin Graham, quoted on SEBI’s investor risk page
The attribution is presented as SEBI reports it. The practical implication is to control position size, liquidity risk and concentration rather than assuming that a lower price has removed risk.
Bottom line
Buy a dip only after you can explain the business, the cause of the decline, the evidence in the financial statements, the valuation under realistic scenarios, the security’s current NSE trading status and the position’s role in your own finances. If any of those answers depends on a guess—or if the money is needed soon—waiting is a valid investment decision.
