What Risks Should You Check Before Buying Tokenized Assets?

A token linked to an asset may not give you ownership or shareholder rights. Check the legal claim, counterparties, rights, custody, redemption terms, and trading venue before buying.

Before buying a tokenized asset, establish what legal claim the token gives you, who is responsible for that claim, what rights come with it, and how you could sell, redeem, or recover it. A token that tracks or refers to an asset is not necessarily ownership of that asset. The available official guidance discussed here focuses chiefly on tokenized securities, especially U.S. equities; the rights of any specific token depend on its documents, governing law, and the buyer’s jurisdiction.

What exactly would you own?

Start with the governing documents, not the product name, ticker, or claim that a token is “backed” by an asset. For a tokenized security, SEC staff distinguishes issuer-sponsored arrangements from products issued by third parties. A token can represent the security itself, an entitlement to a security held in custody, or a separate product whose value refers to an underlying security.

Arrangement What the token may represent What to establish
Issuer-sponsored tokenized security The security’s ownership record is maintained in whole or in part on or through a crypto network by the issuer or its agent. Whether the token is the security and how the issuer or agent records holders and recognizes transfers.
Third-party custodial token or wrapped token An entitlement or other interest connected to an underlying security held in custody by a third party. The exact entitlement, how the custodied position is allocated to holders, and which rights are passed through.
Third-party linked or synthetic product A separate product issued by a third party that refers to the underlying security or tracks its value. Whether you have only a claim against the product issuer, and what happens if that issuer cannot meet its obligations.

These categories are not interchangeable. SEC staff says a third-party token may or may not represent an ownership interest in, or contractual obligation of, the issuer of the referenced security, and may or may not confer rights as its holder. The staff also explains that a linked security is the third party’s own security; it does not create an obligation of the referenced issuer or convey rights from that issuer. Who issues the token, and who owes you what?

Make a party-by-party map before sending money. Identify the token issuer, the underlying asset issuer, any platform or broker, the custodian, the transfer agent or recordkeeper, and the trading venue. One company may fill several roles, but do not assume that it does.

  • Find the legal name and jurisdiction of each entity that issues, holds, records, or trades the token.
  • Determine which entity is contractually responsible for paying distributions, processing redemptions, correcting records, and handling claims.
  • Read the terms for default, insolvency, and dispute resolution. Check whether your claim is against the underlying issuer, a custodian, the platform, or only the token issuer.
  • Look for disclosures on how customer assets and records are treated if an intermediary fails, and whether the token holder has a direct route to assert a claim.

SEC staff specifically identifies possible third-party bankruptcy exposure for holders of third-party tokenized products—a risk a holder of the underlying security would not necessarily face. That is why the identity of the party that owes you a contractual duty matters as much as the identity of the asset being referenced.

Which economic, voting, and information rights come with it?

Check the rights in the governing documents individually. Do not infer them from a token balance, price chart, or statement that the product provides “exposure” to an asset.

  • Economic rights: Are dividends, interest, or other distributions payable to you, and under what conditions?
  • Voting and proxies: Can you vote, receive proxy materials, or direct how votes attached to a custodied position are cast?
  • Information and recourse: What financial or issuer information are you entitled to receive, and where can you bring a claim if the product does not perform as described?
  • Transfer and conversion: Can you transfer the token, convert or exchange it for the underlying asset, or only sell it under specified conditions?

The SEC Investor Advisory Committee describes native equity tokens and tokens representing interests in custodied positions, and notes that a third-party wrapped-token holder may lack the voting or bankruptcy rights of an owner of native equity issued on behalf of a public company. SEC staff also says synthetic security-based swaps typically do not confer equity, voting, information, or other rights regarding the referenced security. The committee’s recommendation on tokenization of equity securities is an advisory recommendation, not a Commission rule.

How is any claimed backing held and verified?

If the seller says each token is backed by an asset, determine what “backed” means in legal and operational terms. Ask who holds the asset, whose name appears in the relevant records, how token balances are reconciled against holdings, and what evidence is available to holders. A statement that assets are held in custody does not by itself explain your legal claim to them.

  • Identify the custodian and the legal arrangement under which it holds the assets.
  • Look for disclosures on segregation, recordkeeping, reconciliation, and independent audit or assurance procedures.
  • Check whether the documents say what happens to the underlying assets and token-holder claims if the custodian or issuer becomes insolvent.
  • Confirm whether an audit or assurance report covers the relevant assets and liabilities, and how often it is updated.

In a July 1, 2026 public comment, James Johnson proposed one-to-one backing, regulated custody, regular independent audits, explicit shareholder rights, and defined custody, redemption, bankruptcy, and recovery rules. Those are the commenter’s proposed standards, not universal legal requirements or SEC policy.

Can you exit, redeem, or recover your position?

Read the redemption and transfer provisions as carefully as the purchase terms. A token being transferable on a network does not guarantee that an active buyer exists, that a venue will accept it, or that you can exchange it for the referenced asset.

  • Check whether redemption is available at all, who may request it, and whether there are fees, minimums, processing periods, or eligibility conditions.
  • Find out whether the issuer or platform can pause redemptions or transfers, and what events permit a suspension.
  • Review restrictions on wallet addresses, jurisdictions, identity checks, approved venues, and supported networks.
  • Look for a procedure to correct a mistaken or unauthorized transfer and for the stated recovery process if access to a wallet or platform account is lost.
  • Determine how an unresolved redemption or recovery claim would be handled if the issuer or custodian fails.

Where and how does the token trade?

Identify the venue or venues that actually accept the token and who operates them. Review the available information on how prices are formed, what trading oversight exists, how conflicts are managed, how the venue addresses cybersecurity incidents, and how disputes are handled. A displayed reference price is not, by itself, evidence that you can sell at that price.

IOSCO’s 2025 report describes tokenization as a developing area in which potential benefits for capital-market processes remain uncertain and risks may emerge or be amplified as arrangements evolve. Its report on tokenization of financial assets provides international market context, not a guarantee about any particular platform or asset.

What regulatory statements should you rely on?

For a U.S. tokenized security, the SEC staff statement says that changing the format or method used to maintain an ownership record does not by itself change how federal securities laws apply. The statement discusses securities-law registration unless an exemption applies, but it is explicitly staff guidance rather than a binding Commission rule. The staff states: “This statement, like all staff statements, has no legal force or effect: it does not alter or amend applicable law, and it creates no new or additional obligations for any person.”

The SEC Investor Advisory Committee has recommended clear ownership disclosures, intermediary oversight, and fair-trading protections, and has opposed a blanket innovation exemption. That is a committee recommendation, not an adopted rule. The applicable requirements for a particular token depend on its structure, offer, and jurisdiction; the cited U.S. materials do not settle the legal status or protections of every tokenized asset worldwide.

When should you pause before buying?

Do not proceed until the offer documents let you answer these questions in concrete terms:

  • What legal instrument or entitlement does the token represent?
  • Which named entity owes you each promised payment, right, or service?
  • What rights do you receive, and which rights—such as voting or direct claims against an underlying issuer—do you not receive?
  • Where are the backing assets and records held, how are they checked, and what is the insolvency treatment?
  • How can you transfer, redeem, or recover the position, and what conditions or suspension powers apply?
  • Where does trading take place, and what information is disclosed about pricing, oversight, and operational risks?

If those answers are missing, inconsistent, or limited to marketing language, the key legal and operational risks remain unresolved. The cited guidance cannot determine the rights attached to a specific token; that requires its governing documents and the relevant law.
